issues. Open channels of communication are maintained with each

Introduction
The pandemic has also brought unprecedented challenges to the industries and supply chains. To shipping
companies, this is not only a battle against the virus, but also a time to contemplate the relationship between human
beings and nature. We thoroughly adopt the pandemic prevention measures, overcoming the problems including
manpower shortage, container shortage, port congestion, disrupted shipping schedule, and maritime logistics. We
efficiently deliver living goods and pandemic prevention resources to corners of the world. On the other hand, we
carefully inspect the impacts of company operation on the environment, and rethink if more protections and supports
can be provided.
Given the major risks of climate change and the global economy, the 26th United Nations Climate Change
Conference of the Parties (Conference of the Parties, COP26) was held in Glasgow, Scotland in November 2021
despite the severe global epidemic. As the world has entered the last critical decade, if there are no proactive and
concrete actions, global warming will give rise to enormous natural disasters and extinction of wildlife on the Earth. As
a result, global environmental protection action is a top priority. Through COP26, the global community gathered to
discuss the extreme climate crisis and work together for climate change actions.
Environmental carbon emissions is a daunting task for human beings all over the world, and the shipping industry has
also set many emission reduction regulations and strategies for this purpose. In order to realize the vision of net-zero
carbon emission, green sustainability and long-term co-prosperity of the earth, the Company has set specific carbon
reduction goals. By 2030, the fleet carbon emission rate will be reduced by 50% compared with 2008, which is 10%
higher than the standard set by the International Maritime Organization (IMO); it will be further reduced by 70% in 2050
and carbon neutrality will be achieved by 2050.
Over the past 50 years, the Company has been committed to practicing environmental protection (Environment),
expanding social care (Society), and improving corporate governance (Governance), and these philosophies
are reflected in all aspects of the Company's operations. Whether it is its ships participating in government and
environmental research units with specific actions and completing the world's first Pacific Greenhouse Gases
Measurement Project (PGGM), or other actions such as slowing down vessel sailing speed to protect cetaceans,
participating in the Arctic navigation ban initiative, encouraging employees to participate in community
environmental protection, coastal beach cleaning, land greening by planting trees, using water-based paint and

bamboo floors to build environmentally friendly containers, etc., we continue to put our environmental philosophy into
practice in the nature, community and work environment where we live.
It is because of the corporate green culture embedded in our DNA that Evergreen Marine has won five awards in seven
corporate governance evaluations conducted by the Securities and Futures Institute under the Financial Supervisory
Commission of the Executive Yuan.
In terms of shipping digitalization, we participated in the Digital Container Shipping Association (DCSA), and cooperated
with international container shipping companies to promote the digitization and standardization of information in the
container shipping industry, making the information interaction between related industries more efficient, saving energy
and reducing carbon emissions. Meanwhile, we have also built a global operation platform, so that customers can use
the high-speed internet to carry out a series of paperless operations on the relevant network platforms, improving the
operation efficiency of the entire industrial chain and supply chain and working towards the establishment of a zero-
carbon shipping ecosystem.
For fleet expansion, we apply the latest environmental technology to build vessels enabling the best fuel efficiency in line
with the International Maritime New Ship Energy Efficiency Design Index (EEDI), and all ships in operation also comply with
the IMO Energy Efficiency Existing Ship Index (EEXI) regulations. At present, 80% of the ships in active service are less than 10
years old. Regarding clean energy development, ship manufacturers play a crucial role. Thus we closely work with major
ship manufacturers to develop new-gen fleets that are powered by clean energy.
In terms of carbon inventory and carbon footprint platform, we comply with relevant regulations and cooperated with
professional accounting firms as well as BSI to form GHG Inventory Promotion Group. The GHG inventory is carried out in
different phases. In 2022, we obtained ISO 14064-1:2018 and GHG Protocol certificates. By following the plan, we will finish
the GHG inventory and disclosure earlier than regulated, fulfilling our commitment to green shipping with inventory and
yearly carbon reduction actions.
In such an era full of uncertainty, fear and anxiety, the safety of people, cargo and ships is the ultimate goal of all our
employees and our operations also take these three safety principles as the first priority. With the support of our customers,
employees, shareholders and suppliers, we have gone through the recurring pandemic, supply chain chaos and slow
economic recovery in 2021 and, moving forward, we hope that everyone will stay true to their original aspirations and
achieve success.

The “Cargo Incident Notification System” (CINS) is an accident reporting platform jointly set up by leading international carriers in 2011. The purpose of
the platform is to raise the safety of the supply chain through the sharing of accident information in order to reduce shipping accidents caused by cargo
on shore and on ship, highlight the risks on specific goods and/or failure of packaging, and reduce the chance of misreporting and concealment of
shipments, which may severely undermine the shipowner's and cargo owners' safety at sea, the shipowner’s ship assets, and the cargo owners' cargo
assets. Evergreen Marine reported a total of 59 accidents on the CINS platform in 2021.
In addition, according to the survey results of the World Shipping Council (WSC), under the influence of extreme weather and severe sea conditions, the
accident of containers falling into the sea is increasing year by year. In order to improve the safety of goods and prevent containers from falling into the
sea, Evergreen Marine strictly abided by "Cargo Securing Manual" (CSM) specifications for each round when planed the stowage map of containers.
The Securing Manual is in accordance with SOLAS and approved by the Flag Administration. It details how containers on board should be stowed and
secured, as well as the approved types and methods of securing equipment.

Corporate governance at Evergreen Marine is overseen by the head of Corporate Governance Department (Senior Vice President) who has more than
three years of experience in the management of corporate governance matters, such as shareholders' meetings and board meetings, with qualifications
in line with the requirements of laws and regulations. With outstanding corporate governance, Evergreen Marine has been ranked among the top 5% of
publicly listed companies in five out of eight corporate governance evaluations conducted by Taiwan Stock Exchange Corporation (TWSE). For detailed

Audit Committee
The Audit Committee is purely made up of independent directors and its responsibilities include reviewing the following:
1. The Company's financial statements to ensure that they are true and accurate, the selection/removal of CPA as well as the assessment of the CPA's
independence and performance;
2. The effective implementation of the Company's internal controls;
3. The Company's compliance with the relevant laws and regulations; and
4. The Company's management of existing or potential risks.
The Audit Committee meeting shall be convened at least once every quarter, and may be convened at any time if necessary. The Audit Committee

According to the "Evergreen Line Corporate Social Responsibility Policy" formulated by Evergreen Marine, all Evergreen offices and agencies across the
globe are required to abide by the commitment to anti-bribery, anti-corruption, and anti-discrimination during the course of business. The anti-corruption
policy and process is published on the corporate website and announced to the staff. In 2021, we did not receive any internal and external grievances
concerning violations of the business ethics.
Evergreen Marine propagates the concept of ethical management among the staff through internal public information, departmental meetings, business
meetings, and talks with senior executives in order to implement ethical management. All managerial personnel at all levels are requested to continuously
remind their employees of the ethical management policy and oversee compliance. Evergreen Marine periodically organizes pre-service training on
"ethical management and code of ethics and conduct" for new recruits every year. In 2021, 80 new recruits participated in the training, accounting for 4.69%
of all onshore employees. This course was also attended by 21 new employees from the maritime business departments of related companies.

The Company established the "Risk Management Policy", which was approved by the Board of Directors in 2020 as the Company's highest guiding
principle for risk management. The Project Dept. is responsible for urging each department in charge to implement risk management policies, monitoring
management processes, passing on risk management information, and dealing with risk management-related issues. The Audit Department performs risk
management audits on the operations of the risk management policy to ensure the effective operation of the risk management policy.
The Company's risk management areas include management of market risk, operational risk, financial risk, operational and strike risk, cargo security risk,
sanction risk, credit risk, epidemic transmission risk, information security risk, spare parts procurement risk, ship docking risk, and fuel procurement risk.

The Marinetech Department of Evergreen Marine identifies the risks of various tasks on board, and sends them to managerial personnel for review before
execution by the fleets. In the case of any execution difficulty, they can take additional control measures before reporting back to the Company. There
is no grievance channel for "risk control" but there is an emergency contact list and a safety reporting mechanism. There are dedicated mailboxes and

As for sea shipping, the Marinetech Department draws up an annual two-way drill plan every year, and conduct onshore and on-board drills as required

1.With a view to heeding the call for environmental protection and improving air quality, container manufacturers in China have replaced
solvent-based coatings with water-based ones since 2017. The use of water-based container coatings can not only effectively reduce
volatile organic compound (VOC) emissions, but also mitigate the impact of the greenhouse effect.
Aside from strictly enforcing the inspection of new containers before they leave the factory, Evergreen Marine also assigns personnel to carry
out random checks and inspections on our own containers and leased containers at container yards once every six months for the purpose
of effectively keeping track of the use of water-based coatings. At the same time, we exchange information with paint companies from
time to time.
At present, the China Container Industry Association has proposed the following three approaches to improving environmental protection
for refrigerated containers in July 2021 (where the actual implementation of these approaches depends on market conditions):

Evergreen Marine has been experimenting with various possibilities of new energy applications for our fleet in terms of regulations and equipment, so
that our energy use complies with the IMO 2030 and 2050 carbon reduction requirements. The Supply Department also continues to hold negotiations on
future energy collaboration with various alternative energy suppliers and has signed memorandums of understanding (MoUs) with them in an effort to
achieve the goal of ensuring safe supply of new energy for our fleet. With an eye on reducing nitrogen oxides and sulfur oxides at source, supplemented
by back-end treatment, we endeavor to minimize overall pollutant emissions, so as to achieve an optimal balance between economic benefits and
environmental protection. On the basis of new technologies, shipyards can also further optimize the design of ships based on big data and fluid dynamics
analysis to minimize fuel consumption. The development of new equipment such as air lubrication systems can further reduce energy consumption during
sailing, thus setting an important benchmark for the shipping industry.
As far as ship safety and route planning are concerned, Evergreen Marine has joined hands with shipyards in the development of an intelligence system
for ships to prevent marine pollution arising from maritime safety. This intelligence system provides recommendations on optimal routes for ships, which in
turn improves fuel efficiency, enabling Evergreen Marine to move one step closer to achieving the goal of emission and carbon reduction.

In 2021, the Kaohsiung Terminal Division experienced an overflow of loaded containers following an increase in average container storage volume at Port
of Kaohsiung Container Terminal 4. Due to this incident, the rail-mounted gantry cranes at Container Terminal 4 had to be powered by diesel oil, which in
turn led to a 32.09% increase in diesel consumption and an 8.09% decrease in electricity consumption. The magnitude of increase in energy consumption
at container terminals in 2021 is detailed as follows:

Sludge management
Sludge refers to unusable oil residue produced upon treatment of marine fuel oil with fuel oil purifier. All the sludges produced by our fleet are collected
in waste oil tanks, measured, and handed over to legitimate sludge recycling vendors for recycling and treatment. All the unloading receipts or
documentation is kept by each ship for at least three years for inspection by the relevant authorities.
Tons and tons of sludge are produced from the combustion of heavy oil by power machines on ships. In order to reduce environmental pollution,
Evergreen Marine arranges for contracted vendors to recycle sludge onboard and deliver them to government-approved treatment facilities for reuse.
Regular maintenance is also carried out on main engines, power generators, auxiliary boilers, as well as pumping and piping systems to improve fuel
combustion efficiency and minimize sludge production.

Waste from the Kaohsiung Terminal Division can be classified into general domestic waste and recyclable waste after equipment maintenance
At present, general domestic waste is disposed of by means of incineration in accordance with the procedures stipulated in the regulations promulgated
by competent authorities. Over the years, Evergreen Marine carries out recycling and sorting of general domestic waste with various units and conduct
an inventory of various types of recycled items to facilitate follow-up processing by recycling vendors in the future.
On the other hand, recyclable waste after equipment maintenance is handed over to professional and qualified vendors for recycling.
The Evergreen International Building continues to carry out waste and resource recycling and keep track of the amount of recycled waste and resources.
Recycling cans for general waste, paper, metal, glass, and plastic are provided on each floor of the building. These recyclable materials are then
recycled after rinsing, flattening, and sorting or storing them, so as to reduce the amount of waste to be disposed of and increase the amount of recycled
resources. In 2021, Evergreen Marine produced 44.52 metric tons of domestic waste and recycled 4.15 metric tons of resources, a decrease of 26.14 tons
(37%) and 1.45 tons (26%) from 2020, respectively, due chiefly to the implementation of work-from-home and remote work measures at Evergreen Marine
amid the COVID-19 pandemic in 2021.

construction, and operation to recycling and reuse). It is aimed at improving the safety and environmental standards for the global shipbreaking industry
to reinforce the rules and regulations governing the design, construction, operation, and dismantling of ships, improve the environmental standards
for onshore shipbreaking facilities, and establish a certification and reporting system for shipbreaking yards. This convention, which is also applicable to

Administration in the US. Based on the results of voluntary speed reduction among Evergreen
Group's container ships in the Santa Barbara waters off the ports of Los Angeles and Long Beach
as well as the San Francisco Bay area in 2021, Evergreen Marine has been honored with the Blue
Sky Award for our contributions to maintaining air quality in port areas and protecting marine
ecological environment.
The Vessel Speed Reduction Program hosted by the US NOAA runs from July to mid-November
each year. Under this program, ships are required to reduce their speed to 10 knots (18.5 km/h)
or below when they are within 95 nautical miles (176 km) off the port. As large marine organisms,
such as blue whales, humpback whales, and fin whales, migrate to these waters for food, sailing
at a low speed allows more time for these whales to avoid ships and thus reduce the risk of ship
strikes on them, which in turn helps to restore these endangered marine species. Furthermore,
sailing at a low speed can also reduce the emission of pollutants such as greenhouse gases and
particulate matters. This program has reduced over 8,000 tons in greenhouse gas emissions and
300 tons of smog-causing nitrogen oxides. In other words, vessel speed reduction can not only
protect whales, but also enables coastal residents to enjoy cleaner air.

The Company assigns the head of the Human Resources Department to manage the reporting mailbox. After receiving an employee's oral complaint
or written complaint, the Company will proceed to investigate and handle the case in a prudent manner, and reply to the complainant regarding the

Evergreen Marine's salary for new full-time employees at the college graduate level in 2021 was NT$43,000 (raised to NT$46,000 in 2022), which is 41.88%
higher than the average monthly regular salary of NT$30,308 per person for workers without any experience at all education levels in the transportation
and storage industries announced by the Ministry of Labor in 2020 and 79.17% higher than the basic salary of NT$24,000 announced on January 1, 2021. The
Company will review the overall economic indicators and industry-specific salary levels at each operating site every year, and adjust salary appropriately
to maintain the Company's overall competitiveness in remuneration.
Our year-end bonus will be issued at the end of the year based on the Company's business performance. If the Company has a surplus at the end of the
year, we will distribute employee compensation after the resolution is adopted by the Remuneration Committee in the following year in accordance with
the Articles of Incorporation and Rules for Setting Manager's Remuneration.
Evergreen Marine provides on-board personnel with generous remuneration and a safe and comfortable working environment. The generous
compensation packages do not differ on the basis of gender, religion, race or political bias. We show respect and tolerance for multi-culturalism in order
to build a harmonious and united team at sea. Remuneration for national and foreign mariners must comply with the collective bargaining agreement (the
proportion of on-board personnel covered by the agreement is 100%, accounting for 23.74% of total employees) with the International Transport Workers’
Federation (ITF). Evergreen Marine also seeks to recruit talented personnel through compensation packages that are competitive in the market. For
example, a Taiwanese third officer or fourth engineer who is officially appointed has a monthly salary of around NT$170,000. The captain and the chief
engineer's monthly salary can reach approximately NT$300,000.
Meanwhile, to fulfill the corporate social responsibility for sustainable operation, Evergreen Marine has included environmental protection, energy
conservation of ships and the fuel conservation policy in relevant departmental targets and employee performance to conduct target management

Employee Benefits
In addition to complying with laws and regulations, Evergreen Marine provides benefits for all full-time employees that are superior to what is stipulated
in laws and regulations, such as group accident insurance that is superior to what is stipulated in the Labor Standards Act, medical insurance covering
hospitalization and injury for the employees on business trip abroad, group life insurance with a preferential rate, and an employee physical examination
program that is superior to occupational safety laws and regulations. Moreover, for those must work during the period of natural disasters (such as
typhoons or heavy rains), the Company not only provides necessary resources of transportation and accommodation but also recognizes employees'
hours of attendance in a lenient manner to grant at least half a day or a full day of wages, overtime pay, or a paid leave.
In addition to providing official leave, transportation, accommodation and relocation allowances for domestic job rotations, we also provide
subsidies for qualified employees to rent housing and visit relatives in accordance with our management regulations. In terms of leave
allowance, mariners eligible for ship-shore rotation are granted annual leave (more than required by Labor Standards Act) during the first year
if they are assigned to onshore duties to allow them to spend more time with their families.
In addition to providing cash gifts (gifts) on three major holidays and birthday gifts, the Evergreen Marine Employee Welfare Committee
provides a number of subsidies, such as marriage allowance, supervisors' cash gifts, funeral allowance, supervisors' condolence money,

Pension plan
The Evergreen Marine Labor Pension Preparatory Fund Supervisory Committee was formed in 1986. The “Employee Pension Regulations” were drawn
up by the Company and pension contributions are continuing to be made each month based on the following criteria: 15% of salary for employees on
the old system, and 9% of salary for employees on the new system that chose to retain their years of service under the old system. This regulation covers
all full-time employees. Employees that served within a period of fifteen years (inclusive) are provided with 2 basis points annually, while employees who
have served for more than 15 years, are provided with 1 basis point annually, with a maximum total of 45 basis points. The so-called basis point refers to the
average basic pay of the six months before retirement.
For employees that opt for the new system introduced by the Labor Pension Statute introduced on July 1, 2005, Evergreen Marine has consulted on the
employees’ willingness to participate in the new or old pension system, calculated the years of service in the old pension system, as well as conducted
pensions declaration and payments in the new system. Hence, employees will receive contributions equal to 6% of their monthly salary in accordance
with the new system. We also check the balance of the labor pension preparatory fund account to see if it is sufficient to meet all the pension obligations
from all employees that will meet the conditions for retirement in the upcoming year. Any shortfalls are made up by the end of March in the following
year. Please refer to page 129 of the 2021 consolidated financial reports for more information regarding the Evergreen Marine pension plan.
Safe workplace
To take care of employees' health and comply with legal requirements, Evergreen Marine
entrusts the environmental monitoring agency approved by the central competent authority
to measure carbon dioxide concentration of office buildings every six months. The two carbon
dioxide concentration measurement results in 2021 did not exceed the standards.

In response to the COVID-19 pandemic, Evergreen Marine provides free quick test kits for its employees. For employees with such a need, we
arrange them to work during non-peak hours or grant them paid epidemic prevention leave, ensuring that all employees can take care of their
families, work and quality of life during the pandemic.
Recreational activities
Our Taipei, Nankan and Kaohsiung sites have also set up 20 social clubs for three categories of activities (ball sports, health and longevity, outdoors and
leisure) along with fitness equipment to encourage employees to unwind, connect with each other, and enhance their physical/mental well-being. The
Company also provides subsidies and sponsors part of the expenses for club activities (which were mostly suspended in compliance with the epidemic
prevention policy during 2021). The fitness session at 3PM every afternoon helps employees cope with the
stresses of work.
In terms of shipboard life, all of our ships are modern container ships that provide a comfortable
living environment. Full-time chefs prepare nutritious and varied meals for everyone three times
a day as well. Communication is the top issue for young people today. The majority of Evergreen
ships now provides versatile communications software that make it easy for mariners to stay in
contact with their families.

Since the introduction of our human rights policy and internal control system in 2020, Evergreen Marine conducts regular Human Rights Risk Assessment
every year and will draw up subsequent prevention plans based on the assessment results. In 2021, various departments in Evergreen Marine conducted
self-assessment of internal operational risks on employment discrimination, unlawful infringement, forced labor, child labor, restricted freedom of speech,
assembly and association, lack of communication/complaint channel, unsafe working environment, violation of basic job conditions, violation of gender
equality or maternity protection or the violation of personal information protection and other human right-related risks. A total of 226 risk evaluation results
was reported, which did not post any significant risk after evaluation. Follow-up improvement plans were also submitted.
Evergreen Marine aims for "zero violations" in anti-discrimination, anti-sexual harassment, anti-bullying, prohibition of forced labor, and prohibition of child
labor. We also protect employees' freedom of association and duly implement the "whistleblower" system. In 2021, we did not have any violations of
human rights-related issues, and there were no violations of the rights of indigenous peoples. For Evergreen Marine's human rights policy, please refer to

With the commitments above, Evergreen Marine will pay close attention to all international covenants, regulations in various nations and relevant
regulations that will soon be in force. We will periodically review the effectiveness of our compliance with relevant regulations as well as whether or not

This training program was organized to meet the company's need for sustainable development by expanding the Taiwanese maritime talent
development via more channels. The close industry-academia collaboration has given the young people who did not major in maritime majors in college
but wish to enter the field an opportunity to receive professional training and find a job in the field right after completing the program. In 2016, Evergreen
Marine worked with National Kaohsiung Marine University (predecessor of Kaohsiung University of Science and Technology) to establish the “Post-graduate

"Post-graduate Diverse Talent Training Program on Marine Engineering” recruits non-marine engineer major graduates. Anyone who has a bachelor
degree and has completed the compulsory military service (or has exemption from it) can sign up to take the test for program. Those who been admitted
will attend 3 semesters (18 months) of the program at the Cijin campus of NKUST. The students, with the intense training, will acquire comprehensive
knowledge and skills in this field with hands-on experience at NKUST's Practice Workshops of Ship Machinery. By combining theory and practice, these
students will become excellent marine engineering talents.
Evergreen Marine will subsidize the entirety of tuition and part of the dorm costs for the students. Students who have completed the program and are
qualified can join the 1-year internship program on an Evergreen ship. Those who have performed well during the internship and obtained certificate of
competency can officially become an Evergreen seaman.
Evergreen Marine provides a diverse and comprehensive career development path for our seamen. While working on a ship can broaden one's horizon,
our innovative ship-shore rotation allows our seamen to balance work and family. With our global service network, we have positions available for marine
engineering personnel at our key operating locations across the world. With our proper training and promotion mechanism, we develop our seamen's

We expanded our new generation maritime talent development to southern Taiwan in 2021.
Evergreen Marine worked with the National Taiwan Ocean University to establish the "Post-
graduate Diverse Talent Training Program–Two-year Technical Day School Program on Marine
Engineering", which admitted a total of 23 students. The program is currently in progress. With
a tight class schedule, they are scheduled to graduate in September, 2022 and will participate
in the “Seamen Onshore Training and Competence Assessment” by Maritime Port Bureau in
November.
Talent Recruitment
To meet the needs of our growing business, Evergreen Marine started its onshore employee recruitment program in March, 2021. We held multiple
recruitment orientations at multiple universities before the pandemic, helping these young students learn about what shipping companies do and its
development prospects. In 2021, Evergreen Marine and the shipping agency departments under its affiliate businesses hired a total of 82 new employees.
The recruitment for seamen at Evergreen Marine is an on-going process all year long on the company’s official website. We also recruit excellent
navigation and marine engineering talents from maritime schools, training institutions and other diverse channels.

Through the exchanges with the teachers at various maritime schools, we have realized that
students from maritime schools in remote areas generally lack an understanding of the career
development of seamen on commercial ships. Therefore, in April, May and December, we
sent representatives to National Penghu Marine & Fishery Vocational high School and National
Tung Kang Maritime & Fishery Vocational high School to hold two seminars on seamen career
development, which were well received by students and their parents.
In the “Excellent Shipping Companies of 2020” list by MOTC, Evergreen Marine ranked first
in the “Number of on-ship interns and internship days for students from domestic maritime
schools” category, with 130 interns and 13,609 days of internship. In the ““Number of on-
ship interns and internship days for students (excluding domestic maritime schools)” category,
Evergreen Marine also ranked 1st, with 169 interns and 21,628 days of internship. Evergreen
Marine was also recognized as the best shipping company with best “industry-academia
