AGREEMENT

 
KNOW ALL MEN BY THESE PRESENT:

This Agreement, hereinafter referred to as Contract, made and


entered into this ______ day of February 2019 in the Philippines, by
and between;    
   
EIC CASH LENDING INC, a corporation duly organized under
the laws of the Philippines, with SEC Company Registration No.
CS201802008, principal address at Room 6 Mezanine Floor RBS
Bldg 240, J.T. Teodoro St., West Grace Park District, Caloocan City,
Metro Manila, herein represented by Mark Henessy L. Chua
hereinafter referred to as the "First party";-AND-
 
        JINXIN FINANCIAL MANAGEMENT CONSULTING CO., LTD,
a company created under the laws of Taiwan, Republic of China
with principal address at 4F, no. 97, Baushun St., Shulin District,
New Taipei City, Taiwan, Republic of China, herein represented by
in this agreement by Nelson Yang, Kuo-Lung and Nina Chen, Chia-
Ping hereinafter referred to as the "Second Party"; WITNESSETH;

WHEREAS, the First party is a legitimate Lending Corporation


in the Philippines having Overseas Filipino Workers (OFW) clients in
Taiwan, Republic of China;

WHEREAS, the Second Party is a legitimate Financial


Company in Taipei City, Taiwan, Republic of China and is willing to
assist and serve as collecting agent of the First Party in Taiwan,
Republic of China;

        NOW, THEREFORE, for and in consideration of the mutual


covenants, conditions and agreement as hereinafter set forth, both
parties hereby agree and bind themselves to perform their
respective obligations below, to wit: 

A. TERMS AND CONDITIONS

1. This Agreement shall be binding and effective upon signing


hereof and shall be continuing, unless terminated due to
valid grounds as defined in the succeeding provisions by

either party after 15 days prior written and sworn notice by
one party to the other;

2. The First Party shall designate and authorize the Second


party as its collecting Agent in Taiwan, Republic of China to
collect all receivables of the First Party respecting its loan
transactions to its clients in Taiwan, Republic of China;

3. The First Party shall provide the necessary documents and


instruments in order that the Second party may be able to
perform its obligations as collecting agent of the First party;

4. The Second party, acting as collecting agent of the First


Party shall abide and follow all the Laws, Rules and
Regulations of Taiwan and the Philippines as well as the
International laws against Money Laundering;

5. The First Party shall pay the Second Party the amount of
One Hundred Fifty New Taiwan Dollars (150 NT Dollars) for
every service collection in consideration for its collection
services;

6. The Second Party shall provide the First party proper


accounting of all collections and shall faithfully remit
immediately to the First Party all collected moneys or
amounts via electronic transfer or any other legal means of
transfer;

7. The Second party shall be liable to the First Party of any


collected but unremitted amount including an interest of
1% per day of delay, unless the delay is outside the control
of the Second party or by reason of unforeseen delay by the
transmitting bank or courier;

8. The Second party shall shoulder the cost of money transfer


remitted for every remittance which is already included in
the agreed 150 NT Dollars service fees;

B. SPECIAL PROVISIONS

Any violation of the terms and conditions of the herein


agreement shall give the right to the aggrieved party, after due

prior notice of fifteen (15) days, to terminate the herein
agreement and avail of the remedies provided below;

Any dispute arising from this Agreement shall be resolved by


the herein parties through Alternative Dispute Resolution or
under the Arbitration Law which shall be subject to the
jurisdiction of the Philippine Arbitration Center or any of its
accredited centers. The Venue for Arbitration shall be in the
Luzon, Philippines. The herein parties shall abide to whatever
be the Decision of the Arbitration body duly chosen by the
herein parties, after exhaustion of the administrative remedies
provided by the said Arbitration Law.
