NON COMPETE AGREEMENT

This Non Compete Agreement (this “Agreement”) is made effective as of ……………………………, by and
between .......................................... and Name of Company/Firm

In this Agreement, the party who is requesting the non- competition from the other party shall be
referred to as “FIRM” and the party who is agreeing not to compete shall be referred to as “EMPLOYEE”

1. Non- Compete: After the effective date of this agreement, EMPLOYEE will not directly or
indirectly engage in any Business that competes with CA Firm, until this agreement is
terminated.

2. Non - Solicitation Covenant: After leaving Employment, EMPLOYEE Agrees that he will
not directly or indirectly induce or influence (or attempt to induce or influence) any
person connected with Firm or has contact with Firm in offering services to the Clients,
to terminate his/ her relationship with the Firm, or to accept employment with Firm,
until this agreement is terminated.

3. Confidential Information: EMPLOYEE Agrees not to disclose Firm’s important

information, method of operation or any trade secret acquired during his/ her tenure
after leaving employment to anyone, including new Employer.

4. Severability: If any provision in this Agreement is deemed to be invalid or unenforceable

for any reason, it will not affect the remaining provisions and those provisions will
continue to be valid and enforceable.

5. Remedies: The CA firm may pursue any and all remedies available to it and the pursuit
of one remedy will not be deemed to exclude any other remedies, including, but not
limited to recovery of damages and reasonable attorneys fees. The CA FIRM shall have
the right to injunctive relief to restrain and enjoin any actual or threatened breach of
the provisions contained in this Agreement.

6. Entire Agreement: This Agreement contains the entire agreement and understanding by
and between the CA FIRM and EMPLOYEE with respect to the covenants in this
agreement. Further, any representations, promises, agreements, or understandings,
written or oral, not contained in this Agreement shall have any force or effect.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their
respective duly authorized representatives below.
