The subject of the Order is the provision of operational consulting services
consisting in supporting the Ordering Party in the development of the Advanced
Conops (CPK) Airport Operational Concept and the Initial Model of CPK Airport
Management, as well as supporting the Ordering Party in the preparation of
Operating Guidelines for the General Architect (Master Architect-MA); General
Designer of Civil Engineering (MCE), Airport Systems Integration Designer
(ASID) and Support Infrastructure Engeener - SIE - Basic Order.
The detailed scope of the subject of the Order is included in the OPZ. The
method of executing the Order has been included in the Draft Agreement.
The contracting authority envisages awarding contracts under the option
right. The Optional Order covers the continuation of the provision of Services
analogous to the Scope of the Basic Order for the next 6 months after the
completion of the Basic Order (Optional Period).
Detailed information on the Scope of the Optional Order has been included in the
OPZ.
The Ordering Party may use an Optional Order on the terms specified in the
Draft Agreement.

The contracting authority does not establish a detailed condition in this
respect. Here, the Employer indicates the grounds for exclusion:
The Ordering Party shall exclude from the Procedure Contractors who are
subject to any of the circumstances referred to in:
1) art. 108 sec. 1 point 1 lit. ag, items 3-6 of the Public Procurement Law;
2) art. 108 sec. 1 point 2 of the Public Procurement Law, with the exception of
the case where the person referred to in this provision has been convicted of an
offense referred to in Art. 108 sec. 1 point 1 lit. h of the Public Procurement Law;
3) art. 5k paragraph. 1 of Regulation (EU) No 833/2014 of 31 July 2014 on
restrictive measures in view of Russia's actions destabilizing the situation in
Ukraine (EU Official Journal No. L 229 of 31.7.2014, p. 1 as amended) ;
4) art. 7 sec. 1 points 1-3 of the Act of April 13, 2022 on special solutions in the
field of counteracting supporting aggression against Ukraine and serving the
protection of national security, i.e .:
4.1) listed in the lists referred to in Regulation 765/2006 and Regulation 269/2014
or entered into the list on the basis of a decision on the entry in the decisive list
on the application of the measure referred to in article 2. 1 point 3 of this act;
4.2) whose real beneficiary within the meaning of the Act of 1 March 2018 on
counteracting money laundering and financing of terrorism (Journal of Laws of
2022, items 593 and 655) is a person listed in the lists specified in Regulation
765/2006 and the Regulation 269/2014 or entered on the list or being such a real
beneficiary from February 24, 2022, provided that it was entered on the list on
the basis of a decision on entry in the list determining the application of the
measure referred to in art. 1 point 3 of this act;
4.3) whose parent company within the meaning of Art. 3 sec. 1 point 37 of the

February 24, 2022, provided that it was entered on the list on the basis of a

5) art. 393 paragraph. 1 point 2 of the Public Procurement Law, if the Contractor,
as a result of recklessness, intentional action or carelessness, provided the
Ordering Party with false information on the subject of the contractor, entity
providing resources, subcontractor, further subcontractor (including supplier),
exclusion under Art. 5k paragraph. 1 of Regulation (EU) No 833/2014 of 31 July
2014 on restrictive measures in view of Russia's actions destabilizing the
situation in Ukraine (EU Official Journal No. L 229 of 31.7.2014, p. 1 as
amended) or on the basis of art. 7 sec. 1 points 1-3 of the Act of April 13, 2022
on special solutions in the field of counteracting supporting aggression against
Ukraine and serving the protection of national security.
2. Acting pursuant to Art. 393 paragraph. 1 point 2 of the Public Procurement
Law, the Ordering Party will also exclude from the participation in the Procedure
Contractors who are in a situation that affects or may affect, directly or indirectly,
the impartial and objective performance by the Contractor of the obligations
arising from the performance of the Contract consisting in the Contractor's
involvement for the Central Port Komunikacyjny sp. Zoo, i.e. in the cases
described in the SWZ.
3. In the case of Contractors jointly applying for the award of the Contract, each
of such Contractors is separately obliged to prove that there are no grounds for
exclusion from the Procedure.
III.1.2)Economic and financial situation

The contracting authority does not establish a detailed condition in this respect.
III.1.3)Technical ability and professional qualifications
List and brief description of the selection criteria:
The Ordering Party has established the conditions in terms of professional
capacity (EXPERIENCE), which are described in Chapter VI, para. 2 point 4
items 4.1) -4.4) SWZ. These conditions constitute a business secret and will be
made available to Contractors on the terms set out in Chapter III Subchapter III
of the SWZ - CONFIDENTIAL INFORMATION.
The Ordering Party has established the conditions in the field of professional
capacity (KEY EXPERTS), which are described in Chapter VI para. 2, point 4,
point 4.5) of the SWZ. These conditions, with the exception of the names of
positions of persons, constitute a company secret and will be made available to
Contractors on the terms set out in Chapter III Subchapter III of the SWZ -
CONFIDENTIAL INFORMATION.
In terms of professional capacity (KEY EXPERTS), the Ordering Party requires
that the persons assigned to perform the Order must be available, i.e. six (6) Key
Experts:
1. Air operations management expert - Team Leader Expert (Team Leader
Expert);
2. Facility & Infrastructure Management Expert;
3. Operational Expert - Terminal;
4. Operational Expert - Airside;
5. Safety and Security Expert;
6. An expert in retail and real estate at the Terminal (Terminal Retail and Real
Estate Expert).
III.1.6)Deposits and guarantees required:
A tender guarantee is not required in the proceedings.
III.1.7)Main financing conditions and payment arrangements and / or
reference to the relevant provisions governing them:
The main financial conditions and payment arrangements are specified in the
Draft Agreement constituting Appendix No. 2 to the SWZ.
III.1.8)Legal form to be taken by the group of economic operators to whom
the contract is to be awarded:
1. Contractors may apply for the conclusion of the Agreement jointly, eg in the
form of a consortium / civil partnership.
2. Contractors jointly applying for the conclusion of the Agreement must appoint
and indicate a Plenipotentiary to represent them in the Procedure or to represent
them in the Procedure and conclude the Agreement.
3. In the event that the Contractors jointly applying for the award of the Contract
are selected as the most advantageous offer, the Contractor, before signing the
Contract, at the request of the Awarding Entity, shall submit an agreement
regulating the cooperation of Contractors.
4. With regard to the conditions relating to education, professional qualifications
or experience, the Contractors jointly applying for the award of the Contract may
rely on the abilities of those Contractors who will perform the services for which
these abilities are required. In such a case, they will submit a declaration in
accordance with the provisions of Chapter VII sec. 7 SWZ.

The contracting authority may cancel the Procedure pursuant to Art. 257 of the
Public Procurement Law, i.e. in the event that the public funds that the Ordering
Party was to spend on financing all or part of the Contract will not be granted to
him.
Based on Article. 18 sec. 4 and art. 133 sec. 3 of the Public Procurement Law,
the Ordering Party indicates that the following parts of the SWZ are confidential
and constitute a CPK business secret:
1) Chapter VI para. 2 point 4 points 4.1) - 4.5) of this STC, with the exception of
the names of positions of persons that the Contractor should present to the
Ordering Party for the fulfillment of the condition of participation in the procedure,
specified in Chapter VI sec. 2 point 4 point 4.5) of the SWZ regarding the Key
Experts of the Contractor;
2) Chapter XIX of this STC - Description of non-price criteria along with the
method of evaluation of offers (excluding the names and weights of the criteria
and the names of sub-criteria in the "Expert Team" criterion);
3) Appendix No. 1 to the SWZ - Description of the Subject of the Contract with
attachments;
4) Annex 2 to the SWZ - Draft Agreement;
5) Annex 11 to the SWZ - List of services;
6) Appendix No. 12A to the SWZ - List of persons directed by the Contractor to
perform the Order in order to demonstrate the fulfillment of the condition for
participation in the Procedure;
7) Appendix No. 12B to the SWZ - List of persons indicated by the Contractor for
the needs of the offer evaluation criterion;
8) Appendix No. 16 to the SWZ - Contractor's Statement on the fulfillment of the
conditions for participation in the Procedure specified in Chapter VI sec. 2 point 4
items 4.1) -4.3) SWZ.
2. The above-mentioned information ("Confidential Information") will be made
available only to Contractors who undertake to keep this information confidential
by signing with a qualified electronic signature (in accordance with the rules of
representing the Contractor) and providing the Employer with an appropriate
declaration, constituting Appendix No. 14 to the SWZ.
3. The signed declaration referred to in sec. 2, along with documents confirming
the proper representation of the Contractor, should be posted on the SmartPZP
platform in the "Questions to proceed" tab.
4. A link to documents secured with a password will be sent to the Contractor to
the e-mail address indicated in the declaration by the Contractor, and the
password will be sent via SMS to the telephone number also provided by the
Contractor in the application. The Contractor downloads documents containing
Confidential Information via the sent link.
5. The above rules apply accordingly to the Ordering Party's answers to any
questions regarding Confidential Information. These responses will be provided
directly to all Contractors to whom Confidential Information has been provided.
6. Contractors who submit requests for the disclosure of Confidential Information,
after the Ordering Party provides answers to questions regarding Confidential
Information, will receive these answers together with Confidential Information.

rozporządzeniu 269/2014 albo wpisany na listę lub będący taką jednostką
dominującą od dnia 24 lutego 2022 r., o ile został wpisany na listę na podstawie
decyzji w sprawie wpisu na listę rozstrzygającej o zastosowaniu środka, o którym
mowa w art. 1 pkt 3 tej ustawy;
5) art. 393 ust. 1 pkt 2 ustawy Pzp, jeżeli Wykonawca w wyniku lekkomyślności,
zamierzonego działania lub niedbalstwa przedstawił Zamawiającemu
nieprawdziwe informacje na temat podlegania przez wykonawcę, podmiot
udostępniający zasoby, podwykonawcę, dalszego podwykonawcę (w tym
dostawcę), wykluczeniu na podstawie art. 5k ust. 1 rozporządzenia (UE) nr
833/2014 z 31 lipca 2014 r. dotyczącego środków ograniczających w związku z
działaniami Rosji destabilizującymi sytuację na Ukrainie (Dz. Urz. UE nr L 229 z
31.7.2014, str. 1 z późn. zm.) lub na podstawie art. 7 ust. 1 pkt 1-3 ustawy z dnia
13 kwietnia 2022 r. o szczególnych rozwiązaniach w zakresie przeciwdziałania
wspieraniu agresji na Ukrainę oraz służących ochronie bezpieczeństwa
narodowego.
2. Działając na podstawie art. 393 ust. 1 pkt 2 ustawy Pzp Zamawiający wykluczy
z udziału w Postępowaniu również Wykonawców, którzy znajdują się w sytuacji,
która wpływa lub może wpłynąć, bezpośrednio lub pośrednio, na bezstronne i
obiektywne wykonywanie przez Wykonawcę obowiązków wynikających z
realizacji Zamówienia polegającej na zaangażowaniu Wykonawcy na rzecz
Centralnego Portu Komunikacyjnego sp. z. o.o., tj. w przypadkach opisanych w
SWZ.
3. W przypadku Wykonawców wspólnie ubiegających się o udzielenie
Zamówienia, każdy z takich Wykonawców z osobna zobowiązany jest wykazać
brak podstaw wykluczenia z Postępowania.

Zamawiający nie ustala szczegółowego warunku w tym zakresie.

Zamawiający ustalił warunki w zakresie zdolności zawodowej
(DOŚWIADCZENIE), które zostały opisane w Rozdziale VI ust. 2 pkt 4 ppkt 4.1)-
4.4) SWZ. Warunki te stanowią tajemnicę przedsiębiorstwa i będą udostępniane
Wykonawcom na zasadach określonych w Rozdziale III Podrozdział III SWZ -
INFORMACJE POUFNE.
Zamawiający ustalił warunki w zakresie zdolności zawodowej (EKSPERCI
KLUCZOWI), które zostały opisane w Rozdziale VI ust. 2 pkt 4 ppkt 4.5) SWZ.
Warunki te, z wyłączeniem nazw stanowisk osób, stanowią tajemnicę
przedsiębiorstwa i będą udostępniane Wykonawcom na zasadach określonych w
Rozdziale III Podrozdział III SWZ - INFORMACJE POUFNE.
W zakresie zdolności zawodowej (EKSPERCI KLUCZOWI), Zamawiający
wymaga wykazania dysponowania osobami skierowanymi do realizacji
Zamówienia, tj. sześcioma (6) Ekspertami Kluczowymi:
1. Ekspert ds. zarządzania operacjami lotniczymi - Lider Zespołu Eksperckiego
(Ekspert Team Leader);
2. Ekspert ds. zarządzania obiektami i komponentami portu lotniczego (Facility &
Infrastructure Management Expert);
3. Ekspert ds. obsługi terminala pasażerskiego (Operational Expert – Terminal);
4. Ekspert ds. operacji lotniczych (Operational Expert – Airside);
5. Ekspert ds. ochrony lotniska (Safety and Security Expert);
6. Ekspert ds. handlu detalicznego i nieruchomości na terenie Terminala
(Terminal Retail and Real Estate Expert).
III.1.6)Wymagane wadia i gwarancje:
Wadium w postępowaniu nie jest wymagane.
III.1.7)Główne warunki finansowe i uzgodnienia płatnicze i/lub odniesienie
do odpowiednich przepisów je regulujących:
Główne warunki finansowe i uzgodnienia płatnicze określa Projekt Umowy
stanowiący Załącznik nr 2 do SWZ.
III.1.8)Forma prawna, jaką musi przyjąć grupa wykonawców, której zostanie
udzielone zamówienie:
1. Wykonawcy mogą wspólnie ubiegać się o zawarcie Umowy, np. w formie
konsorcjum/spółki cywilnej.
2. Wykonawcy wspólnie ubiegający się o zawarcie Umowy muszą ustanowić i
wskazać Pełnomocnika do reprezentowania ich w Postępowaniu albo
reprezentowania w Postępowaniu i zawarcia Umowy.
3. W przypadku, gdy zostanie wybrana jako najkorzystniejsza oferta
Wykonawców wspólnie ubiegających się o udzielenie Zamówienia, Wykonawca
przed podpisaniem Umowy na wezwanie Zamawiającego przedłoży umowę
regulującą współpracę Wykonawców.
4. W odniesieniu do warunków dotyczących wykształcenia, kwalifikacji
zawodowych lub doświadczenia Wykonawcy wspólnie ubiegający się o
udzielenie Zamówienia mogą polegać na zdolnościach tych z Wykonawców,
którzy wykonają usługi, do realizacji których te zdolności są wymagane. W takim
przypadku złożą oświadczenie zgodnie z zapisami Rozdziału VII ust. 7 SWZ.

Zamawiający może unieważnić Postępowanie na podstawie art. 257 ustawy Pzp,
tj. w przypadku, gdy środki publiczne, które Zamawiający miał przeznaczyć na
sfinansowanie całości lub części Zamówienia nie zostaną mu przyznane.
Na podstawie art. 18 ust. 4 i art. 133 ust. 3 ustawy Pzp, Zamawiający wskazuje,
że następujące części SWZ mają charakter poufny i stanowią tajemnicę
przedsiębiorstwa CPK:
1) Rozdział VI ust. 2 pkt 4 ppkt 4.1) – 4.5) niniejszej SWZ, z wyłączeniem nazw
stanowisk osób, które Wykonawca winien przedstawić Zamawiającemu na
spełnienie warunku udziału w postępowaniu, określonego w Rozdziale VI ust. 2
pkt 4 ppkt 4.5) SWZ dotyczącego Ekspertów Kluczowych Wykonawcy;
2) Rozdział XIX niniejszej SWZ - Opis pozacenowych kryteriów wraz z podaniem
sposobu oceny ofert (z wyłączeniem nazw i wag kryteriów oraz nazw
podkryteriów w kryterium „Zespół Ekspercki”);
3) Załącznik nr 1 do SWZ - Opis Przedmiotu Zamówienia wraz z załącznikami;
4) Załącznik nr 2 do SWZ - Projekt Umowy;
5) Załącznik nr 11 do SWZ - Wykaz usług;

2. Wyżej wskazane informacje („Informacje Poufne”) zostaną udostępnione
wyłącznie Wykonawcom, którzy zobowiążą się do zachowania tych informacji w
poufności poprzez podpisanie kwalifikowanym podpisem elektronicznym
(zgodnie z zasadami reprezentacji Wykonawcy) i przekazanie Zamawiającemu
stosownego oświadczenia, stanowiącego Załącznik nr 14 do SWZ.
3. Podpisane oświadczenie, o którym mowa w ust. 2, wraz z dokumentami
potwierdzającymi właściwą reprezentację Wykonawcy należy zamieścić na
platformie SmartPZP w zakładce „Pytania do postępowania”.
4. Link do zabezpieczonych hasłem dokumentów zostanie przesłany Wykonawcy
na adres e-mail wskazany w oświadczeniu przez Wykonawcę, a hasło będzie
przekazywane SMS-em na numer telefonu również podany przez Wykonawcę
we wniosku. Wykonawca pobiera dokumenty zawierające Informacje Poufne
poprzez przesłany link.
5. Powyższe zasady mają odpowiednie zastosowanie do udzielania przez
Zamawiającego odpowiedzi na ewentualne pytania dotyczące Informacji
Poufnych. Odpowiedzi te zostaną przekazane bezpośrednio wszystkim
Wykonawcom, którym zostały przekazane Informacje Poufne.
6. Wykonawcy, którzy złożą wnioski o udostępnienie Informacji Poufnych, po
udzieleniu przez Zamawiającego odpowiedzi na pytania dotyczące Informacji
Poufnych, otrzymają te odpowiedzi wraz z Informacjami Poufnymi.
