AGREEMENT FOR LEAVE AND LICENSE

This Agreement for Leave and License made and entered into at Mumbai

Ahmedabad this day of AUGUST JULY 20152022.

BETWEEN

MRS. BRIJLATA SANWALDEVENDRA CHANDARANA an adult,

Indian Inhabitant of Mumbai, presently having address at Flat No. 402141, Juhu

Kishank SocietyKalapataru Estate , 14 Floor, Gulmohar RoadJVLR, Near Sujoy

HospitalMajas Depot, JuhuAndheri (E), Mumbai – 400 049093., hereinafter referred

to as the ‘LICENSOR’ (which expression shall unless repugnant to the context or

meaning thereof is deemed to mean and include her heirs, executors, administrators

and assigns) of the ONE PART:

Shakuntal Apartment, Near Giriwar Bungalows, Isanpur Road, Ahmedabad (4)

MANAN DEVENDRABHAI CHANDARANA an adult, having address at NM, A-

53, Satellite Centre, Mansi Circle, Vastarapur, Ahmedabad and (5) SANKET

SHETH an adult, having address at 1073, A-2, Ambawadi, Behind Yashwanrai

Natyagruh, Bhavnagar, hereinafter referred to as the ‘LICENSEE/S’ (which

expression shall mean and include after his heirs executors, administrators, and

assigns) of the OTHER PART.

WHEREAS the Licensor is the absolute owner in respect of FLAT NO.

049----, (hereinafter called the said “FLAT PREMISES”).

AND WHEREAS the said LICENSOR hereby allow the said

LICENSEE/S to occupy the said Flat premises on the basis of Leave and License and

for a fixed period of 112 (TwelveELEVEN) months which is commencing from 01

APRIL JULY 2015 2022 TO 31 MARCH MAY 2016 2023 (both days inclusive)

with option to renew the for 2 further periods of 11 (ELEVEN) months, if

mutually agreed upon at the material time . Licensee(s) and Licensor(s) shall be

entitled to terminate the Agreement and to vacate the sa id Residential

Accommodation after giving one month’s notice to the Licensor(s)/ Licensee(s)

even before expiry of the aforesaid period of the License or of the renewals

thereof.

AND WHEREAS the parties hereto are desirous to recording the terms of

these Agreements in writing:

NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES

HERETO AS FOLLOWS;

1. In pursuance of the said Agreement and in consideration of the compensation

as hereinafter reserved and covenants on the part of the Licensees hereinafter

contained, the Licensor both hereby grant Leave and License unto the Licensee to use

and occupy the said FLAT NO. A/12703, 7 FLOOR, MALABAR COUNTY - I,

2. It is hereby expressly agreed and understood that the Licensor has granted to

the Licensee Leave and License in respect of the said Flat Premises for the period of

12 11 months to be used for RESIDENTIAL PURPOSE Only. However this Leave

and License Agreement is treated as a lock-in for a period of 12 (Twelve) months

during which Licensee/s shall not terminate the said Agreement.

3. The Licensees hereby agree to pay to the Licensor the sum of Rs.

5214,000500/- (Rupees: Fifty-Two thousandFourteen thousand five hundred

Onlyonly) per months as a monthly compensation for the use and occupation of the

said Flat Premises payable in advance on or before 5 day of each calendar month

and will be credited in SB Account No.56421000836 of SBI, Ahmedabad Main

Branch by Post Dated Cheques. In case of Cheques being dishonouredof default in

payment, the Licensor shall immediately issue the Notice to the Licensee/s to remedy

the issue immediately or vacate the said Flat within 15 (Fifteen) days failing which

the Licensee/s shall be liable to pay as penalty twice the current License

fees/compensation for period after notice date till they vacate the said Flat. After

deducting the due penalties and damages and pending bills, the Licensor shall refund

the deposit upon the receiving the said Flat in proper condition. If any of the above

Licensee/s vacate the said Flat before expiry date, the liability of paying the Full

Monthly Compensation i.e. Rs. 5000014500/- shall be remain on the other Licensee.

4. The Licensees have deposited with the Licensor the sum of Rs.

2,0014,000500/- (Rupees: TWO LAKHSFOURTEEN THOUSAND FIVE

HUNDRED ONLY) as interest free security for the due and faithful performance of

the terms and conditions contained herein, receipt whereof the Licensor both hereby

admit and acknowledge. It is expressly agreed to and declared by the parties hereto

that if the Licensees commit defaults or breach of any of the terms and conditions

contained -

-herein, the Licensor shall be entitled to and at liberty to forfeit the said deposit

amount without prejudice to his other remedies at law and shall be entitled to and at

liberty to remove the Licensee(s), their members of family, staff, employees and

servants and their office equipment, furniture and other articles lying therein. It is

further agreed to and declared by the parties hereto that the deposit amount shall

remain with the Licensor and shall be refunded without interest to the Licensees on

the expiry of this Agreement.

5. That the Electricity Charges, cable charges, compensation and commission

included of the monthly compensation etc. of said licensed premises will be paid by

the Licensee/s and the Licensor will not be responsible for the same.

6. The Licensee can obtain their own Telephone connection in the Flat Premises

at their own cost and the Licensor shall not be liable for any expenses whatsoever for

the same.

7. The maintenance and society charges shall be paid by the Licensor Licensee to

the Soceity.

8. The Licensor shall not be liable for and/or in respect of any damage or

compensation payable in law in respect of or in consequence of any accident or injury

to any workman or other person in the employment of the Licensees and the

Licensees shall indemnify and keep indemnify the Licensor against all such damages

and compensation and against all claims, demands, proceeding, costs, charges and

expenses whatsoever in respect thereof or in relation thereto.

09. The Licensees shall keep and maintain the said Flat Premises in good and

clean condition.

10. The Licensees shall be deemed to be Licensees only by virtue of there presents

and shall not make or have any claim to tenancy, sub-tenancy, lease or any other

right, title or interest of whatsoever nature in the said premises or any portion thereof.

It is agreed between the parties hereto that the Licensees shall not grant agreed

between the parties hereto that the Licensees shall not grant any sub-License to any

other person and shall not keep any other person in place of the Licensees.

11. The Licensees shall not, under any circumstances, have any right to deal with,

assign or dispose of in any manner whatsoever all or any of the benefits under this

Agreement to any person or person.

12. The Licensees shall not cause or cause to suffer any act whereby the right or

interest of the Licensor in respect of the said Premises is jeopardized prejudiced or

adversely affected.

13. The Licensees shall not do or suffer to be done anything in the said Premises

which is likely to be nuisance or annoyance to the Licensor or any other

Members/Occupiers in the said Building or anything which may offend against any

Statute, Law, Notification, Bye-Laws, Rules and Regulations made by the

Government of India, State of MaharashtraGujarat, Local Authority.

14. The Licensor shall not be responsible for any damage that may be caused to

any property of the Licensees whether by fire, rain, damage, leakage or bursting of

water or gas pipes or electric wire fuses or tubes or any other causes whatsoever.

15. The Licensees shall not change or alter whether temporary or of permanent

nature in the said premises or any portion thereof without written consent of the

Licensor. Any such change, alteration and/or modification in the Flat Premises shall

be certified by an Architect and approved by the local authorities, wherever

necessary. The Licensees shall not construct loft and/or mezzanine floor in the

premises

16. It is hereby expressly agreed and declared that upon the Licensees complying

with the terms and conditions of this Agreements, they shall be entitled to use and

occupy the premises during the Period of this License or renewal thereof as the case

may be without any interruption from the Licensor or any other person or persons

claiming by, from, under or in trust for him.

17. The Licensees shall not use the said Premises for any illegal, immoral or

improper purpose and not commit nuisance to the neighbours.

18. On the expiration of the said period of 112 months or earlier termination after

lock-in period as mentioned above, the Licensee shall remove themselves, their

equipment, furniture articles and things from the said Premises or any part thereof and

shall restore vacant and peaceful possession of the said Premises to the Licensor. In

the event of Licensees fails to handover vacant and peaceful possession of the Said

Premises in good and clean condition to the Licensor on expiry of this Agreement as

above, the Licensor shall be entitled to and at liberty to enter into the said premises

and retake possession thereof from the Licensees without recourse to a Court of Law

and without prejudice to the right of the Licensor to recover damages from the

licensees.

19. If the Licensees fails to handover vacant possession of the premises in good

and clean condition within the stipulated time as stated hereinabove or on expiry of

the Agreement, the Licensor shall be at liberty to recover the compensation and

arrears, if any, at an enhanced rate as may be deemed fit and proper by him till

recovery of the Premises from the Licensees and all other moneys payable by the

Licensees.

20. At the time of Licensee/s leaving the said premises the Licensee/s shall be

entitled to remove all items belonging to the Licensee/s brought into the said

Premises.

21. It is agreed that the provisions of Section 24 of the Maharashtra Rent Control
Act, 1999 as amendedIn the event of any breach of the terms and conditions of this
agreement by the Licensees and not remedied by the Licensees within one month
from the receipt of the written requisition from the Licensor(s), the Licensor(s) shall
be entitled to revoke and cancel the License here by granted after giving one month’s
notice in writing and thereupon the Licensees, their officers, and member of their
family shall remove themselves from the said Residential Accommodation with all
their goods and belongings. shall apply in the event of the failure of the LICENSEE to
vacate the said Premises on the expiry of the period of license as agreed upon and/or
on breach of any of the terms and conditions of this agreement.

22. The Licensee/s will vacate the Flat and hand over possession to Licensor
immediately on expiryof this Agreement. If not they have to pay Penalty of Rs.
5,000/- per day in addition to the normal rent payable till the date possession is
handed over.

23. If due to any reason whatsoever, if rent is not paid for a period of two months,
Licensor has a right to take over the possession of the Premises, irrespective of what
is mentioned in this Agreement.

24. Both the parties hereby confirm that Stamp Duty, Registration Charges, if any
will be paid by the Licensor and Licensee/s in equal proportion.
