Parties

This SOFTWARE DEVELOPMENT CONTRACT (“Contract”), dated August 1, 2021 (“Effective Date”), is made by
and between [John O. Obrien] of [Innovative Software Solutions], located at 1076 Rafe Lane, Yazoo City,
Mississippi 39194 (“Software Company”), and [Blanche A. Denniston] of [Santa Barbara Brewery Inc.], located
at 723 Mcwhorter Road, Greenwood, Mississippi 38930 (“Client”).

In consideration of the mutual promises and covenants in this Contract, of which the receipt and sufficiency are
hereby acknowledged, the Parties further agree to the terms as follows:

Services

The Software Company agrees to develop a human resources management software (“Software”) for the Client
according to the Client’s specifications, maintenance, training, and support services ("Services"). The Services
are expected to be completed by November 1, 2021.

Terms and Conditions

EXPENSES AND PAYMENT

The Client agrees to pay the Software Company one thousand dollars ($1,000.00) for the completion of the
Services as set forth in this Contract. All the invoices shall be paid by the Client within two (2) weeks of
receipt of the invoices.

MODIFICATIONS

In the event that the Client desires to make any modifications to the Software, the Client must provide a
detailed change to the specifications. Furthermore, if there is a conflict on the written changes, the terms of
this Contract shall govern.

TRAINING, SUPPORT, AND MAINTENANCE

The Software Company shall provide training to the Client’s staff on how to use the Software. The support
and maintenance for the Software shall be agreed upon between the parties in a separate contract.

 RESPONSIBILITIES OF THE CLIENT

The Client shall have the following responsibilities and obligations:

Define the specifications of the Software and the schedule of its development.
Provide its assistance and cooperation to the Software Company.
Pay the necessary expenses, fees, and taxes.

ASSIGNMENT OF PROJECT MANAGERS

The parties shall assign a project manager to manage the implementation of the Software and shall have the
following responsibilities:
Manage the activities and serve as a liaison between the parties
Assign the appropriate employee to perform all the Services under this Contract
Execute any change orders

PRODUCT AND INTELLECTUAL PROPERTY RIGHTS

All the materials used by the Software Company for the completion of the Services shall belong exclusively
to the Client. The Software Company acknowledges that the software is deemed “work for hire” and shall be
exclusively owned by the Client. Furthermore, all the development tools that are used by the Software
Company shall be solely owned by the Software Company.

ENTIRE CONTRACT

This Contract contains all the understanding of the Parties with respect to the subject matter hereof.
