Partnership Contract

Open Partnership agreement between

P2E Games (herein referred to as “P2E”)

AND

Fidem

(herein referred to as the “Content Creator”)

is made and entered on Jan. 15, 2022 (the “effective date”)

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties
hereto, the Parties covenant and agree as follows:

I. SCOPE OF WORK

1. The Content Creator shall introduce P2E to his/her viewers in ONE (1) Tiktok Video and
supplementary Discord and Facebook Posts
2. The introduction script will be provided by P2E.
i. Minor changes and revisions to the script are allowed to fit the Content
Creator’s speaking style but main ideas must remain the same and
complete.
3. The Content Creator must encourage his/her community to join the giveaway in
partnership with the channel and/or page.
 4. The Content Creator must include P2E’s social media links and giveaway mechanics in
the caption (Facebook), pinned comment (Tiktok), and/or description box of the
sponsored video (Youtube).
5. The videos must first be approved by P2E before posting on Tiktok or Youtube.

II. PAYMENT CHARGES

P2E shall pay the Content Creator PHP 5,000.00 for the work covered under the Agreement.

● 50% (PHP 2,500.00) of this amount must be made before the beginning of the project,
and the remaining 50% (PHP 2,500.00) balance upon completion of all the work in this
agreement.

P2E will also provide a gift to the content creator’s community by offering THREE (3) P2E
scholarship slots for them.

III. TERMINATION & CANCELLATION

The Parties acknowledge that any Party can terminate/cancel this Agreement at any time
provided that they issue a 3 day Written Notice with valid reason.

The Parties acknowledge that P2E can at any time terminate/cancel this Agreement should the
Content Creator fail to follow the said terms and conditions.

IV. TIMELINE

Contract Agreement Finalized: January __, 2022

(For each video deliverable)

● Video Title/Concept Approval: 1-3 Business Days

● Video Production: 2-5 Business Days
● P2E Comments: 1-2 Business Days after Video Submission
● If video is approved, the Content Creator may coordinate with P2E on when the
video will be posted on the channel.
 ● If P2E requests revisions, the Content Creator must submit a revised video within
1-5 business days of the requests.
● The schedule for the posting of the approved video must be within the
coordination of a P2E representative.

V. GENERAL VIDEO/STREAM GUIDELINES

1. The video topic must be related to PLAY-TO-EARN content

2. No discussion of any illegal activities whatsoever
3. No use explicit, racist, obscene, or vulgar content/words
- This includes, but is not limited to images, memes, suggestive jokes, and spoken
language
4. No content that may attack, insult, flame, defame, abuse, or offend anyone.
5. The video must not contain other sponsorships or partnerships with other companies.
6. The video must follow the complete scope of work in Section 1 of this contract.

Any violation in this contract will result in a termination of the contract and payment.
