APPOINTMENT AND CONTRACT OF EMPLOYMENT

Know All Men by These Presents:

WHEREAS, the above-named person, offering his services and representing and
warranting himself to have the necessary skills, capabilities, education, condition,
expertise, abilities, and/or experience, is hereby accepted and appointed with the
specific designation/position of TECHNICAL CONSULTANT (HEAVY
EQUIPMENT) The latter’s employment with the Company will commence on
____________.

NOW, THEREFORE, for and in consideration of the foregoing premises, above


named/appointed Employee shall have tasks/works/duties:

 Evaluate and diagnose mechanical problems with mobile heavy


equipment throughout our hauling operations;
 Travel to various remote sites to accomplish field repairs on machines
that have broken down in places where relocating them to the main shop
would be counterproductive;
 Communicate clearly with mechanical technicians and other team
members providing support services during repair operations;
 Document various steps taken throughout the repair process to ensure
consistency in future repairs and in reporting on resources and supplies
used;
 Demonstrate knowledge of the various mechanical systems that go into
each piece of mobile mining equipment in our operation’s various
locations;
 Supervise and train technicians and other support staff members whose
primary responsibilities consist of assisting with operations;
 Provide routine preventative maintenance on vehicles and other pieces
of mobile heavy equipment to avert the need for repairs;

 Track the maintenance rotation and ensure no pieces of equipment are
missed during each maintenance cycle.

Additionally, the following terms and conditions shall govern the Employee
as follows;
1. Compensation
1.1 The gross monthly salary is ONE HUNDRED TWENTY
THOUSAND PESOS ONLY (PHP 120,000.00). It shall be subject to
all applicable taxes and deductions allowed under Philippine law.
All salary information is confidential.
1.2 His/her salary will be paid bi-monthly while this offer is in force.
You hereby authorize the Company to deduct from your
compensation any applicable deductions required by law.
1.3 He/she will be entitled to receive a 13 th-month pay, equivalent to
one-twelfth (1/12) of the basic salary earned in a calendar year.
2. Employee shall comply and submit his/her complete 201-File.
3. Work Week
3.1 Work schedule and assignments are made based on Company needs.
He/she will not have a fixed work assignment but should report every
day. He/she agrees to accept any assignment to any location, if and
when requested to do so by the Company.
4. Leave Credits
4.1 Upon employment, he/she is granted a total of thirty (30) days’
vacation and sick leave credit, available annually.
4.2 Such leave is to be taken at times convenient to the employer and the
employer may require the employee to take his/her leave at such times
as coincide with that of the employer.
5. Probationary Period
5.1 He/she understands and agrees that his/her initial engagement for the
job is for a six (6) months probationary employment, subject to review
for performance, capability, competency, skills, and general conduct
against the standards required in the job role.
5.2 This offer for probationary employment will be converted to regular
employment upon satisfactory review on or before the end of his/her
6th month. At the of his/her probationary employment, a letter
confirming his/her regular employment will be issued if, at the
Company’s absolute discretion, his/her services are found to be
satisfactory based on the standards. On the other hand, if the
Company determines that you have not satisfactorily met the above
standards, your services will be terminated upon reasonable notice.

6. Employee Waiver
6.1 The company has the right to conduct RANDOM DRUG TESTING on
all employees at any given time for purposes of reducing the risk in
the workplace.
6.2 Any officer or employee found positive for use of dangerous drugs
shall be dealt with administratively which shall be a ground for
suspension or termination, subject to the provisions of Article 282 of
the Labor Code and pertinent provisions of the Civil Service Law.
7. Termination of Employment
7.1 Employee shall obey and comply with all the company rules, policies,
regulations, standards instructions, and/or practices. Violation of
which shall be a ground for the termination of this employment.
7.2 A completion/realization of the Project/Contract/Activity and/or
termination thereof earlier than the estimated duration shall not make
the company liable to the Employee.
7.3 The Employment herein shall also be terminated for just or authorized
cause under the Philippine Labor Code and other applicable laws,
rules, and regulations.
8. General
Any changes to this agreement will only be valid if they are in writing
and have been agreed and signed by both parties.
