Hey Jason.

The entity that I would acquire the loan pool in is 1 st Fidelity Loan Servicing. This entity was started
in February 2008 when I acquired a $30MM loan pool from Radian Group. The pool consisted of approximately
800 loans, all of which were non performing seconds behind non performing first mortgages . I have
included the executed note sale agreement for that deal as well as the Word file in case you needed a
template for our deal. Also enclosed are two note sale agreements between 1 st Fidelity Loan Servicing and
Chase Home Finance for $35,000 and $200,000 for loans that I have already purchased from Chase in this
entity's name. 1 st Fidelity Loan Servicing is owned 99 by myself personally and 1 by the managing
member, Real Estate & Finance, Inc which I am the only officer and 100 owner. The first loan pool will
be funded with personal financial resources. If we are able to work out a monthly loan pool purchase
program, we will utilize the financial resources of several high net worth individuals and small hedge
funds whom I know personally and that have expressed interest in investing in our business.

Since this is a fairly new entity, the financial statements do not show an accurate picture of the
Company. Since all of the loans purchased are non performing at the time of acquisition, a large
percentage will be lost through a foreclosure by the 1 st mortgage in the first year. This Company will
show a long stream of positive cash flow as loans are modified, payment arrangements are made and
borrowers enter into Chapter 13 bankruptcy plans. The Company currently grosses $50,000/month with little
expense as there is no debt owed. The company has been funded through shareholder loans from myself. 1 st

performing. Financials to
follow.

Most of the loans that we purchase through Chase are in the name of S & A Capital Partners. I have
enclosed a copy of the Master Mortgage Loan Sale Agreement between S & A Capital Partners and Chase Home
Finance, LLC from April 2005. I believe there is an earlier version but I can't find it in my records.
We have purchased approximately 500 loans from Chase loss mitigation in this name. S & A Capital Partners
was started in 2003 by myself and Brad Axel as 50/50 partners and I am the president of the Company. We
have been acquiring loans primarily from Chase, Radian Group(Millennia Asset Recovery), Guaranty Bank and
HomEq Servicing(Barclays, First Union). Chase Home Finance Loss Mitigation Department has relied on our
firm to help achieve individual and team end of month goals as we have always dedicated the time and
resources necessary to make quick decisions and fund within moments of note sale approvals.

Both entities currently utilize The Mortgage Office Servicing platform for our loan servicing operations
as well as proprietary loan tracking programs . We are familiar with RESPA requirements, bankruptcy laws
and follow all government procedures regarding our responsibilities. Our staff is well trained in loss
mitigation techniques and offers creative solutions which typically aren't available through large
financial institutions.
