AGREEMENT AMONG HEIRS

This Agreement is executed among the brothers and sisters named below, of legal age,
and Filipino citizens at the time of the transfer of ownership by settlement of estate among heirs,
with their respective shares on the real estate properties described hereunder:
Transfer Certificate of Title No. 193175
A parcel of land (Lot No. 3 Block No. 20 of the consolidation and subdivision plan Pcs-
2354 Sheet 1, being part of the consolidation of Lots 7-A and 7-B portion of Block 3058,
described on plan Psd-19161, CLRO Record No. 327) situated in the District of Sta. Ana City of
Manila. Bounded on the N E, by Lot No. 12, Block No. 20 of the consolidation plan; xxx
registered in the name of:
1. ANTONIO D. LLANES, JR. married to Eunecy M. Llanes, 1/3;
2. MARIA LUISA D. LLANES, single, 1/3;
3. VICENTE D. LLANES, single, 1/3 …..xxx….
…containing an area of ONE HUNDRED SIXTY TWO SQUARE METERS and NINETY
DECIMETERS more or less (162.90)….of the consolidated and subdivision survey, Dec. 18.
1940…May 5 to 20, 1947.

A parcel of land (lot No. 4, Block No. 20 of the consolidation and subdivision plan Pcs
2354 Sheet 1, being a portion of the consolidation of Lots 7-A and 7-B, portion of Block No.
3058, described on Plan Psd 19161, CLRO Record No. 327), situated in the District of Sta. Ana,
City of Manila, Bounded on the NE by Lot No. 11, Block No. 20 of the consolidation
subdivision plan; on the xxx…registered in the name of:
1. MARIA CRISTINA LLANES PONCE, married to Vicente B. Ponce;
2. RUBEN M. LLANES, married to Alicia S. Llanes; and
3. VICENTE D. LLANES, married to Maria Caridad M. Burdeos, all Filipino citizens at
at 1/3 each …xxx…containing an area of ONE HUNDRED SIXTY THREE SQUARE
METERS & FIFTY SQUARE DECIMETERS (163.50)….more or less…xxx …of the
consolidated and subdivision survey, Dec. 18, 1940…May 5 to 20, 1947.
That they have mutually and unanimously agreed among themselves to sell the above-
described property and subsequently distribute the proceeds from the sale among themselves in a
manner that is fair and equitable and in accordance with previously agreed terms and conditions
governing the manner and amount of distribution for each of them brothers and sisters so-named
in this Agreement.
That RUBEN M. LLANES, whose name as co-owner appears in TCT No. 193176, by
mutual agreements, is substituted by another brother, EMILIO D. LLANES, as co-owner in said
property, and co-distributee from the proceeds of its sale, in exchange for the amount of $10,000
paid to RUBEN M. LLANES by EMILIO D. LLANES.
That to facilitate the execution of this Agreement in a manner that is efficient and
expeditious, the parties have further mutually and unanimously agreed to appoint MARIA
CRISTINA LLANES PONCE, now named CHRISTINA LLANES MABALOT, who is one and
the same person, as the official representative of the brothers and sisters in transacting the sale of
the property, which includes but not limited to appointing an attorney-at-law and/or other
professionals who can handle said sale and conveyance of the property, and to sign for and on
behalf of the brothers and sisters in any and all contracts and/or formal agreements covering the
proposed sale and disposition of the real estate properties described in this Agreement.
PROVIDED, THAT, ANTONIO LLANES, JR., the heir, currently in physical possession
of the properties, may in his own capacity, transact the sale of the property independently of the
appointed powers in this Authority, subject to mutual observance of prior notice as between him
and the appointed powers, as to who finds first and final buyer, at which point, by mutual
agreement, one will give way to the other.
By virtue of all the foregoing terms and declarations , the heirs have hereby affixed their
respective signatures above their names signifying their understanding and consent to this
Agreement

AUTHORITY TO SELL REAL ESTATE PROPERTY

KNOW ALL MEN BY THESE PRESENT:

A written authority (the “Authority”) found in the Agreement among Heirs, has been
granted to me by my co-owners in the real estate properties described as, Transfer Certificate of
Title No. 193175 with an area of 162.90 sq. m. more or less and Transfer Certificate of Title No.
193176 with an area of 162.50 sq. m. more or less, particularly described in attached copy of said
Transfer Certificates of Title, which form an integral part of this Authority To sell.
By virtue of said authority, copy of which is likewise attached hereto, which form an
integral part of this Authority, I hereby appoint ALENN NIDEA, an attorney admitted in all
jurisdictions in the Philippine legal system, and a licensed Philippine attorney registered in New
York state at the Office of the NY Court Administrator, New York, NY, as the duly-authorized
person to handle the sale of the properties described in the attached copy of the Agreement
among heirs He is further authorized to appoint his professional associates in Manila,
Philippines, namely, ROEL ALSISTO and HERMINGARDO BRAZAL to do and perform
every act and thing necessary to put into effect the powers vested in him by virtue of this written
Authority and I hereby ratify and confirm what his associates can and will do by virtue hereof.
For the services rendered by the appointed powers in this authority, they shall be
compensated professional fees amounting to Five Per Cent (5%) of the Total Amount at which
the property is sold, which should be not less than FORTY MILLION PESOS (P40,000,000.00).
It is so provided and mutually agreed that full completion of services would consist of the Deed
of Absolute Sale covering the sales transaction having been fully executed, and on hand
received by the property Buyers; in exchange for the money received by Sellers and deposited in
a bank account in the name of the Sellers, at which point, a check payment representing the fees
for the professional services would have been delivered and duly acknowledged by the appointed
powers.
