RELEASE WAIVER AND QUITCLAIM

KNOW ALL MEN BY THESE PRESENTS:

I, JUAN DELA CRUZ, Filipino, of legal age and a resident of 122 ADDITION HILLS
MANDALUYONG CITY, hereby acknowledge my receipt from WINTER CORPORATION
(“Company”) with the following Metrobank Check Number 123345, in the amount of Php
One Hundred Twenty Five Thousand Two Hundred Fifty Three and Nine Centavos (Php
125,253.09), in full and complete payment of all benefits due me by reason of my termination
with the Company which ends my employment thereat effective 13 April 2022, including all my
accrued benefits, separation pay and all other benefits to which I am entitled to under the
Company’s policies and practices by reason of my employment with the Company.

In consideration to the foregoing –

1. I release, remise and forever discharge the Company, its successors-in-interest,

stockholders, officers, directors, agents or employees from any action, sum of money,
damages, claims and demands whatsoever, which in law or equity I ever had, now have,
or which I, my successors and assigns hereafter may have by reason or any matter,
cause or thing whatsoever, up to the time of these presents, the intention hereof being
completely and absolutely to release the company, its successor-in-interest,
stockholders, officers, directors, agent or employees from all liabilities arising wholly,
partially or directly from my previous employment with the Company.

2. I acknowledge that I have received all amounts that are now or may be due me from the
Company. I acknowledge that during my employment with the Company, I received
and was paid all compensations, benefits, and privileges to which I was entitled under
all laws and policies of the Company by reason of my employment and/or engagement
therewith, and if I hereafter be found in any manner to be entitled to any amount, the
aforementioned monetary amount is a full and final satisfaction of any and all such
undisclosed claims.

3. I further warrant that I will institute no action against the Company, its successors-in-
interest, stockholders, officers, directors, agent or employees by reason of my past
employment with the Company. Neither shall I participate, actively or inactively in any
present or future action, or claims filed against the Company by any person or entity for
whatsoever purpose or end.

4. I will not, at any time, and in any manner whatsoever, directly or indirectly, disclose to
any person or entity, any information of any kind relating to the business of the
Company, its manner of operations, plans, processes or data or any and all kind. I also
undertake to surrender to the company all papers and documents belonging to the latter
which have come into my possession as a result of my past employment with the
Company.

I finally declare that I have read and understood this document and the release waiver and
quitclaim hereby given are made willingly and voluntarily and with full knowledge of my rights
under the law.

IN WITNESS WHEREOF, I have hereunto affixed my hand on this 11th day of March,
2022 at Taguig City.
