The Hopeful Corporation

The undersigned incorporators, all of legal age, have voluntarily agreed to form a nonstock
corporation under the laws of the Republic of the Philippines and certify the following:
First: That the name of said corporation shall be The Hopeful Corporation;
Second: That the purpose or purposes for which such corporation is incorporated is;
To give hope to underprivileged individuals who are losing hope but willing to become
hopeful as the corporation will be giving scholarships to such individuals. And to
engage in conducting livelihood programs, job trainings necessary for employment
without any fee and qualifications.
Provided that the corporation shall not solicit, accept or take investments/placements
from the public neither shall it issue investment contracts.

Third: That the principal office of the corporation is located in Yhzr Building, Purok 1, Barangay
Alcala, Municipality of Maria Aurora, Province of Aurora, Philippines;

Fourth: That the corporation shall have perpetual existence from the date of issuance of the
certificate of incorporation;
Fifth: That the names, nationalities, and residence addresses of the incorporators of the corporation

Seventh: That the total contribution of the corporation is Sixteen Million Five Hundred Thousand

Ninth: That Justine Buenavista has been elected by the members as Treasurer of the corporation
to act as such until her successor is duly elected and qualified in accordance with the by-laws, and
that as such Treasurer, she has been authorized to receive for and in the name and for the benefit
of the corporation, all contributions or donations paid or given by the members.
Tenth: That the incorporators and trustees undertake to change the name of the corporation as
herein provided, or as amended thereafter, immediately upon receipt of notice or directive from
the Securities and Exchange Commission that another corporation, partnership or person has
acquired a prior right to the use of that name or that the name has been declared as misleading,
deceptive, confusingly similar to a registered name or contrary to public morals, good custom or
public policy.
Eleventh: That no part of its income is distributable as dividends to its members, trustees or officers
subject to the provisions of the Corporation Code of the Philippines on dissolution. Provided, that
any profit obtained by the association as an incident to its operation shall, whenever necessary or
proper shall be used for the furtherance of the purposes enumerated in Article II, subject to the
provision of Title XI of the Corporation Code of the Philippines.

IN WITNESS WHEREOF, we have hereunto signed these Articles of Incorporation, this 6th day
