CONTRACT OF EMPLOYMENT

TERMS AND CONDITIONS:

1. Your employment as HR/Liaison Officer shall be subject to a probationary period of six (6)
months. During the probationary period, you will be evaluated for suitability to continuation of
employment and for subsequent position upgrade based on performance standards set by the
Company for the position in accordance with Company Rules and Regulations.

2. You are required to submit NBI clearance, Brgy. Certification, certificate of employment from
previous employer and such other documents as may be required by management as a pre-
condition to employment.

3. The scope of your work, duties and responsibilities are in the accompanying job description.
Nevertheless, the Company reserves the right to amend, revise or modify the job description as
amended by the nature of the Company’s operations. You shall be notified in writing should
changes take effect.

4. You further agree to:

a. Preserve the goodwill and professional trade secrets of the Company at all times and
are aware of the corporate objectives, working for the sole benefit of the Company
and not to do any act prejudicial to its interest.

b. Hold inviolable all data which may come into your possession and knowledge by
reason of your employment with the Company. Hence, you shall hold the same in full
trust and confidentiality having full regard of the Company’s rights over said
information and data.

c. Not join or put up a competitor company / business with adverse interest against the
Company for a period of two (2) years after your services have ceased or have been
terminated.

Violation of any of the foregoing provisions shall be considered a material breach of this
Employment Contract and as a consequence, you hereby undertake to indemnify the Company in
the amount of FIVE HUNDRED THOUSAND PESOS (Php. 500,000.00).

5. Your employment may be terminated in accordance with the provisions of this Employment
Contract, the Company policy/rules and regulations and such grounds the Labor Code and relevant
laws may provide.

6. You agree to abide by the Company rules and regulations and policies which you shall study and
know immediately upon employment. You are to refrain from engaging in any activities which are
prejudicial to the interest of the Company or which interferes with the performance of your job,
whether within or without working premises and hours.

7. Your work schedule shall be eight (8) hours per day, six (6) days per week. During the entire
period of this contract, you agree to be assigned to any work station for such period of time as
may be determined by the Company and whenever the service requires such assignment.

8. You will receive a monthly base salary of Php __________ half of which is payable no later
than the 15th day and the other half no later than end of the next month. This amount
remains the same regardless of the number of days in a calendar month, subject to any deductions
for absences and tardiness. Your salary includes compensation for unworked legal holidays. The
company will withhold from your salary and pay on your behalf any income taxes and contributions
such as but not limited to Social Security System (SSS), Pag-ibig Fund, Philhealth for your future
benefit and use, all with your acknowledgment and consent. You will also receive the government
mandated 13th month pay, which is “one twelfth (1/12) of the total basic salary earned by an
employee within a calendar year”, on the month of December.

9. Should you decide to resign, you shall give us a written notice of at least thirty days (30)
before the intended date of resignation, as required under the Labor Code. It is understood
that days spent with the Corporation in completing clearance procedures shall not be computed as
part of salaries earned.

10. You acknowledge that, in the course of performing and fulfilling your duties, you may have access
to and shall be entrusted with confidential information concerning the present and contemplated
operations and activities of the Company, the disclosure of any of which confidential information to
competitors of the Company would be highly detrimental to the interests of the Company. You
further acknowledge and agree that the right to maintain the confidentiality of such information
constitutes a private and proprietary right, which the Company is entitled to protect. Accordingly,
you agree with the Company that you will not, during the continuance of this Employment
Contract, disclose any of such confidential information to any person, firm or corporation, nor shall
he/she use the same, except as required in the normal course of your engagement hereunder, and
thereafter you shall not disclose or make use of the same. Violation of this provision shall likewise
be considered a material breach of this Employment Contract and as a consequence, you hereby
undertake to indemnify the Company in the amount of FIVE HUNDRED THOUSAND PESOS
(Php. 500,000.00).

11. Expenses you may incur in the execution of the duties of your position shall NOT be reimbursed to
you unless such expenses shall have been duly authorized by the Company.

12. Your signature in the space provided hereunder shall denote your acceptance of the foregoing
terms.
