SUB CONTRACT AGREEMENT BETWEEN

This deed of Sub - Contract executed on the (date of agreement) by and between, M/s FIRST PARTY having Office at (FIRST PARTY office address)
hereinafter clled the "FIRST PARTY"

WITNESS THAT

WHERE AS THE FIRST PARTY has obtained a contract work of "Renovation of 374 no. III, II & I type quarters in township at NTPC Tanda" (LOI N.o : )
From NTPC , Hereinafter called Department.

Where as the SECOND PARTY approached the FIRST PARTY to undertake the execution of Coal Stock Pile area work and any other supplementary items
there on etc. and the FIRST PARTY hereby accepted the said terms & conditions.

Contract Amount - Full contract amount

AND
WHEREAS the parties here to have deemed it fit to reduce the terms and conditions of the Agreement onto writing.

THIS AGREEMENT WITHNESSES and it is hereby agreed by and between the paraties as follows:

1 The SECOND PARTY agreed to do the work "Renovation of 374 no. III , II & I type quaeters in thownship at NTPC Tanda"as per the certified
copy of BOQ issued to First Party By NTPC.

2 The SECOND PARTY shall agree to do work on terms & Conditions given in abouve said offer letter & All work related specification specified
that may be imposed on the FIRST PARTY by virtue of the agreement with the department in respect of the work entrusted to the extent of
"Renovation of 374 no. III , II & I type quarters i township at NTPD Tanda"

3 The first party will pay to the second party of the gross bill amount certified by NTPC on the work done by the Second Party. This amount shall
be the gross bill amount of M/s Second party Name

M/s FIRST PARTY shall disburse the paymeent to Second party name. after following hold, deductions and additions on gross amount of the
bill :-
a. : Deduction of BOCW (Labour cess) @ 1%
b. : Deduction of income Tax TDS @ 1% or as per prevailing rate of Govt.
c. : Add GST Extra as per applicable

NTPC shall be the department to finalize the measurment of the items executed by second party for the rinning bills of SECOND PARTY.

The FIRST PARTY will pay to the SECOND PARTY within 02 days as and when they are collected payment from the Client under this contract.

6 SECOND PARTY shall be responsible for PF, ESI and Labour Welfare Fund etc. for their employees and workman. The copy of callan shall be
submitted along with R/A Bill claimed.

7 SECOND PARTY shall agree to engage sufficient contruction plant and equipments at site as per their own requirement either from their own
stock or by hiring/purchasing from market. SECOND PARTY further confirmed that they would deploy all ficancial resources to meet the project
schedul. SECOND PARTY shall also deploy required work froce and ohter inputs including store, computer etc. as per work requirement for
execution of work withi time schedule.

8 All type of insurance for the project, are in the scope of FIRST PARTY plant and equipments, labour and staff and third party etc. as per NIT shall
be arranged by FIRST PARTY for total contract value except WORKMEN COMPENSATION POLICY.

9 SECOND PARTY has agreed that during the execution of the work, if in the opinion of the FIRST PARTY & DEPARMENT (NTPC) that the works in
the scope of SECOND PARTY are not progressing in time or are not being achived with in stipulated time frame or it is not possible to
compeleted within the balance period, then FIRST PARTY with consideration of CLEINT will be at liberty to terminate their contract partially by
giving notice of 10 days in writing and the SECOND PARTY should have to complete balance activities in their work area urgent basis.

If any disputed arising between the both parties in this contract that will be resolve amicably. If amicable settlement is not being possible then
NTPC shall to intervene for settlement & decision of NTPC shall be final and binding upon the Parties if NTPC not intervene due to unavoidable
circumstances then Arbitration shall be according to Indian arbitration and concilation Act. 1996 The arbirator shall pass a reasoned award and
the award of the Arbitrator shall be final and binding upon the Parties and the cost of arbitration shall be borne equally by the Parties.

11 The SECOND PARTY shall undertake to be responsible for the efficient execution of the said work as per the speciffication of the Department
for and on behalf of the FIRST PARTY. The FIRST PARTY shall have exclusive right to supervise the Execution of the work done by the SECOND
PARTY.

12 Any type of Security Deposit & LD will be recovered by FIRST PARTY from the SECOND PARTY only on the work proportionately executed by
SECOND PARTY.

13 BOCW at rate of 1% will be rrecovered on the gross value of the bills and paid to the BOWC LABOUR DEPARTMENT.

Income-Tax at the rate of 1% or as per prevailing rate will be recovered on the gross value of the bills and paid to the income Tax Department

and necessary TDS. C ertificate will be issued to the SECOND PARTY.

15 All Compensation if arising in the scope of work of SECOND PARTY under labour lows arising out of any fault or otherwise due to accident of
their labour shall be borne by the SECOND PARTY.

16 The SECOND PARTY Shall pay not less then fair wages to laborers engaged by them on the work. The Payment vouchers however to get
certified by the conerned Department Officers and the same submitted to the FIRST PARTY for the recored.

17 Incase if SECOND PARTY want to exit in any time or after the award of the work or in the middle term then FIRST PARTY & SECOND PARTY
finalize the reasonable exact scope of work and the SECOND PARTY shall liable to complete all the work of decided scope of work within
reasonable time.
 Time Period to complete the whole work is 18 month from date of issue of this agreement

PROVIDED ALWAAYS AND it is hereby understood that the expressions 'FIRST PARTY' and 'SECOND PARTY' where they occur shall mean and
include their successors and assigns.

IN WITNESSES WHEREOF the parties hereto set hand to this agreement in token of their acceptance on this (DATE OF AGREEMENT)
