1. SUBMISSION OF PROPOSALS

1.1 Bidders shall comply with the instructions listed below in addition to the
instructions provided in the GENERAL INSTRUCTIONS TO BIDDERS. FAILURE
TO ACCURATELY FOLLOW THESE INSTRUCTIONS MAY RESULT IN THE
REJECTION OF THE BID.

Also, please note that Bidder attendance of the Job Explanation Meeting is
required in order for bidder to be considered.

1.2 Bidders are requested to take special note of Paragraphs 17 and 19 of the
GENERAL INSTRUCTIONS TO BIDDERS regarding compliance with
Saudization and GOSI requirements, respectively.

1.3 As part of the proposal evaluation process, SAUDI ARAMCO’s Bid Review Team
(BRT) may require clarification from one or more of the bidders. A request for
clarification should not be interpreted as a prelude to contract award nor should it
be perceived as an invitation for other bidders to initiate discussions regarding
their proposals. Contract award is subject to the discretion of SAUDI ARAMCO.

1.4 Technical and IKTVA Proposals are due on the same date as the Commercial
Proposals and will be opened only after that date.

1.5 The Technical, IKTVA and Commercial Proposals shall EACH be in the English
language and shall be submitted in separately sealed packages as follows:

1.5.4 Proposals shall be deposited in the Central Bid Box located in Room A-
162, A-Wing, Building 3301, North Park 2, Dhahran.

2. TECHNICAL PROPOSALS

2.1 Bidders shall propose Vessels that meet or exceed the requirements set forth in
the Contract and the “Vessel Minimum Specifications and Requirements”
described in Attachment I to this SIB.

2.2 Bidders are required to submit two (2) USB containing all the technical proposals
and sealed in an envelope. The USB must contain the following:

2.2.1 Technical Documents including, at minimum:

a. Attachment II to this SIB, “VESSEL SPECIFICATIONS


QUESTIONNAIRE”, in excel spreadsheet format. The information
provided, including any changes during technical clarifications, will be
incorporated into the final contract as Attachment I to Annex “B” or the
“VESSEL DATA SHEET”.
b. Vessel’s technical brochure
c. Copy of “Builder’s Certificate”
d. General Arrangement Drawing

2.2.2 Part I of the Pro-forma contract with the following boxes populated: 3, 5, 6
and 20.

2.2.3 Offshore Vessel Inspection Data Base (OVID) Inspection

2.2.4 Vessel planned dry-docking schedule including any Class and other
mandatory inspections during the proposed charter period.

2.2.5 Reference information if the proposed Vessel is presently working within


SAUDI ARAMCO in order to obtain adequate feedback on the proposed
vessel’s performance.

2.2.6 Certified Documents of Compliance with the ISM Code.

2.2.7 Detailed information about your company’s proposed work and leave
schedule, which will permit operations of the Vessels twenty-four (24)
hours per day, seven (7) days per week.

2.2.8 Detailed information about your company’s shore support facilities.

2.2.9 Plan to provide and/or maintain the required shore support personnel
throughout the charter period.

2.2.10 Detailed information about your company’s access to spare parts,


materials, and equipment to be used to maintain the Vessel(s) if the need
for them arises.

2.2.11 Additional information which your company considers relevant to SAUDI


ARAMCO’s evaluation of the proposals.

2.3 In addition to the USB, the Bidder shall submit one (1) printed copy of
Attachment II to this SIB, “VESSEL SPECIFICATIONS QUESTIONNAIRE”, for
each proposed Vessel, and summary of submittals using the sample table
format below:

2.4 Bidder may submit an Alternative Technical Proposal provided that a fully
compliant Base Proposal is submitted. SAUDI ARAMCO will not consider
alternative proposals unless a Base Proposal that meets or exceeds the SAUDI
ARAMCO requirements is also received. Each Alternative Technical Proposal
must contain all the required documents and information described under
Paragraph 2.2 above. Each Alternative Technical Proposal must be in a
separate envelope clearly marked as such, and the applicable “VESSEL
SPECIFICATIONS QUESTIONNAIRE” shall be clearly indicated as “Alternative
Vessel”.

2.5 Bidders shall consider below as the projected Vessel Delivery Date for this
Contract for the purpose of vessels’ delivery date

2.6 Bidders proposal of newly built vessels with mobilization period up to eighteen
(18) months from the notice of award date shall be accepted.

3. COMMERCIAL PROPOSALS

3.1 Commercial Proposals shall be submitted as follows:

3.1.1 Bidders shall submit ONE (1) PRIMARY COMMERCIAL PROPOSAL for
each Base Technical Proposal in accordance and strict compliance with
the Pro-forma contract, this SIB, and the GIB, using the Request for
Quotation (RFQ) in excel spreadsheet format.

3.1.2 If an Alternative Technical Proposal is submitted, Bidder must submit a


corresponding Alternative Commercial Proposal for consideration in
addition to the required Primary Commercial Proposal.

3.1.3 Each Bidder may submit alternative lower rates to be applied in the event
that SAUDI ARAMCO chooses that Bidder to award contracts for more
than one Vessel.

3.2 Each Proposal must be submitted in duplicate. Bidders shall clearly label each
Proposal and its duplicate with “Commercial Proposal”, and Bidders shall place
them into one sealed envelope. Bidders shall ensure that this submission is in
accordance with the instructions given in Paragraph 5 of the General Instructions
to Bidders.

3.3 Base Proposal bids, including Charter Hire and other rates, must be quoted in
Saudi Riyals. In addition to the Saudi Riyal Base Proposal, Bidders may, but are
not required to, submit an Alternative Proposal in US dollars. If Bidder submits
an Alternative currency bid, SAUDI ARAMCO shall have the right to award the
Contract on the basis of either the Base Proposal quoted in Saudi Riyals or the
Alternative currency bid.

3.4 A Bid is to be made for each item number in Pricing Attachment of this Contract
even if the quantity is shown as zero. Bidders are not, however, required to
submit prices under line items with the unit “VAL”.

4.1 Bidder must submit an IKTVA Proposal as per the below table format, applicable
to each proposed Vessel, that will meet the minimum IKTVA target percentages
in accordance with the table format below. IKTVA targets shall be calculated
as percentages of the projected revenue under the Contract in each case.

* Bidder may distribute its local spend among all 4 categories (A-D) as it sees fit as long as it
meets the total IKTVA target specified and the minimums for categories C and D are met.

** Category R is not applicable to this procurement.

Category A – Localized Goods and Services

 Bidder shall accurately provide the full information and details of the local
suppliers using the format given in Attachment III to this SIB.

 Bidder may include list of local suppliers for other commodities not listed
in Attachment III to this SIB.

Category B – Salaries Paid to Saudis

 Bidder shall propose IKTVA annual percentage reserved Salaries for


Saudi National personnel against the whole compensation using the
format given in Attachment IV to this SIB.

 Bidder may include list of other manpower categories based on the Scope
of WORK requirements.

Category C – Training and Development of Saudis

 Bidder shall propose IKTVA annual percentage reserved for Saudi’s


Training and Development along with number of Saudis and list of
proposed training programs for each year, using the format given in
Attachment V to this SIB along with IKTVA Detailed Work Plan.

Category D – Local Suppliers’ Development

 Bidder shall propose IKTVA annual percentage reserved for Local


Suppliers Development along with list of supplier’s names and proposed
training programs for each year using the format given in Attachment VI
to this SIB.

Category R – Research and Development

Not applicable for this procurement

4.2 In addition to the IKTVA Proposal provided as per the format in Paragraph 4.1
above, Bidder must provide, as a minimum, the information listed below, in the
format specified, based on the work under the Contract. For each IKTVA
category, Bidder shall propose the amount that will be spent expressed as a
percentage of the revenues generated from this Contract.

4.3 The IKTVA Proposal shall be submitted in a separate envelope enclosing two (2)
printed copies.

4.4 Bidders are not to include any commercial information in their IKTVA Proposals
other than the proposed percentages.

4.5 Bidder should note that a failure to provide its proposal in the format specified or
to meet the minimum targeted totals may be grounds for disqualification of a
proposal.

4.6 The IKTVA Proposal shall be substantiated with evidence including any related
supporting documents that demonstrate the achievability of the proposed plan.

4.7 The detailed plan shall be based on the Contract and shall provide the necessary
assurances that the supplier will meet the proposed percentage. For more

4.8 The Percentage Targets provided in the IKTVA Proposal will be incorporated into
Attachment I of Annex E of each final Contract and will become a binding
contractual commitment on the successful Bidder.

4.9 Please refer to Annex E for more details on examples of spend that may and
may not be included in the IKTVA spend categories.

5. DISQUALIFICATION

Failure to comply with the specifications, terms and conditions of this SIB, and its
attachment(s) General Instructions to Bidders and the Pro-forma Contracts will be a
cause for disqualification. Failure to respond to clarification questions related to Bidder
submitted proposals within the given deadline will be a cause for disqualification.

6. PRO-FORMA CONTRACT

Each of the vessel(s) required under this procurement will be assigned a separate
contract during the award. As such, the clauses set forth in the Pro-forma Contract apply
to a single vessel.

Contract award is subject to the discretion of SAUDI ARAMCO. For clarity, SAUDI
ARAMCO reserves the right to award contracts based on its own reasons or to not
award any contract.

7. ELECTRONIC PAYMENTS

SAUDI ARAMCO wishes to emphasize that payment of Owners’ invoices are made
electronically via wire transfer to the account provided by Owners. Bidder shall submit to
SAUDI ARAMCO, Treasury Operations Department the related bank account
information within ten (10) days after the effective date of this Contract. Failure to do so
will result in Owners not receiving payments.

8. CONFIDENTIALITY OF DOCUMENTS

SAUDI ARAMCO considers all information provided to Bidders in respect of this


Requisition to be confidential and requires each Bidder to hold such information in strict
confidence. In order for you to prepare your proposal regarding this Requisition it will be
necessary for SAUDI ARAMCO to provide you with certain information, including but not
limited to specifications and standards. Due to the sensitive nature of the
documentation, you are required to designate an employee who shall be responsible for
the management and control of this bid package.

9. INTERNET E-MAIL ADDRESS

You are requested to specify your company’s Internet e-mail address to which SAUDI
ARAMCO communications related to the subject requisition can be addressed. SAUDI
ARAMCO Contracting Department is utilizing Internet e-mail for most of its
communications with contractors. Therefore, it is in the best interest of all contractors to
secure an Internet e-mail mailbox and ensure it is continuously checked.

10. BIDDER WITHDRAWAL

SAUDI ARAMCO welcomes the participation of the selected bidders on this contract and
on future SAUDI ARAMCO contracts. At the same time, SAUDI ARAMCO expects all
bidders who express interest and attend the Job Explanation Meeting to be serious
about their commitment to the project on which they decide to bid. Unfortunately, a
Bidder’s decision to withdraw after the Job Explanation Meeting places SAUDI ARAMCO
at a disadvantage, which becomes even more serious if such withdrawal occurs after the
Bidder submits a bid.

Therefore, SAUDI ARAMCO would like to caution that a Bidder’s decision to withdraw
after the bid closing date will subject him to penalties, including suspension from SAUDI
ARAMCO bid slates for a significant period of time at SAUDI ARAMCO’s discretion.

SAUDI ARAMCO urges all Bidders to keep this in mind and ensure prior to bid
submission that your bid is free from significant mistakes that may later cause you to
withdraw.

11. VALIDITY OF BID

Notwithstanding Paragraph 7 of the General Instructions to Bidders, all Proposals shall


remain valid for a minimum period of one hundred and twenty (120) calendar days after
the bid closing date.

12. PREPARATION OF BIDS AND AWARD OF CONTRACT

All costs related to the preparation of the proposals solicited above shall be borne fully
by each Bidder and SAUDI ARAMCO will not provide reimbursement, or be responsible

for, any such costs regardless of the outcome. SAUDI ARAMCO reserves the right to
award a contract in response to the proposals solicited herein on any basis that it
considers commercially or otherwise expedient, or not to award any contract.
