CONTRACT

This Contract is entered into on this __th day of April2022 between

Sky Topper Consultants, having its registered office at 11, Purender ji ka Bagh ,MD Road Jaipur-
302004, Rajasthan, India ;

(Hereinafter collectively referred to as “Party 1”), represented by Mr. Naveen Saxena, Director,
holding Passport No.R 6731091

AND
ARYADHITA EDUCON PVT LIMITED, Awadh Tower, LG2, Nawal Kishore Rd, Hazratganj, Lucknow,
Uttar Pradesh 226001, represented by Dr. Ashish Mahindra, Managing Director holding Passport
No.R8889062

AXIS Institutes of International Educations, D-13/60, 3rd Floor, Sector-8, Rohini, Delhi-110085,
India, represented by Mr. Ravinder Singh, Managing Director holding Passport No. Z2769531
Hereinafter jointly referred to as “Party-2” ARYADHITA EDUCON PVT LIMITED

The “Party 1” has secured contract with Belgorod State Medical University in Russian Federation
(hereinafter referred to as the “Institute”), for recruitment of international students on exclusive basis
and is interested in cooperating with “Party-2” for recruiting students for above mentioned Medical
Institutes/ Universities.

The “Party 2” is already working in various countries for Marketing, Promotion, Counseling of Medical
Institutes / Universities and recruitment of international students in such institutes / universities.

And whereas, both the parties have agreed to enter into an Exclusive Contract for jointly executing the
above work as per following terms and conditions:

NOW THIS CONTRACTWITNESSETH AS FOLLOWS :-

“Party-1” has agreed to assign exclusive authority to “Party-2” to undertake the work of
recruitment of International Students in the Institute from India under this Contract as per
Terms, Conditions, Duties, Responsibilities and Obligations as under:

A. Duties, Responsibilities and Obligations of “Party-1”

The Party 1 shall:


1. Give exclusive authority to “Party 2”, for marketing and promotion of the Institute, in India.

2. Provide marketing details of institute along with charges on account of Fee Structure, Hostel
Charges and other applicable expenses, details of terms and conditions agreed in contracts with
Institute to “Party 2”with complete transparency.

3. Provide Administrative and Logistic Support and local manpower in respective locations for
i) co-ordination with Institute.
ii) Take care and Co-ordination with students recruited by “Party 2”.
iii) Management of Hostel and Mess.
iv) Any other assignment requirement from time to time at above Institutes /Universities.

4. Ensure and complete all the admission procedure for the International Students, in the Institute
referred by “Party 2”.

5. Ensure completion of all legal and procedural formalities in the Institute relating to the admissions
like Admission Letter, Invitation Letter, VISA Process and VISA Conversion and contract singing
between the International Student and Institute and settlement of the International students in
respective locations.

6. “Party 1” will refer all the admissions inquiries received from Students, Agents, Consultants or
any other source from India to “Party 2”, and will not directly entertain such inquiries to avoid any
conflict of interest.

The Party 2 shall:


1. Undertake the overall responsibilities of the operations of the admissions in the Institute, and
guide, advice and give information to the “Party 1” for conducting the admissions under this
Contract.

2. Arrange for Marketing Operations, Counseling of International Students for admissions,


appointment of agents, channel partners and establishment of branches and the required
infrastructure for conducting admission of International Students in the Institute.

3. Arrange for Students VISA and Travelling of Students up to the Institute and all documentation
work and formalities required for admission of Students in India.

4. Make maximum efforts to secure admission of maximum number of students in the institute to
meet the contractual obligations with the Institute. It has been mutually decided that a
Minimum target for recruitment of 75 Students will be achieved under this under contract.

B. COMMUNICATION:
All communication between the “Party-1” and “Party-2” including all Information, Letters,
Notices and any other kind of communication required for formation & execution of this
CONTRACT will be done at following contact details:

In case of any change in the above contact details, It will be duty of the both the Parties to
immediately inform each other of the new contact details to ensure proper communication.

C. COLLECTIVE RESPONSIBILITIES AND OBLIGATIONS:

a) Both the Parties shall, Faithfully and diligently perform such duties & responsibilities as
mentioned in this CONTRACT and shall use best endeavors to promote the course and
Institute among international students.

b) No Party shall disclose any information to any third party concerning the matters under this
CONTRACT.

c) Both the parties hereby agree to, Promptly give to the other party or to whomsoever the such
other party company may lawfully direct all such information and reports as it may reasonably
require in connection with matters relating to the provision of the services.

d) Both the Parties hereby agree to Not to appoint any employee and/or consultant at the cost of
the other Party, without the prior written consent of the other Party

e) Both the Parties hereby agree to Not to incur or commit any expenditure or other liability on
behalf of the other Party, without the prior written consent of the other Party.

f) Both the Parties hereby agree to Not to enter into, without the prior written consent of the
other party, commit the other party to any legally binding CONTRACT, Contract, Contract or
other liability.

g) Both the parties hereby agree to Comply with all the terms and conditions of this CONTRACT.

D. Non Circumvention of Business Associate

Both the parties agree, that in view of the pre-existing and developing client portfolio held by
the Business Associate, that Company will respect this relationship and view Business
Associate’s buyer database as inviolate and will inform each other the about any attempt of
Students/Clients introduced by Business Associate to contact and deal directly with the
Company.

E. Confidentiality:

Both the Parties hereby agree that the contents CONTRACT and the documents and
information exchanged with the “Company” as a result of this appointment will be confidential,
and cannot therefore be disclosed to any other person, nor may it be used to benefit a third
party, without the previous written consent of the other Party, without prejudice to legal
obligations that require the disclosure of information related to this Appointment.

F. Revenue Sharing:

Patry-2 agrees to pay Fee Package on Per Admission basis to “Party-1” as per Annexure-1.

Both the parties hereby agree to bear the expenses of their own offices including
administrative expenses, rents, traveling, boarding/lodging of representatives in similar
manner as being done before entering into this contract.

G. Duration of the Contract:

This Contract shall remain in force till continuation of the contracts of STC with the Institute.

H. Force Majeure. No Party shall be liable or responsible to the other Party, nor be deemed to
have defaulted under or breached this Agreement, for any failure or delay in fulfilling or
performing any term of this Agreement, when and to the extent such failure or delay is caused
by or results from acts beyond the impacted Party’s (“Impacted Party”) reasonable control,
including, without limitation, the following force majeure events / (“Force Majeure Event(s)”)
that frustrates the purpose of this Agreement: (a) acts of God; (b) flood, fire, earthquake or
explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or
acts, riot or other civil unrest; (d) government order or law; (e) actions, embargoes or
blockades in effect on or after the date of this Agreement; (f) action by any governmental
authority; (g) national or regional emergency; (h) strikes, labor stoppages or slowdowns or
other industrial disturbances; (i) epidemic, pandemic or similar influenza (j) emergency state;
(k) shortage of adequate medical supplies and equipment; (l) shortage of power or
transportation facilities; and (m) other similar events beyond the reasonable control of the
Impacted Party.

ANNEXURE-1
BELGOROD STATE MEDICAL UNIVERSITY
The Payment of Fee and other Charges by the Student will be as under:

Terms and Conditions:-
i) Ticket from India to Belgorod will be arranged by Student at his/her cost.
ii) Study VISA from India to be paid by the Student at his/her cost.
iii) From 2nd Year, yearly Medical and Insurance, VISA Conversion will be paid by students as per actual.
iv) Hostel from 2nd Year Fee - $ 4900, Hostel Charges $ 300 Per Year
v) Mess Charges @ Total $1200 Per Year will be paid by student at the beginning of each year.
