LEASE AGREEMENT

MEMORANDUM OF AGREEMENT

WHEREAS the lessor is the owner of the premises at Letsibogo ward in Letlhakane AND WHEREAS the
parties have agreed to introduce their agreement to writing AND FURTHER WHEREAS the lessee has
reached an agreement as to the terms upon which letting and hiring shall be made subject to as terms
being recorded below.

NOW THEREFORE THIS PRESENT WITNESS THE;

1. LETTING AND HIRING

That the lessor hereby lets the premises to the lessee hereby hires the premises from the purpose
office.

2. RENTING

2.1The rental payable by the lessee shall be the amount of P2500.00 payable in advanced of each month
or rate not beyond the 3 of each respective month, with an escalation 10 increase annually.

2.2 Payment shall be made by the lessee directly to Mr AUGUSTINE NYATANGA by the lessee and such
payment shall be deemed to be payments to lesser.

3. PERIOD OF LEASE

Notwithstanding the date signature hereof, this lease shall be deemed to have commenced on the 11
November 2022 and shall continue thereafter for a period of 2 years.

4. TERMINATION

Either party may terminate this lease agreement upon 3calendar months’ notice to the part in writing

.
5. USE OF LEASED PREMISES

The premises are let solely for purpose of an office and not to be used for any purpose whatsoever
without the written consent of the lessor, which consent shall not be withheld unreasonably.

6. RESTORATION OF THE PREMISES

The lessee shall undertake at the termination of the lease to restore the equipment and premises
together with any alteration or additions which may been approved by the lessor during the period of
lease in the same good order in which they were at the beginning, fair wear and tear excepted.

7SUBLETTING, CESSION AND ASSIGNMENT

The lessee shall not be entitled to cede or assign without the prior written consent of the lessor, which
consent shall not be unreasonable withheld.

8. VIRIATION OF LEASE

No terms of the lease shall be suspected, modified, cancelled or otherwise varied save by means of
future written agreement signed by the lease shall be binding on the lessor/lessee in a written
document signed by each of them.

9. LESSEE TO OBSERVE LAWS E.T.C

The lessee shall not cause contravention of any laws, bye-laws, regulation or direction of competent
authority, relating to or affecting the premises.

10. UTILITIES AND BILLS

Lessee shall be responsible for any and all bills for supply of telephone services, water, electricity and
any other services on the leased premises for the use of their business throughout the duration of the
lease, and they are to ensure there is no balance outstanding in respect thereof upon the termination of
the lease.

11BREACH

Upon failure by the lessee to pay rent part on due date, or commit a breach of any of the other terms
hereof, the lessor shall be entitled to give the lessee less than 7 days written notice to make such
payments or remedy such breach and in the event of the lessee failing to comply with such notice, the
lessor shall be entitled to cancel this lease and to recover possession of the premises without prejudice
upon to the lessor’s right to claim unpaid rent damages it may have sustained consequent upon any
such failure or breach or cancellation of the lease.

12. COST OF AGREEMENT

The cost of preparing the lease shall be borne by the lessee or lessor.
