TABLEAU SOFTWARE

CERTIFICATION PROGRAM AGREEMENT


This Certification Program Agreement (“Agreement”) is between the individual registering for and taking the exam (“you”) and
Tableau Software, LLC, or its applicable Affiliate (as defined below) (“Tableau”) and governs your participation in (including use of
and access to) the Tableau Certification Programs (as defined below).

BY YOU AND LEGALLY BINDING BETWEEN YOU TABLEAU. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, DO
NOT CHECK THE ACCEPTANCE BOX OR USE A TABLEAU CERTIFICATION PROGRAM.

11.10 Amendments; Waivers. Except as set forth in
Section 2.3 (Changes), no supplement, modification, or
amendment of this Agreement will be binding, unless
executed in writing by a duly authorized representative of
each party to this Agreement. No waiver will be implied from
conduct or failure to enforce or exercise rights under this
Agreement, nor will any waiver be effective unless in a writing
signed by a duly authorized representative on behalf of the
party claimed to have waived.
11.11 Remedies. You acknowledge and agree that a
material breach of this Agreement by you, including any
breach of Section 9 (Confidential Information), may cause
irreparable harm and a remedy at law may be inadequate and

entitled to injunctive relief or other equitable remedies in the
event of a threatened or actual violation of this Agreement.
11.12 Entire Agreement. This Agreement is the complete
and exclusive statement of your and Tableau’s understanding

agreements and communications relating to the subject
matter of this Agreement between you and Tableau.
11.13 Independent Contractors. The parties to this
Agreement are independent contractors. Irrespective of any
use of terms such as “partner” or your use of any Tableau
Certification Designation in accordance with this Agreement,
there is no relationship of partnership, joint venture,
employment, franchise or agency created hereby between
the parties. Neither party will have the power to bind the
other or incur obligations on the other party’s behalf without
the other party’s prior written consent.
