Sample Contract To Sell
This CONTRACT TO SELL made and executed this ______________ by and between:
DingangBato Inc , a domestic corporation duly organized and existing under and by virtue of the
laws of the Philippines, with office and business address at 123 Somewhere St, Down, Theroad
represented by its President, Narda Darna, hereinafter referred to as the “SELLER”;
-and-
Valentina Cruz, of legal age, single, Filipino with residence and postal address at North South,
West, hereinafter referred to as the “BUYER”.
WITNESSETH:
THAT the SELLER is the recognize owner of fee simple of real properties situated in Barrio of
____________________________________ consisting a total area of EIGHTY-EIGHT (88 sq.m.) Square Meters, more
or less.
WHEREAS, the SELLER wants to convey, sell and transfer the real properties as afore-quoted
unto the “BUYER”, the parcels of land more particularly described as follows:
A parcel of land (Lot Blk. of the cons.subd.plan, Pcs-______________, being a portion of the ___________,
WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the abovementioned
property containing an area of EIGHTY-EIGHT (88 sq.m.) SQUARE METERS, more or less identified as
Block Lot as per attached Transfer Certificate of Title No. R- under the terms and conditions herein
below set forth;
NOW THEREFORE, for and in consideration of the total sum of ONE MILLION THREE HUNDRED
TWENTY THOUSAND PESOS (P1,320,000.00) Philippine Currency, payable as follows:
1. Reservation Fee of THIRTY THOUSAND PESOS (P30,000.00) Philippine Currency upon signing
of this Agreement.
2. SIX HUNDRED THIRTY THOUSAND PESOS (P630,000.00) Philippine Currency payable on or
before April 15, 2022.
3. Balance of SIX HUNDRED SIXTY THOUSAND PESOS (P660,000.00) Philippine Currency payable
in six (6) equal monthly payments without interest amounting to ONE HUNDRED TEN
THOUSAND PESOS (P110,000.00) Philippine Currency starting May 15, 2022 until October 15,
2022.
4. That the SELLER shall execute a Deed of Absolute Sale in favor of the BUYER upon the full
payment of the aforementioned consideration.
5. That the SELLER hereby warrants to the BUYER that the property subject matter of this contract
is free from any liens and encumbrances or adverse claims of whatever kind by third parties,
and shall defend its ownership from any and all claims whatsoever.
6. That the capital gains tax and broker’s fee and notarial fee shall be for the account of the SELLER
while the documentary stamp tax, registration fee and transfer tax of the property shall be for
the account of the BUYER.
7. That the SELLER represents that he possess full legal capacity to execute the Contract To Sell
and the Deed of Absolute Sale.

ACKNOWLEDGMENT
All known to me to be the same persons who executed the foregoing Contract to Sell consisting
of two (2) pages including this page whereon this acknowledgement is written, duly signed by the
parties thereto with their instrumental witnesses on each and every page thereof, and they
acknowledged to me that the same is their free voluntary act and deed and that of the corporation
herein represented.
