It Is Agreed As Follows:

DEFINITIONS & INTERPRETATIONS

1.1 Definitions
In this Terms and Conditions the following words and expressions shall have
the meanings ascribed to them below except where the context otherwise
requires-

ADSL Means Asymmetric Digital Subscriber Line;

Company Means TeleLife Inc. (Co. No: ) a company


incorporated under the laws of Malaysia and
having its registered address at 29-1, Plaza
Danau Desa, 58100 Kuala Lumpur;

CPE Means Customer Premise Equipment;

Customer Means person(s) engaging and/or subscribing


service(s) directly from TeleLife Services;

Exploit Means the use and enjoyment of TeleLife


Service(s);

Minimum Subscription Period Means twelve (12) months from service(s)


activation date;

TeleLife Means the Company and its service(s) as


subscribed and/or engaged by the customer and
delivered by TeleLife;

TeleLife Service(s) Means TeleLife Service(s) package for residential


purposes or home base customer only;

Terms and Conditions Means this written Terms and Conditions and
all attachments, appendices, annexures and
schedules hereto;

Warranties Means the warranties provided by TeleLife to


the customer and by the customer to TeleLife
herein.

1.2 Interpretations
In this Terms and Conditions except to the extent that the context otherwise
requires:

1.2.1 reference to any legislation or to any provisions of any legislation shall


include any statutory modification or re-enactment of, or any
legislative provision substituted for such legislation and statutory
instruments issued under such legislation or provisions;
1.2.2 words denoting the singular number shall include the plural and vice
versa;
1.2.3 words denoting individuals shall include corporations and vice versa;
1.2.4 headings are for convenience only and shall not affect the
interpretation hereof;
1.2.5 references to clauses, Appendices, Annexures and Schedules are
references to clauses, Appendices, Annexures and Schedules of this
Terms and Conditions;
1.2.7 references to clauses shall be read in the case of sub-clauses,
paragraphs and sub-paragraphs as being references to sub-clauses,
paragraphs and sub-paragraphs as may be appropriate;
1.2.7 references to any document or agreement shall be deemed to include
references to such document or agreement as amended, novated,
supplemented, varied or replaced from time to time;
1.2.8 references to any party to this Terms and Conditions or any other
document or agreement shall include its successors or permitted
assigns;
1.2.9 words denoting any gender shall include all genders;
1.2.10 any reference to an “amendment” includes any variation, deletion or
addition and “amend” and “amended” shall be construed
accordingly;
1.2.11 any reference to ‘indebtedness’ includes any obligation (whether
present or future, actual or contingent, secured or unsecured, as
principal or surety or otherwise) for the payment or repayment of
money; and
1.2.12 any reference to “law” includes any constitution, decree, judgment,
legislation, order, ordinance, regulation, statute, treaty, by-law or
other legislative measure in Malaysia.

Terms and Condition for TeleLife

1. TeleLife shall provide customer with the device, button and related CPE
together with value added service(s) which may be provided by TeleLife
together with the subscription of the service(s). The customer acknowledges
that the component of TeleLife service(s) and/or device is provided on an “as
it is” basis and that the components cannot be unbundled. Customer shall
not be entitled to any rebate or reduction of subscription fee for any part of
TeleLife service(s) that is provided by TeleLife at no charge to the customer.

CONFIDENTIAL

The personal alarm system device and button is a protected right between
TeleLife and the device provider, which forbids the customer to perform
recording, rental viewing, re-selling, sub-letting, leasing and/or any abusive
act. In addition to TeleLife’s right of suspension or termination of the TeleLife
service(s), TeleLife reserves the rights to take any legal action including
restraining order(s) towards the customer or any related individual, body
corporate or organization that breaches the term specified herein.

2. The customer is allowed to upgrade or downgrade the TeleLife service(s)


after the expiry of two (2) days from the installation date; being the grace
period.

3. Upgrade or downgrade of TeleLife service(s) package is subject to renewal of


Minimum Subscription Period based on the new package subscribed.

4. TeleLife Service(s) is subjected to service(s) ability check and technical testing.


TeleLife coverage shall be based on Telellife service(s) coverage boundaries
and not based on boundaries as determined by the relevant local authorities
or council.

5. Deposit of one thousand ringgit (RM1000.00) will be required if the customer


is a non-citizen or a permanent residence of Malaysia. Installation fee of three
hundred ringgit (RM300.00) will be chargeable to the customer. However
TeleLife reserves the absolute right and discretion to impose, exclude or
reduce the payment of deposit from any customer whether the customer is a
citizen of Malaysia or otherwise if deemed necessary. The deposit may be
forfeited or set off by TeleLife against any fees and other charges outstanding
from the customer in the event of termination or suspension of TeleLife
service(s) due to any breach by the customer of any Terms and Conditions
herein.

6. The customer must inform TeleLife of any relocation of premises. TeleLife has
the right to terminate or suspend the service(s) if relocation cannot be
entertained by TeleLife for any reason whatsoever in such circumstances, the
customer shall return the CPE.
7. The customer, at the request of TeleLife, shall provide utilities bill as a proof
of new address relocation. Failure to do so may result in termination or
suspension of TeleLife service(s).

8. The term herein shall be in addition to the general Terms and Conditions of
the TeleLife service(s) available for viewing at www.telelife.com.my.
Acceptance of the terms herein shall be deemed as the customer’s acceptance
of the said Terms and Conditions. In the event of any inconsistencies of any
of the provision of the general Terms and Conditions and the terms herein,
the said general Terms and Conditions shall prevail to the extent of its
inconsistencies.

9. Should the customer resell or sublet the TeleLife service(s) to any third party
or contravene any and all applicable laws and regulations to the TeleLife
service(s) including but not limited to the laws pursuant to the
Communications and Multimedia Act 1998; such person(s) shall be subjected
to the fines and/or punishments prescribed under the Act and not limited to
the charges due to TeleLife as subscribed, engaged and exploited.

10. Should the customer commit a breach or potential breach, whether grave or
otherwise of any terms herein, TeleLife reserves the right to initiate necessary
legal action(s) including but not limited to the termination or suspension of
the TeleLife service(s) without prior notice or compensation of any kind from
the customer.

11. The customer acknowledges that TeleLife does not and cannot in any
reasonable way supervise, edit, control the content and form of any
information data given by the customer to TeleLife service(s). TeleLife does
not make any guarantees, representations or warranties whatsoever that the
TeleLife service(s) would be able to cure, heal and/or prevent any
unprecedented circumstances whatsoever, as the case may be.

12. Customer may, request for a voluntary suspension of the TeleLife service(s),
subject to the approval of TeleLife, the customer shall continue to pay all
charges if suspension takes effect within the Minimum Subscription period.

13. TeleLife shall only provide one (1) device with one (1) button unless
requested otherwise by the customer, subject to the stock availability and
approval of TeleLife.
14. All CPE provided by TeleLife is subject to a one (1) year warranty for
manufacturing fault/defect only. TeleLife liability herein and the customer’s
sole and exclusive remedy shall be limited to labour, repair and material cost
and shall not cover any repair, replacement and/or associated cost as a result
of fault and/or negligence on the part of the customer or any third party. In
any case of CPE defect, the customer shall report such defect to TeleLife

within seven (7) days. Any CPE replacement and/or repair due to act,
negligence and/or default of the customer or any third party shall be solely at
the customer’s cost.

15. The customer shall be responsible for the safety and security of all CPEs
supplied by TeleLife.

16. TeleLife reserve the right to recover all CPE provided upon the termination or
suspension of TeleLife service(s). The collection of CPE is subjected to an
agreed date and time with the customer no later than fourteen (14) days after
the date of termination of service(s). Failing which, TeleLife reserve the rights
to charge the cost of any CPE as reasonably determined by TeleLife.

17. Save within the installation warranty period, customer shall bear the cost for
onsite support visit requested from TeleLife at the rate of fifty ringgit
(RM50.00) per visit or the prescribed rate determined by TeleLife from time to
time. The charge is not inclusive of any materials or equipment replacement
charges that the customer may be required to pay TeleLife.

18. Transfer of the customer’s rights, benefits, interest, liabilities in connection to


TeleLife service(s) is restricted, unless with the written consent of TeleLife.
Subject to the written consent of TeleLife, any transfer process shall only be
attended to with the customer’s presence at TeleLife outlet and subject to the
customer’s execution of all appropriate documents as shall be reasonably
determined by TeleLife from time to time

Service(s) installation and equipment requirement

1. The customer may choose preferred installation date and time during
registration subject nevertheless to availability and TeleLife reserves the right
to advice and determine any new installation date and time as it deem
appropriate.

2. The customer must provide a minimum of one (1) working power socket and
one (1) working telephone with a telephone installed prior to installation date
and time in order to power up all equipments supplied together with the
subscription of TeleLife service(s).

3. Signing the application form shall constitute to granting authority to TeleLife


to proceed with TeleLife service(s) installation procedure which shall consist
of:

i. Visible wiring;
ii. CPE setup; and
iii. Testing.

4. For installation at the customer’s premise located within a high rise building,
TeleLife will not be responsible for any damage due to building’s internal
wiring by the building owner. The customer shall indemnify TeleLife against
any claim by any party including the building owner or any management
corporation. For any request by the customer for any re-wiring or re-
installation, TeleLife has the right to charge the customer a fee of three
hundred ringgit (RM300.00) or such other reasonable sum as may be
determined by TeleLife from time to time.

5. TeleLife shall not be held responsible for service(s) downtime and/or any
damages resulted from construction and renovation done by the customer or
any third party, during or after the installation of TeleLife Service(s).

6. Customer acknowledges that TeleLife will provide any conceal wiring even if
so requested by the customer. TeleLife may propose the recommended list of
contractor for any concealed wiring work (wall or ceiling) but customer shall
communicate, negotiate, deal and/or make payments directly to the
contractor as appointed by the customer. Re-appointment for the purpose of
TeleLife service(s) installation will be arranged when the conceal wiring is
completed.

7. Customer must be available during TeleLife service(s) installation failing


which TeleLife has the right to defer the installation. Deferment and/or
cancellation fee as shall be reasonably imposed by TeleLife shall be borne
solely by the customer.

8. Customer must provide one workable power source, telephone line source
with a workable telephone to ensure the complete delivery of TeleLife
service(s).
9. TeleLife will provide sufficient materials to enable TeleLife service(s) to each
of the equipment referred to in Clause 2 and Clause 7 of this part. If the
customer requires the telephone and device to be in different location other
than as may be determined by TeleLife, customer shall bear the additional
charges associated with the requirement.

10. Customer must sign off Service(s) Acceptance Form (SAF) prior to
installation, completion and service(s) activation.

11. Should the installation and service(s) activation cannot be completed within
the same day for any reason whatsoever, TeleLife will arrange with the
customer of another appointment date to complete the installation of TeleLife
service(s) and the cost of which shall be borne solely by the customer.

12. TeleLife shall only be responsible to install and configure TeleLife service(s)
connection to one (1) activated phone line.

13. In a case of underground fire blockage due to any act of customer of any third
party or for any other reason not attributed to TeleLife, TeleLife reserves the
right to charge customer for civil works and associated cost for such amount
as shall be reasonably determined by TeleLife

14. Any cancellation and/or deferment of installation appointment by the


customer once appointment has been fixed including deferment and/or
cancellation once TeleLife’s installation team is present at the Customer’s
premise, the customer shall be subject to charges at such reasonable sum as
shall be determined by TeleLife from time to time. Re-appointment for
purpose of installation shall thereafter be subjected to available time and date
as may be determined by TeleLife.

15. In the event of failure and/or non compliance of all the above installation
guidelines and requirements, TeleLife has the right to cancel the order or
terminate the customer’s application without any liability whatsoever
towards the customer.

16. TeleLife service(s) shall be subjected to an installation warranty period of


fourteen (14) days. This warranty shall be limited to any wiring and CPE fault
due to installation done and carried out solely by TeleLife. For the purpose of
clarity, TeleLife’s liability herein and customer’s sole and exclusive remedy
shall be limited to labour, repair and material cost and shall not cover any
work and associated cost as a result of customer’s fault or renovation or
alteration to its premises either within the installation warranty or otherwise.
In such circumstances, the customer shall be subjected to charges for any re-
wiring or other related works in such amount as shall be reasonable
determined by TeleLife from time to time.

17. TeleLife shall make its best endeavor to complete the installation of TeleLife
service(s) within twenty four(24) hours of the agreed installation date and
time unless requested otherwise by the customer or unless installation could
not be completed due to failure or non-compliance of the customer of any
terms herein or as a result of force majeure or due to any event(s) beyond the
reasonable control of TeleLife

Billing and Payment

1. Any stamp duty and/or service tax chargeable for the provision of the
TeleLife service(s) provided to the customer shall be borne solely by the
customer. Charges of the same shall be charged directly at source to the
customer’s first bill.

2. The first bill of TeleLife subscription fee shall consist of the current and the
following month subscription fee and to be pro-rated, where applicable.

3. Full settlement of fees and other charges is required to re-connect the TeleLife
service(s) and subject to reconnection fee as may be reasonably imposed by
TeleLife.

4. For any outstanding amount that remains unpaid after the due date, TeleLife
reserves the right to charge the customer interest on the sum that remains
unpaid at the rate of two percent (2%) per month. The same shall be
calculated from the due date to the date of full and final payment.

5. Online bill shall be made available to the customer on a monthly basis.


However, the customer may also subscribe to printed or paper bill at a fee of
eight ringgit (RM8) per month or at such other fee as may be determined by
TeleLife from time to time. The customer is obligated to make reasonable
enquiries in the event the customer has not received the bill within the
expected period stipulated herein. The customer hereby acknowledges that
non-receipt of any statement of account, bill, invoice, statement, notices
and/or any correspondence(s) in relation to the TeleLife service(s) subscribed
herein; shall not be a valid reason for the customer to neglect, withhold
and/or delay any due and owing payments to TeleLife. TeleLife shall
investigate any billing dispute(s) made by the customer if a written
submission of any dispute is made by the customer to TeleLife within thirty
(30) days from the date of the customer’s bill. Determination by TeleLife of
any billing dispute upon any reasonable investigation made shall be final,
conclusive and binding on the customer.

6. The customer acknowledges that TeleLife may set-off or offset any


outstanding payment from the customer with any refund of unclaimed
monies that may be due and owing to the customer. For this purpose,
“unclaimed monies” shall means all sums of monies which are legally
payable to the customer and have remained unpaid for a period of not less
than one (1) year after they have become payable

Interference

1. If the customer has broadband service(s) installed at the premise, the


customer acknowledges that it may create interference in the event the same
phone line is used for its ordinary use of communication (telephone
communication). TeleLife recommends that an ADSL filter is placed on the
line that shall be attached to the unit. ADSL filters allows the line to be shared
more effectively. ADSL filters are inexpensive, easy to fit and available from
most high street electrical retailers.

Customer’s Information

The Customer acknowledges, undertakes and agrees that:

1. It is TeleLife’s policy and right to use customer’s data and personal


information acquired through the registration process or through the
customer’s use of TeleLife’s service(s) or its related companies for its business
purposes including but not limited to advertising and/or marketing activities
in respect of products and service(s)s of TeleLife or its related companies
from time to time as TeleLife deems fit; provided always that TeleLife and its
related companies that receive such date and personal information shall
observe the applicable confidentiality obligation as imposed under this
agreement and shall abide by it strictly.

2. TeleLife may use the personal information for the internal purposes of
customizing advertisements and content its website(s) and TeleLife’s
partnering sites, providing information to the customer of other products and
service(s)s available from TeleLife and its affiliate, processing and fulfilling
customer request for products and service(s), corresponding to customer
enquiries, conducting research and development for improvement of
service(s) and statistical analysis and the general operation and maintenance
of the service(s) and its related website(s).
