DEED OF ASSIGNMENT

BETWEEN

VILLAGE NEAR BADORE TOWN IN ETI-OSA LOCAL GOVERNMENT AREA OF
LAGOS STATE MEASURING APPROXIMATELY 669.690 SQUARE. METRES MORE

PARTICULARLY DELINEATED IN THE SURVEY PLAN ANNEXED TO THE DEED .

THIS DEED OF ASSIGNMENT is made this ______ day of ______________20__

BETWEEN:

MRS ELIZABETH WILLIAM UDO of No. 12, Eric Ighadalo Street off Fatai d Martin’s
Westwood Estate, Off Badore Road, Ajah, Eti-Osa Local Government Area of Lagos
State (hereinafter referred to as “THE ASSIGNOR”) which expression shall where the
context so admits includes her heirs, executors, legal/personal representatives,
administrators and/or assign of the ONE PART.

AND

MR. LAWAL IDRIS ALLAMU of No. 7, Rufus Akerele Street, Seaside Estate, Badore,
Ajah, Lagos State (herein after referred to as “THE ASSIGNEE”) which expression shall
where the context so admits includes their heirs, executors, legal/personal
representatives, administrators and/or assigns of the OTHER PART.

WHEREAS:

1. The OKETIRI FAMILY is the original owner of the large tract of land
covering under the Native Law and Custom from time immemorial.

2. The said plot of land now intended for assignment was sold to
BOLARINWA OLUROTIMI OGUNKOYA BY OKETIRI FAMILY who
later sold same to the Assignor.

3. The Assignor is desirous of selling the portion measuring 669.690 Square


Meters covered by the survey annex hereto which is situate at Ogunkoya
Street, Oketiri Villiage Near Badore Town in Eti-Osa Local Government
Area of Lagos State

4. The Assignor herein has agreed to assign, transfer and convey all her
interests, rights, privileges and powers in the Demised Land in favour of
the Assignee for a consideration in the sum of Twenty Million Naira
(N20,000,000.00)
NOW THE ASSIGNMENT WITNESSETH AS FOLLOWS:

In pursuance to the said agreement and in consideration of the sum of Twenty Million,
Naira (N20,000,000.00) only paid by the Assignee to the Assignor before the execution
of this agreement (the receipt of which the Assignor hereby acknowledges) the Assignor
as BENEFICIAL OWNERS HEREBY transfers and assigns unto the Assignee her entire
right, title and interest in and over ALL THAT plot of land, being and situate at
Ogunkoya Street, Oketiri Villiage Near BadoreTown in Eti-Osa Local Government Area
of Lagos State measuring 669.690 Square Metres drawn by Registered Surveyor W. O.
OLAGOKE with all easement of right and appurtenance thereto TO HOLD the right of
occupancy subject to the provisions of the Land Use Act and free from all
encumbrances.

THE ASSIGNOR HEREBY COVENANT WITH THE ASSIGNEE AND HIS HEIRS,
ADMINISTRATORS, EXECUTORS, LEGAL/PERSONAL REPRESENTATIVES:

1. The Assignor hereby expressly covenants that she has every power and authority
to carry out this transaction and that she has not done or been privy or party to
any act by virtue of which she is in any way hindered from assigning the
property subject of these presents.

2. The Assignor covenants to put the Assignee in full and effective possession and
renounce all rights and relinquish all claims to the same Property forthwith.

3. The Assignee shall hold and peaceably enjoy the demised Property without
interruption from the Assignor or any person(s) claiming through or under or in
trust for her.

4. The Assignor hereby covenants with the Assignee that the Assignor shall at all
times hereinafter save and keep the Assignee indemnified against all
proceedings, costs, claims, expenses and liabilities whatsoever arising from the
defect in title in relation to the demised property.
5. The Assignor covenants with the Assignees that the property is free from any
encumbrance and that the interest passed to the Assignee under this agreement
is clean and registerable under the relevant laws of Lagos State of Nigeria.

IN WITNESS whereof the parties hereto have set their respective hands the day and year first
