DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale (“Deed”), made and entered into by and
between:

I TERESA TANGLAY DELA CRUZ, married to Ricardo C. Dela Cruz, Filipino Citizen, of
legal age, and presently residing at Phase I B4 L4 Tagaytay Heights Kaybagal South, Tagaytay City
4120, represented herein by their duly appointed Attorney-in-Fact, Teresa T. Dela Cruz, married
Filipino Citizen, of legal age, and presently residing at Phase I B4 L4 Tagaytay Heights Kaybagal South,
Tagaytay City 4120, per Special Power of Attorney dated September 15, 2020 with Document Number
226, Series of 2020, Page No. 45, Book No. XV, registered by Atty. Eric de Castro Estrella, hereinafter
referred to as “SELLER”;

JEACIM FRANCIS FUENTESPINA ADAYA, married to Ma. Theodora Tabora Adaya,


Filipino Citizen, of legal age, and presently residing at B3 L13 Buena Perlas 1, Brgy. Labas, City of Sta.
Rosa, Laguna, represented herein by his duly appointed Attorney-in-Fact, Maria Cecilia Dematera
Daz, Filipino Citizen, married, of legal age, with residence and postal address at B7 L25 Buena Perlas 1,
City of Sta.Rosa, Laguna, per Special Power of Attorney ___________ hereinafter referred to as
“BUYER”;

WITNESSETH:

WHEREAS, the SELLER is the registered lawful and actual possessor of a certain parcel of land
situated in the Municipality of Tagaytay, Province of Cavite, and more particularly described and
bounded as follows:

and along line 3-4 by Lot 3 Blk 4, on the NW., along line 4-5-6-7-8 by Rd. Lot 1, on the NE., along line 8-9-10-

WHEREAS, the SELLER is willing to sell the above – described parcel of land, and the
BUYER is ready and willing to buy the same.

NOW, THEREFORE, for an in consideration of the sum of FOUR MILLION FIVE


HUNDRED THOUSAND (Php 4,500,000.00) PESOS ONLY, receipt of which in full is hereby
acknowledged by the SELLER to her full and complete satisfaction, the SELLER hereby acknowledged
by the SELLER to her full and complete satisfaction, the SELLER hereby absolutely and
unconditionally SELLS, TRANSFERS and CONVEYS the above-described parcel of land containing an
area of only THREE HUNDRED TWENTY TWO (322) SQUARE METERS including all the
improvements found and standing thereon, unto the BUYER, his heirs, successors and assigns, free
from all liens and/or encumbrances.

The SELLER hereby undertakes that she, her heirs, successors and assigns shall warrant and defend the
title to the real property subject of this Deed against all claims of all persons or entities. The SELLER
also guarantees the right of the BUYER to take possession of the property subject of this Deed upon the
signing and execution of this Deed and will defend the latter against all judicial or administrative actions
for eviction.
This Deed shall be valid and binding not only on the parties herein but also on their heirs, agents,
representatives, successors and assigns.

HUNDRED THOUSAND (Php 12,200,000.00) PESOS ONLY, receipt of which in full is hereby
acknowledged by the SELLER to her full and complete satisfaction, the SELLER hereby acknowledged
by the SELLER to her full and complete satisfaction, the SELLER hereby absolutely and
unconditionally SELLS, TRANSFERS and CONVEYS the above-described parcel of land containing an
area of only THREE HUNDRED TWENTY TWO (322) SQUARE METERS including all the
improvements found and standing thereon, unto the BUYER, his heirs, successors and assigns, free
from all liens and/or encumbrances.

The SELLER hereby undertakes that she, her heirs, successors and assigns shall warrant and defend the
