LEASE AGREEMENT

This Lease Agreement executed as of this 1 st day of March Two Thousand Nine at Chennai
between Mrs. Thangam Philip aged about 56 years, No.45/20, Ethiraj Salai, Egmore,
Chennai 600 008 hereinafter referred to as the “Lessor” (which expression shall wherever
the context so admits mean and include her successors and assigns) and M/S CT. Philip
Associates, a partnership firm, registered under the Indian Partnership Act, 1932 having
its office at No.45/20, Ethiraj Salai, Egmore, Chennai 600 008 represented by its partner
Mr. Thomas Philip hereinafter referred to as the “Lessee” (which expression shall wherever
the context so admits mean and include their successors and assigns).

WHEREAS:

1. The lessor at the request of the Lessee has acquired/purchased vehicle described
as under for leasing the same to the Lessee upon and subject to the terms and
conditions herein after contained in this agreement.

2. The Lessee has offered to take on Lease the vehicle so acquired/ purchased by the
Lessor; and the Lessor has agreed to lease out the said vehicles to the Lessee on the
terms and conditions contained in this agreement.
NOW THEREFOR THIS AGREEMENT WITNESSETH THAT FOR AND IN CONSIDERATION
OF THE MUTUAL COVENANTS AND PROMISES HEREIN AFTER SET FORTH THE
PARTIES HERETO AGREE AS FOLLOWS.

VEHICLE

The vehicle which the Lessor hereby agrees to lease is:

Honda City (Colour - Grey/ Model - 2009) with Registration No. TN 01 AH 8415.

The Lessor represents that to the best of the knowledge and belief that said vehicle is in
sound and safe condition, and free of any known faults or defects which would affects its
safe operations under normal use.

LEASE PERIOD

The lessor agrees to lease the above described vehicle to the lessee for a period of 36
months beginning from 01st March 2009 and ending on 28th February 2012.

The lessor agrees:

(a) That the leased vehicle shall not be used for hire business purposes.

(b) That the leased vehicle shall not used to carry passengers other than that of the
lessor.

(c) That the leased vehicle shall not be used to carry passengers in excess of the
capacity thereof.

(d) Not to use the vehicle to push, propel or to another vehicle, trailer or any other
thing without the written permission of the lessor.

(e) Not to use the vehicle for any race or any competition.

(f) Not to use the vehicle for any illegal purpose.

(g) Not to operate the vehicle in a negligent manner.

(h) Not to permit the vehicle to be operated by any other person without the written
permission of the lessor.

(i) Not to carry passengers, property or materials in excess of the rated weight
carrying capacity of the vehicle.

INSURANCE

The lessee hereby agrees that he shall fully indemnify the lessor for any and all loss of (or)
damage to the vehicle or equipment during the term of this agreement, whether caused by
collusion, fire, flood, vandalism, theft or any other cause, except that which shall be
determined to be caused by a fault or defect of the vehicle or the equipment.
LEASE RENTALS

The lessee hereby agrees to pay the lessor Rs.10,000 (Ten Thousand Only) per month as
Lease rentals.

All fuel used shall be paid for by the lessee. The Lessee shall at its own expenses, keep the
Vehicle in good repair, condition and working order (reasonable wear and tear expected).

RETURN OF VEHICLE TO LESSOR

The lessee hereby agrees to return said vehicle to the lessor at aforesaid address of the
lessor not later than 28th February 2013.

ARBITRATION CLAUSE

All disputes differences and / or claims arising out of the Lease Agreement shall be
referred to the sole Arbitrator to the nominated and appointed by the Lessor in accordance
with the provision of ‘The Arbitration and Conciliation Act of 1996.

INWITNESS WHERE OF, Lessee and Lessor have caused this agreement to be executed by
their duly authorised representatives as of the date first above written.
