Payment Terms:
1. Payment shall be 50% Advance with work order, 40% before dispatch of material and
balance 10% after installation of the system.
2. Delay in project execution caused due to delay in payments shall be solely customer's
responsibility.
3. Above quotation included GST. In case or any other taxes applicable at the time of billing,
customers shall be charged accordingly.
4. Transportation and Installation cost is included in the above system.
5. Net metering charges are not included in above quotation and shall be payable extra as
applicable at the time.
6. In case customer needs to apply for Increase sanction load has to pay extra charges at
actual to MSEB/SNDL.
7. Work Order cancellation charges will be 5% of total Work Order amount or depending on
execution of work at actual whichever is higher.
General Terms & Conditions:

1. SPLIT CONTRACTS: Two separate orders shall have to be places on Suncity Solar
Engineering Services:
a) For design, supply, installation and commissioning of the solar power plant; and
b) Operation and maintenance; where for separate agreements may need to be executed
between the parties.
2. PRICE: The prices quote in this proposal is inclusive of design, manufacturing, sourcing,
testing, supply, installation and commissioning, as per the bill of the materials and ratings
submitted by Suncity Solar Engineering Services along with the final offer. Any change in
scope of work or addition to the bill of material and/or ratings or any variation, whatsoever,
shall be charged extra to customer. The price quoted Is CIF site and is firm. The price is
exclusive of any annual maintenance charges or comprehensive maintenance charges or
operation and maintenance charges.

3. Payment: 50% advance Payment along with P.O., 40% payment before material delivery
and 10% balance payment after successful installation of the plant.
4. Payable: All payments shall be made in favour of "Suncity Solar Engineering Services"
5. Site Suitability: Site is assumed to be flat and obstruction free for concrete filled ballast /
Hilt foundations without any requirement of Superstructure.
6. Boundary Limit: Termination at 240/440 V AC Distribution Panel of the facility

(Termination cable is not Included In quotation)
7. Access: Unhindered Access to Site would be provided to Suncity Solar Engineering

Services Contractors, Workers and Employees.
8. Construction Power: To be provided free of cost to our executive / man power working
on site.
9. Construction Water: To be arranged by client at its cost.
10. Exclusions any retrofitting / repair of existing facility is not included in Offer.
11. Validity: Validity of this quotation is for 30days. The rate given in the above quotation
may vary after validity. (Keep in consideration Small Variation of +10% to -10% of
given amount at the time of Wok Order)
12. INTERRUPTION IN WORK: The customer must not interrupt the works, and/or shall
abstain from any act or omission of which it can reasonably be expected that it may delay the
works or make the works more difficult and or expensive for Suncity Solar Engineering
Services.
13. DELIVERY & HANDOVER: Suncity Solar Engineering Services shall complete the
project in 4 Weeks from the date of order placement, advance payment receipt, date of net
metering sanction, advance received and acceptance of order by Suncity Solar Engineering
Services project shall be deemed to have been handed over to customer by Suncity Solar
Engineering Services on commissioning of the solar power plant.
14. PROJECT COMPLETION: The Project shall be termed as commissioned when

Suncity Solar Engineering Services complete the installation of solar plant and lay the wire
up to the customer grid.
15. WARRANTY: The solar power plant carries a five (5) years warranty against and
manufacturing defects, as per the existing warranty policy of Suncity Solar Engineering
Services

16. SECURITY & SAFETY: On delivery of the supplies to customer's site in good
condition. Customer shall be responsible for the safety and security of the materials till
handing over of the same to Suncity Solar Engineering Services designated personnel for
installation. In case there are public disturbances at site which are not exclusively attributable
to Suncity Solar Engineering Services. Customer shall resolve the same at its own risk and
cost, for smooth execution of the project. In such case, customer shall provide safety and
security for the Suncity Solar Engineering Services designated personnel working at site.
Any delay in execution or damage of due to public disturbances at site shall be attributable to
and compensated by customer.
17. CIVIL & STRUCTURAL WORK: Suncity Solar Engineering Services limits itself to
provide civil foundation and structures for its module mounting as per the design submitted
along with this proposal. Any changes are designs which are attributable to customer shall be
charged extra. Customer shall allow scrapping of roof for bonding the civil foundation.
18. LIMITATION OF LIABILITY: Not withstanding anything contained in this Proposal,

its appendices, any offer, or order to the contrary, with respect to any and all claims arising
out of the performance or non-performance of obligations under this Proposal or resultant
Agreement or purchase order(s), whether arising in contract, tort, warranty, strict liability or
otherwise, total liability of Suncity Solar Engineering Services shall not exceed beyond 5%
of the total contract value received from Customer. Notwithstanding anything contained
anywhere else in this Proposal, or In the resultant Agreement, or anywhere else, in present or
in future, in no event shall Suncity Solar Engineering Services be liable, whether in
contract, tort or otherwise, to the Customer for special, indirect or consequential loss or
damage (such as, not exclusively, loss of production, loss of reputation, loss of Income, loss
of profit, etc.).
19. INDEMNIFICATION: Customer shall fully Indemnify and hold harmless Suncity
Solar Engineering Services and its affiliates, associates, directors and employees from and
against any and all losses, costs, damages, Injuries, liabilities, claims and causes of action,
including without limitation arising out of or resulting from claims by third parties, acts,
omissions or breach of any of the Customers affiliates, suppliers, employees, agents or
contractors in the performance of Customers obligations under this Proposal or any resultant
Agreement or otherwise arising out of the solar power system or its usage.

Confidentiality & General Conditions Notice
This commercial proposal for installation of On-Grid Rooftop Solar Power Plant system
submitted with the intent of executing a definitive and legally binding agreement following
an award of business to Suncity Solar Engineering Services. The Proposal itself is a legally
binding offer to contract and in the event of an award to Suncity Solar Engineering Services
shall execute an Agreement that will be the complete agreement between the parties.
However, where the parties do not execute any such Agreement, then the terms and
conditions mentioned in this Proposal shall govern any purchase order(s) issued by the
Customer in reference to the installation of rooftop solar power system.
This Proposal constitutes confidential and proprietary information of Suncity Solar

Engineering Services and requires that Customer treat the information contained in this
Proposal as confidential. Customer may use the information contained in this Proposal solely
for the purposes of evaluating this Proposal and executing the Agreement with Suncity Solar
Engineering Services. This proposal and all supporting documentation and manuals
provided to Customer in connection with this Proposal shall remain the property of Suncity
Solar Engineering Services and must be returned immediately upon request.
This Proposal is based upon the set of requirements provided by the customer to Suncity
Solar Engineering Services and certain reasonable assumptions taken by Suncity Solar
Engineering Services and that may be set forth by Owner. If Customer alters the
requirements or if any assumption stated herein are false or inaccurate, then this Proposal,
including pricing, may change. Implementation of any services detailed in this Proposal is
subject to applicable legal and regulatory norms and requirements in force as on the date
when services are to be implemented and such implementation may vary to cater to the
requirements of such applicable legal and regulatory norms and requirements.

SCOPE OF EACH PARTY:
Scope of Suncity Solar Engineering Services:
 Supply & Installation of Module mounting Structure and Solar PV modules.
 Complete cabling for connecting PV modules, strings, arrays and all interconnections
and hardware devices.
 Inverter (Power Conditioning Units) including all associated equipment as per design.
 Connection of electrical cables and protection systems of solar to grid.
 Lightning arrestor (optional) and respective earthing.
Scope of Client:
 For Net metering (If required) all the expenses like application fees, purchasing of Net
Meter or any other charges related to net metering shall be at client scope.
 Shadow free plain area shall be provided by client.
 Provision of electricity and water at site.
 Provision of room for storage of material.
 Provision of room/Shade for Batteries, Inverter, ACDB, DCDB Etc.
