SUBJECT: REVISED ANNOUNCEMENT: Master Technician ASISTTM Subscription


Program. We are pleased to announce the details for a special ASISTTM subscription program for
Master Technicians.

Overview:
Since the change over to Electronic Service Manuals, there have been an increasing number
of requests for extending the availability of ASISTTM. In response to technician requests, to
make service information more accessible within the service area and to improve service
productivity, we are now able to allow Master Technicians to have their own copy of
ASISTTM. All interested Master Technicians may apply for the Master Technician ASISTTM
Subscription Program.

Application Form: The following steps are intended to keep this request as simple as possible.

1. Have the Master Technician read the Software Agreement form and fill out the ASISTTM
Subscription application completely.
2. With your approval, you understand that a one-time setup fee of $100 will be billed through the
non-vehicle account. The Software will be sent to your attention for distribution and control.
3. FAX the approved form to your Regional Training Instructor for processing.
4. The Regional Trainers will validate the request and notify the Diagnostic Development.

Cancellation: Upon cancellation (in the case of a technician leaving) contact the ASISTTM Support
Line (1-800-662-3282 option #4). Detailed instructions for cancelling the subscription will be
provided.

Certification Inquiry:
Interested technicians with certification issues should contact their Regional Trainer and discuss
possible solutions.

Dear Master Technician:

Nissan North America, Inc. a California corporation (“Nissan”), in conjunction with its suppliers, has
developed a proprietary software application known as ASIST™. Nissan has licensed ASIST™ to
your employer, an authorized Nissan/Infiniti dealer (“Dealer”). The ASIST™ software includes vehicle
information grouped by model year. We understand that you wish to take home a single copy of the
ASIST™ DVDs which contain technical information for Nissan and Infiniti vehicles, together with the
security key for the Software, in order to study the use and features of the Software. Nissan is willing
to allow you to take home a single copy of the Software, together with a single security key, provided
you fully comply with all terms and conditions set forth below:

1. You may take home a single copy of the Software, together with a single security key, for use on a
single personal computer in your home. You may use the Software at home solely for the purpose of
familiarizing yourself with the use and features of the Software. You may not sell, rent, or lease the Software,
provide copies of the Software to anyone else, use the Software in any home-based business, or use the
Software at home for any purpose other than familiarizing yourself with its use and features.

2. YOU MAY NOT COPY THE SOFTWARE. You may use DVD set provided to you and will return the
DVD set and security key upon Nissan’s or Dealer’s request or as provided in paragraph 3.

3. Nissan may cancel your right to take the Software home with you at any time, upon oral or written
notice to you. If Nissan notifies you that it is terminating your right to use the Software at home, you will
immediately return your copy of the Software and security key to the Dealer or Nissan. If you leave the employ
of Dealer, your right to take the Software home will automatically terminate and you must return your copy of
the Software and security key to Dealer immediately. This applies even if you go to work for another Nissan or
Infiniti dealer. In addition, Nissan may terminate the Software license between Nissan and Dealer at any time.
Upon any termination of Dealer’s license to use the Software, your right to use the Software will automatically
terminate concurrently therewith.

4. You acknowledge and agree that all right, title and interest in and to the Software, including all
copyrights pertaining thereto, are owned by Nissan or its licensors and you agree not to contest the rights of
Nissan or its licensors in or to the Software.

5. You may not sublicense, assign, transfer or sell any Software or any rights in or to the Software,
including to any other Dealer employee. You may not modify, disassemble, reverse engineer, reverse compile
or alter any Software. You agree to indemnify and hold harmless Nissan and its licensors and affiliates, from
and against any loss, liability, damage or expense, which Nissan, its licensors or affiliates, or Dealer may incur
as a result of your modification, alteration, disassembly, reverse engineering or reverse compilation of the
Software.

6. You acknowledge and agree that you are responsible for protecting the Software from misuse or
unauthorized use. You agree to indemnify and hold harmless Nissan and its licensors and affiliates, from and
against any loss, liability, damage or expense which Nissan, its licensors or affiliates, or Dealer may incur as a
result of your misuse or unauthorized use of the Software.

7. You understand and agree that use of the Software on your home computer is at your own risk. You
fully and irrevocably release Nissan from any liability, loss, damage or expense which may result from your use
of the Software at home, including, but not limited to, any loss or damage to your home computer or any data
stored thereon.

8. The Software has been provided to Dealer with a limited warranty running solely to Dealer. NISSAN
PROVIDES NO WARRANTIES WITH REGARD TO YOUR USE OF THE SOFTWARE ON YOUR HOME
COMPUTER. NISSAN IS ALLOWING YOU TO USE THE SOFTWARE ON YOUR HOME COMPUTER AS
AN ACCOMODATION TO YOU AND SUCH USE IS AT YOUR SOLE RISK. NISSAN DISCLAIMS ALL
WARRANTIES RELATED TO YOUR USE OF THE SOFTWARE ON YOUR HOME COMPUTER,
INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY,
NONINFRINGMENT OR FITNESS FOR A PARTICULAR PURPOSE. NISSAN DISCLAIMS LIABILITY FOR
ANY AND ALL DAMAGES ARISING FROM A DEFECT IN THE SOFTWARE OR FROM YOUR USE OF THE
SOFTWARE ON YOUR HOME COMPUTER.

9. This Agreement represents the entire agreement between you and Nissan regarding this subject,
supersedes any prior understandings with respect thereto, and may not be modified or waived without Nissan’s
written consent. This Agreement shall be governed by Tennessee law and any action brought to enforce this
Agreement shall be brought in state or federal court in Williamson County, Tennessee. If any action is brought
to enforce the terms of this Agreement, the prevailing party shall be entitled to recover from the non-prevailing
party its reasonable attorney's fees and costs. If any court of competent jurisdiction finds any provision of this
Agreement to be unenforceable or invalid, then the provision shall be shall be ineffective to the extent of the
Court's finding, without affecting the enforceability or validity of this Agreement's remaining provisions. This
Agreement may not be assigned by you without Nissan’s prior written consent. Any terms of this Agreement
which by their nature extend beyond its expiration or termination remain in effect until fulfilled and apply to any
permitted assignees.

If the foregoing terms are acceptable to you, please indicate your acceptance by providing the information
requested below, signing where indicated, and returning a completed copy of this letter agreement to us.
