MEDIA RELEASE CONSENT FORM

This Media Content Release Form (the “Agreement”) is entered into and made effective as of
__________________ day of _______________ 20__ (the “Effective Date”), by and between:

1. Kenya Forest Research Institute of P.O Box 20412-00200 Nairobi, Kenya, and located at
Muguga, Kiambu County (the “Institute”) and

2. ____________________________ of P.O Box ___________________ (the “Scientist”)

For the purposes of this Agreement, the Institute and the Scientis shall be individually
referred to as “Party” and collectively as “Parties”.

Whereas:

A. The Institute is mandated to conduct research in forestry and allied natural resources,
disseminate research findings to stakeholders and establish partnerships and cooperate
with other research organizations and institutions of higher learning.

B. The Scientist is an employee of the Institute with assigned roles under contract.

C. Subject to the terms of this Agreement, the Institute shall require the Scientist to submit
certain media content, including but not limited to photographs, digital media, audio-
visual content, voice recordings, broadcasts and general, print and website publications.
(Collectively referred to as “Media Content”)

D. The Parties wish to document the assignment of all intellectual property rights, in
particular, the marketing and usage rights in and to the Media Content.

The Parties hereby agree as follows:

1. The Scientist warrants, represents and agrees to assign the Media Content, from the inception
of its creation, as the sole property of the Institute, in perpetuity, free from any claims by the
Scientist or any other person or entity, and the Institute has the unlimited and perpetual right
to use and control the Media Content.

2. The Scientist hereby assigns their legal rights and authorizes the Institute to use the Media
Content in any and all of the Institute’s publications, including print or web- based
 publications.

3. The Scientist irrevocably authorizes the Institute to copy, edit, enhance, crop, or otherwise
alter any Media Content for use in the Institute’s publications. The Scientist also waives any
moral rights for approval or inspection of any Media Content used in the publications.

4. The Scientist grants an unrestrictable license for unlimited usage and derivative works
thereof. Further, the Scientist assures the Institute that all third party permissions have been
secured in releasing said Media Content to the Institute.

5. The Scientist acknowledges that he/she has entered into this Agreement voluntarily, and shall
not be entitled to any compensation or royalties with respect to the Institute’s use of the
Media Content.

6. If the Scientist wishes to withdraw their consent, they shall make a request in writing to the
Director/ Chief Executive Officer of the Institute. The withdrawal of consent shall take effect
from the date of approval by the Director/CEO and will apply to the Institute’s publications
to be published henceforth.

7. The Scientist acknowledges if the publication was already produced and distributed, the
Institute will not be able to remove the media content from those existing documents.

8. The Scientist agrees to release and forever discharge the Institute and its affiliates, successors
and assigns, officers, representatives, partners, agents and anyone claiming through them, in
their individual and/or corporate capacities from any and all claims, liabilities, obligations,
promises, agreements, disputes, demands, damages, causes of action of any nature or kind,
known or unknown, which the Scientist and anyone claiming on behalf of the Scientist, may
have or claim to have against the Institute in connection with the Media Content.

9. This Agreement shall be binding upon and inure to the benefit of the parties and their
respective heirs, administrators, personal representativeness, executors, successors and
assigns.

10. If any provision is held to be invalid or unenforceable, it shall not affect the validity or
enforceability of any other provision.

11. This Agreement constitutes the entire agreement between the parties and supersedes any and
all prior oral or written agreements or understandings between the parties concerning the
subject matter of this Agreement.

12. The Agreement may not be altered, amended or modified, except by a written document
signed by both parties.

13. The terms of this Release shall be governed by and construed in accordance with the laws of
the Republic of Kenya.

Agreement prior to signing it and I understand its contents. This Agreement is executed on my
behalf and on behalf of my heirs, executors, representatives, successors, and assigns and shall be
binding upon each and all of them in perpetuity.
