OBJECTIVE

Through the contacts provided by Grupo Masa in Spain, CNOOD's

business expanded in southern Europe, northern and western Africa,
and the Middle East.
Access to tenders and projects in Europe is conditional on the references of
the company (alone or in consortium).
Prevails in the valuation:
Experience in the type of project proposed.
Financial capability.
There is no doubt about the technical capabilities of any EPC specialist to
carry out a project, however complex it may be; but without previous
experience, few investors will dare to risk their funds if the EPC does not hire
an expert with technical and financial solvency.
Currently, few companies in Europe are in a position to offer a turnkey of
more than 50 million euros.
With the agreement that will be created, the different consortiums will be able
unify:
Relations with public and private clients.
Consortia with large local construction companies.
Proposals for participation in the total financing of the project.
Enter into the development of operating companies.
Direct access to the different national and local governments.
COVID19 in Europe's infrastructure
The global pandemic caused by the spread of the COVID19 virus has left the
economies of the countries of southern Europe (including France) in a very
delicate situation.
Italy and Spain will be the big losers and possible aid from the EU
Not yet defined.
In addition to public funds, the large construction companies that lived on public
procurement and that were already going through bad times, face a year 2020
full of uncertainties and a 2021 of defaults and cancellations that threaten.
Despite the fact that the creation of new taxes to increase public collection has
already been announced, everything suggests that in almost all of Europe a new
market niche in PPP-based infrastructure will emerge.
The United Kingdom is the only one that has complete and safe legislation for
this type of company, although French and Spanish legislation, backed by
community laws, can allow projects under this modality to be carried out with
great security.
Due to lack of funds, scheduled decarbonization processes may be delayed.

We will have a great opportunity for PPP’s:

CNOOD's ability and willingness to build and finance projects.

STRATEGIES
It is about creating a business partner that allows all three parties to grow.
Grupo Masa has a signed contract with CNOOD to identify projects and offer
them in Latin America, which is their natural market.
An expansion of the same has been proposed to extend the geographical area to
southern Europe, the Maghreb and West Africa, with the possibility of also
reaching Saudi Arabia, the United Arab Emirates and Oman.
The existing contractual relationship is commercial, non-labor and with absolute
independence between the parties outside the established rates for success.
Grupo Masa will sign an agreement with the same European group in which a
fee will be recognized for each project carried out.
A list of projects from Europe will be provided, which must be approved by
Grupo Masa and CNOOD. Deciding these how to undertake it.
The European group will assist technicians published by Grupo Masa and / or
CNOOD at all times.
Depending on the line of business, a local partner chosen for their experience
and / or customer relationship will be proposed.
Due to the current circumstances of the markets, the following types of projects
are proposed depending on the geographical area:

OPERATIONAL
NAL
1. The European team proposes a project to Masa.
2. Grupo Masa transfers the information to CNOOD for its study and
approval.
3. If they reject the project, the European team is released to present it to a
third
4. After CNOOD approval, the first meetings in the project country are
organized with the client and the potential partner to define:
1. Participation percentages.
2. Financing.
3. Strategies.
4. Get support.

5. According to the information that appears in Internet, the CNOOD Group

has an investee or representative company in Spain. It is important to
clarify this matter and to know the activity and specific ownership of this
company.
GENERAL CONSIDERATIONS
considerations
Due to the situation in Spain, the CNOOD Group may be interested in acquiring
or merging with a local company with extensive references and in a healthy
financial state. There are currently several on the market.
We must define the participation of each of the parties in the fees paid by
CNOOD..
It is important to maintain an open office in Spain, as well as to establish a
monthly retainer for travel and representation expenses. With some clients,
open a corporate account for travel and accommodation on their own at a
travel agency; thus lowering the amount of the retainer.
The European team is in a position to provide the other two parts of the
necessary support to implement specific legal and financial structures tailored
to each opportunity that arises and fully adapted to the requirements of each
country.
