TRANSACTION AFFIRMATION FORM

The Customer/AR (Authorized Representative) has executed and submitted a Vehicle Form (token) for intent to sell
his/her Vehicle with CARS24. For the sake of brevity, the details of the Customer/AR and Vehicle are not mentioned here
and shall be read as mentioned therein as per the Appointment ID mentioned above. The terms mentioned hereinafter shall
be read in addition to the terms as mentioned in the respective Vehicle Form executed by the Customer/AR.

Important Points:

1) Delivery of the vehicle

a) Physical delivery of the vehicle along with all relevant documents should be done within 3 days of token
receipt by customer, to avoid late delivery charges. Late delivery charges of Rs.500 per day will be applicable
post that and the deal will be cancelled by the 7th day.
b) CARS24 will not be liable for any damages if the vehicle is delivered at the branch without collecting the
delivery receipt or before the submission of complete documents.

2) Cancellation charges
a) INR 5000 along with the token amount of INR 1000 to be refunded by Customer/AR if he/she does not
conclude the Transaction of the Vehicle with CARS24 within stipulated timelines.
b) No cancellation charges would be applicable in case of cancellation by CARS24 due to changes in the vehicle
condition or unavailability of the price offered; the customer only has to refund the token amount of INR 1000
in this case.

3) In case Party Peshi (physical presence of registered owner at RTO for RC Transfer) is applicable for your vehicle, the
holdback of Rs.10,000 would be only released once you complete the Party Peshi at RTO. Request for Party Peshi will
be made within 120 days of vehicle delivery

4) In case Car is under Hypothecation as per RC or VAHAN Records

a) If Loan is Closed: Customer/AR to provide the loan closure receipt/ foreclosure statement with zero balance
during car delivery, and the bank NOC must be provided within 20 days of delivery of the vehicle.
b) Loan is not yet closed: Customer/AR to provide the latest foreclosure statement on or before the delivery of
the vehicle and the bank loan NOC within 20 days of the loan closure
c) Customer/AR confirms that there are no Linked Loans that will restrict the transfer of this vehicle
d) Please note customer would be liable for any interest accumulated up to 7 days post-delivery of vehicle and
receipt of all relevant documents to close the loan. An amount equivalent to the same would be deducted from
your NOC holdback amount if applicable.

A. Receipt of Registration Certificate of the Vehicle by Cars24

1. Cars24 affirms that it has received the Registration Certificate of the Vehicle from the Customer/AR which is based on the representations as
extended and mentioned hereinafter by the Customer/AR.
B. Affirmations by the Customer/AR
1. The Customer/AR represents and affirms as follows:
(i) That the Customer/AR affirms to conclude the Transaction of sale of the Vehicle in terms of the Vehicle Form (Token) and deliver the
physical custody of the Vehicle with Cars24 within the validity date as mentioned in the Vehicle Form (token) or during any subsequent
period as may be allowed to the Customer/AR by Cars24.
(ii) The Vehicle shall be subject to re-inspection on the date of Delivery and the Final Offer/Quote of the Vehicle as mentioned in the Vehicle Form
(token) may vary or change accordingly.
(iii) The Customer/AR affirms that the Customer/AR has submitted the Registration Certificate in original with Cars24 on the following conditions:
(a) In case the Customer/AR does not conclude the Transaction of the Vehicle with Cars24 and provide the physical custody of the Vehicle
with Cars24 as affirmed at para 1 (i) above then the Transaction shall be treated as a cancelled Transaction and the Customer/AR shall
become liable to make a payment in favour of Cars24 in lieu of such cancellation for an amount of INR 5000/- (Rupees Five Thousand
Only) immediately on the same day of such cancellation. This amount shall be in addition to the refund of the amount of token received by
the Customer/AR from Cars24.
(b) In the event the Customer/AR does not make the payment of the total amount as mentioned at Para 1 (iii) (a) above then Cars24 shall
possess all exclusive rights to retain the original Registration Certificate of the Vehicle till the said amount is received along with any
arrears, if any, accrued against the Customer/AR.
(c) The Customer / AR acknowledges that the Customer / AR is executing and submitting this affirmation after duly understanding the
contents mentioned herein and represents to strictly comply with the same.
(d) The Customer / AR acknowledges and understands that the Customer/ AR has all rights not to execute this affirmation in case t he
Customer/AR prefers so to do and whereinafter the Customer / AR shall become liable to comply with the terms mentioned herein.
(e) The Customer/AR acknowledges and understands that this affirmation has been executed by the Customer/AR in full consciousness and on
his/her own free will and desire after understanding the contents of the affirmation as mentioned hereinabove and the execution is without
any kind of threat, fear, undue influence and coercion from any corner whatsoever.
(iv) The Customer / AR acknowledges that the Customer/AR shall have to collect the original Registration Certificate of the Vehicle by visiting the
respective centre of Cars24, if such case occurs. Cars24 shall not be liable by any means to provide the original Registration Certificate of the
Vehicle beyond the premises of the respective centre and/or to any third party.
(v) The Customer/AR acknowledges and understands that Cars24 shall not be liable for the condition of the original Registration Certificate while
the same is in Cars24 custody for a period of more than (5) five days after cancellation. The Customer/AR understands that the Customer/AR
has been strictly advised by Cars24 to collect the original Registration Certificate on the day of cancellation itself by making the due payments.
(vi) The Customer/AR acknowledges and understands that all and/or any payments shall be accepted by Cars24 only through InstaMojo and NOT
IN CASH.
(vii) The Customer/AR acknowledges and understands that Cars24 shall not be liable to release the original Registration Certificate of the Vehicle
unless the full and complete amount is received by Cars24 till the date of making the payment. Cars24 shall possess all rights to retain the
original Registration certificate of the Vehicle in case of partial payments made by Customer/AR.
(viii) Cars24 shall not be liable for any claims of any nature whatsoever including but not limited to any traffic challan(s) or any charges of similar
nature arising due to the original Registration Certificate submitted by the Customer/AR with Cars24.
(ix) The Customer/AR indemnifies Cars24, its directors, employees and representatives for and against any claims arising out of th e submission of
the original Registration Certificate of the Vehicle by the Customer/AR with Cars24.
(x) Any act of Cars24 of not exercising its rights shall not be deemed to be and treated as a waiver.
(xi) All and/or any disputes arising out of this affirmation including the interpretations hereof shall be referred to Arbitration Tribunal consisting of
sole Arbitrator to be appointed by Cars24 and the award passed by such Arbitration Tribunal shall be final and binding upon the parties. The
venue shall be New Delhi and language shall be English.
(xii) Notwithstanding the Arbitration the courts situated at New Delhi shall possess exclusive jurisdiction.
(xiii) In the event of the Customer / AR is not able to read then the Customer /AR has been read over the contents of this Affirmati on and to the
consent of which the Customer/AR has put in the thumb impression after understanding the same in vernacular.
