SALES AGREEMENT

THIS AGREEMENT is made this 12th day of February, 2020 BETWEEN


MOHAMMED WAZIRI of Girei town, Girei Local Government Area,
Adamawa State (hereinafter called “the Vendor” which expression shall
wherever the context so admit include his agents, executors, administrators,
assigns, heirs, Legal representatives and successors – in – title) of the one
part; AND MUHAMMAD ISAH DAHIRU of Girei main market, Girei Local
Government Area, Adamawa State (hereinafter called “the Purchaser” which
expression shall wherever the context so admits include his agents, executors,
administrators, assigns, heirs, Legal representatives and successors – in –
title) of the other part.

WHEREAS

1. The Vendor is the bonafide owner vide inheritance of the property situate,
lying at Girei, Girei Local Government Area, Adamawa State (hereinafter
called “The Property”).

2. The purchaser has indicated interest to purchase the property from the
Vendor.

3. The Vendor as beneficial owner has agreed with the Purchaser for the
sale of the property free from all encumbrances for a consideration of
₦1,000,000.00k (One Million Naira) only under the following terms and
conditions.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:-

1. In consideration of the sum of ₦1,000,000.00k (One Million Naira)


only paid by the Purchaser to the Vendor (receipt whereof the vendor
hereby acknowledges) the vendor as BENEFICIAL OWNER hereby
assigns unto THE PURCHASER all his rights, title and interest in the
property

2. The Vendor covenants with the purchasers as follows:-

(a) That he has the legal right and is in a position to effect this transaction.

(b) The property shall be quietly enjoyed by the purchaser and their agents
executors, administrators assigns, legal representatives and successors –
in – title without any interruption or disturbance from the Vendor or any
person or persons claiming title through or under him.

(c) To indemnify the purchaser for any expenses incurred in relation to this
transaction or any loss or damages that could arise for want of title
besides the refund of consideration contained herein with interest at the
rate of 10% per annum from today.

(d) To put the Purchaser into actual and effective possession of the property
and to deliver and hand over to the Purchasers the original copies of all
documents over and in respect of the property.

(e) That the property is free from charges and encumbrances and that if
called upon at any time hereafter by purchaser or those claiming title
from or under him do all such lawful assurances and acts and to execute
any further document for further or more perfectly assuring the property
hereby assigned to the purchaser and those deriving title from or under
him as shall reasonably be required.

(f) To execute any further instructions or deeds for the purpose of any
application for a Statutory Certificate of Occupancy or other title deeds
by the purchaser in relation to the property as may be required by any
authority.

3. The Purchaser hereby covenant with the Vendor henceforth, to pay all
rates levies, taxes and demands that may be required by any authority in
respect of the property and to keep the Vendor indemnified against all
actions, claim and demands arising on account thereof or in any way in
relation thereto.

4. The Property is sold in its present state and condition and the purchaser
hereby acknowledges that he has inspected the same and that this
agreement is entered solely as a result of such inspection and on the basis
of the terms hereby and not in relation on any representation or warranty
express or implied made by or on behalf of the Vendor.

5. The Vendor hereby irrevocably appoint the purchaser as his lawful


attorneys in relation to the property with powers to alienate the property
by way of mortgage, transfer of possession, lease, sale, gift or otherwise
or deal with same in any manner the vendor is entitled by law to so deal
in the event that any statutory approval or consent for this agreement is
refused or cannot be conveniently obtained.
IN WITNESS WHEREOF THE PARTIES HAVE EXECUTED THESE
PRESENTS IN THE WAY AND MANNER HEREINAFTER
APPEARING THE DAY AND YEAR FIRST ABOVE WRITTEN.
