Preamble
Whereas ‘’Enabet Al-Manasik’’ Agency for Hajj and Umrah Services Through Enabat Almanasik
Application, its Official Address: KSA – Makkah Al-Mukarramah City, located in Al-Naseem district in
Makkah Al-Mukarramah; is a legal establishment and the Second Party has the ability to manage the
Company’s branches abroad and organize the work. The Parties desired with their full legal capacities to
work with each other according to the following terms:

Pembukaan
Bahwa ''Enabet Al-Manasik'' Badan Layanan Haji dan Umrah Melalui Aplikasi Enabat Almanasik, Alamat
Resminya: KSA – Kota Makkah Al-Mukarramah, terletak di distrik Al-Naseem di Makkah Al-
Mukarramah; merupakan badan hukum dan Pihak Kedua mempunyai kemampuan untuk mengelola
cabang Perusahaan di luar negeri dan menyelenggarakan pekerjaannya. Para Pihak menginginkan dengan
kapasitas hukum penuh mereka untuk bekerja sama satu sama lain sesuai dengan ketentuan-ketentuan
berikut:

. ‫ﺗﻌﺗﺑر ھذه اﻟﻣﻘدﻣﺔ ﺟزء ﻻ ﯾﺗﺟزأ ﻣن ھذا اﻟﻌﻘد‬

1) The preamble:
This preamble shall be considered an integral part of this contract.

1) Pembukaan:
Pembukaan ini harus dianggap sebagai bagian yang tidak terpisahkan dari kontrak ini.

: ‫ ﻣدة اﻟﻌﻘد‬2)
‫ﯾﻌﺗﺑر ھذا اﻟﻌﻘد ﺧﻣس ﺳﻧوات ﻣﯾﻼدﯾﺎ ﯾﺑدأ اﻟﻌﻣل ﺑﮭﺎ اﻋﺗﺑﺎرا ﻣن ﺗﺎرﯾﺦ اﻟﻣﺑﺎﺷرة اﻟﻔﻌﻠﯾﺔ ﻟﻠﻌﻣل و ﯾﺟدد ﺗﻠﻘﺎﺋﯾﺎ◌ً ﻣﺎﻟم ﯾﺷﻌر أﺣد اﻟطرﻓﯾن ﺑطﻠب‬
ً◌ .‫إﻧﮭﺎﺋﮫ ﺧطﯾﺎ◌ً ﻗﺑل إﻧﺗﮭﺎﺋﮫ ﺑﺛﻼﺛون ﯾوﻣﺎ‬

2) Term:
The term of this contract shall be five Gregorian years, shall be effective from the actual commencing date
and automatically renewed; if one of the parties did not notify the other party with termination within 30
days in written notification.

2) Ketentuan:
Jangka waktu kontrak ini adalah lima tahun Gregorian, akan berlaku sejak tanggal mulai yang sebenarnya
dan diperbarui secara otomatis; jika salah satu pihak tidak memberi tahu pihak lain dengan penghentian
dalam waktu 30 hari dalam pemberitahuan tertulis.
 : ‫ﺗﺟدﯾد اﻟﻌﻘد‬3)
‫ﯾﺗم ﺗﺟدﯾد ھذا اﻟﻌﻘد ﺳﻧوﯾﺎ وﻟﻣدد ﻣﻣﺎﺛﻠﺔ وذﻟك ﺑﻣواﻓﻘﺔ اﻟطرﻓﯾن ﺧطﯾﺎ˝ و إﺻدار ﺧطﺎب ﯾذﻛر ﻓﯾﮫ اﻟرﻏﺑﺔ ﻓﻲ ﺗﺟدﯾد اﻟﻌﺎﻟﻘﺔ‬
. ‫ و ﯾﺗم إﺿﺎﻓﺔ أي ﻣﻠﺣﻘﺎت ﺟدﯾدة ﻗد ﺗطرأ ﻋﻠﻰ اﻟﻌﺎﻟﻘﺔ اﻟﺗﻌﺎﻗدﯾﺔ ﻟﺻﺎﻟﺢ أي اﻟطرﻓﯾن‬. ‫اﻟﺗﻌﺎﻗدﯾﺔ‬

3) Contract renewal:
This contract shall be renewed for similar term\ terms by the written agreement of the Parties and issuing
a letter with the intention of renewing the contractual relationship. Any new annexes may arise to the
contractual relationship and in favor of either party shall be added to the contract.

3) Perpanjangan kontrak:
Kontrak ini akan diperbarui untuk jangka waktu yang sama dengan persetujuan tertulis Para Pihak dan
menerbitkan surat dengan maksud untuk memperbaharui hubungan kontraktual. Setiap lampiran baru
dapat muncul pada hubungan kontraktual dan yang menguntungkan salah satu pihak akan ditambahkan ke
dalam kontrak.

4) Official working hours and work place:

According to the policy of the country that the work will be held in.

4) Jam kerja dan tempat kerja resmi:

Sesuai dengan kebijakan negara tempat pekerjaan akan diadakan.

.‫ﺑﻣوﺟب ھذه اﻻﺗﻔﺎﻗﯾﺔ ﻓﺈن ﻣﻛﺎن اﻟﻌﻣل اﻟﻣﻘرر ﻟﮭﺎ وھو إﻧدوﻧﯾﺳﯾﺎ‬
Work place:
In accordance with the present agreement, the agreed upon work place in Indonesia.

Tempat kerja:

Sesuai dengan perjanjian ini, tempat kerja yang disepakati di Indonesia.

: ‫ ﻣﮭﺎم اﻟطرف اﻷول‬5)

. ‫ ﺗﻘدﯾم ﻛل ﻣﺎ ﻣن ﺷﺄﻧﮫ ﺗﺳﮭﯾل ﻋﻣل اﻟطرف اﻟﺛﺎﻧﻲ‬- ‫أ‬
. ‫ ﺗزوﯾده ﺑﺎﻟرواﺑط اﻟﺧﺎﺻﺔ ﺑﻠوﺣﺔ اﻟﺗﺣﻛم ﻟﻣﺗﺎﺑﻌﺔ أﻋﻣﺎﻟﮫ ﻓﻲ ﺗﻠك اﻟدول‬- ‫ب‬
. ‫ ﺗزوﯾد اﻟطرف اﻟﺛﺎﻧﻲ ﺑﺳﯾﺎﺳﺔ اﻷﺳﻌﺎر ﻟﯾﺗم اﻟﺗﻧﺳﯾﻖ ﻓﻲ اﻟﻌﻣل ﺑﻣوﺟﺑﮭﺎ‬- ‫ت‬
. ‫ ﺗزوﯾد اﻟطرف اﻟﺛﺎﻧﻲ ﺑﺄي ﻣطﺎﻟب ﺗﻘﻧﯾﺔ ﻟﺗﺳﮭﯾل ﻋﻣﻠﮫ‬- ‫ث‬
‫ ﯾﻠﺗزم اﻟطرف اأﻟول ﺑﺗﺣوﯾل اﻟﻧﺳﺑﺔ اﻟﻣﺗﻔﻖ ﻋﻠﯾﮭﺎ ﺑﺎﻟﻌﻘد ﻟﻠطرف اﻟﺛﺎﻧﻲ ﻧﮭﺎﯾﺔ ﻛل ﺷﮭر و ذﻟك ﺣﺳب اﻟﻔرز اﻵﻟﻲ ﻟﻠﻣﺑﯾﻌﺎت ﺣﺳب ﻣﻔﺗﺎح‬- ‫ج‬
. ‫ﻛل دوﻟﺔ‬

5) Responsibilities of the first party:

A. The first party shall be bound to provide whatever necessary to facilitate works of the second party.

B. The first party shall be bound to provide the second party with the links required for the control
panel to follow up his works in these countries.

C. The first party shall be bound to provide the second party with the price policy to be acted upon.

D. The first party shall be bound to provide the second party with any technical requests to make his
works easier.

E. The first Party shall be bound to transfer agreed-upon percentage in this contract at the end of every
month according to automated sorting of sales by country code.

5) Tanggung jawab pihak pertama:

A. Pihak pertama terikat untuk menyediakan apa pun yang diperlukan untuk memfasilitasi pekerjaan
‫‪pihak kedua.‬‬

‫‪B. Pihak pertama wajib memberikan tautan yang diperlukan bagi panel kontrol untuk menindaklanjuti‬‬
‫‪karyanya di negara-negara tersebut kepada pihak kedua.‬‬

‫‪C. Pihak pertama wajib memberikan kebijakan harga kepada pihak kedua untuk ditindaklanjuti.‬‬

‫‪D. Pihak pertama wajib memberikan permintaan teknis kepada pihak kedua untuk mempermudah‬‬
‫‪pekerjaannya.‬‬

‫‪E. Pihak pertama terikat untuk mentransfer persentase yang disepakati dalam kontrak ini pada akhir‬‬
‫‪setiap bulan sesuai dengan penyortiran otomatis penjualan berdasarkan kode negara.‬‬

‫)‪6‬ﻣﮭﺎم اﻟطرف اﻟﺛﺎﻧﻲ ‪:‬‬

‫أ ‪ -‬إدارة ھذه اﻟوﻛﺎﻟﺔ اﻟﺣﺻرﯾﺔ اﻟﻣﻘدﻣﺔ ﻣن اﻟطرف اأﻟول ﻟدوﻟﺔ إﻧدوﻧﯾﺳﯾﺎ ﺣﺳب ﺳﯾﺎﺳﺔ اﻟﺷرﻛﺔ اﻟﻣﻌطﺎه ﻟﮫ وﻓﻖ أﻧظﻣﺔ و ﺳﯾﺎﺳﺎت ﺗﻠك اﻟدول‬
‫‪.‬‬
‫ب ‪ -‬إﺳﺗﺧراج اﻟﺗراﺧﯾص اﻟﻧظﺎﻣﯾﺔ ﻟﻠﻌﻣل ﻓﻲ ﺗﻠك اﻟدول ‪.‬‬
‫ت ‪ -‬اﻹﻟﺗزام ﺑﺎﻟﺗﺳﻌﯾرة اﻟﺻﺎدرة ﻣن اﻟﺷرﻛﺔ و ﻋدم اﻹﺧﻼل ﺑﮭﺎ ‪.‬‬
‫ث ‪ -‬اﻟﺗﺳوﯾﻖ ﺑﺟﻣﯾﻊ وﺳﺎﺋل اﻹﻋﻼم واﻟﺗواﺻل اﻹﺟﺗﻣﺎﻋﻲ ﺑﻣﺎ ﯾﺿﻣن ﺗﺣﻘﯾﻖ اﻷھداف اﻟﻣرﺟوة‪.‬‬
‫ج ‪ -‬اﻟﺣﻔﺎظ ﻋﻠﻰ ﺳﻣﻌﺔ اﻟﺷرﻛﺔ و ﻋدم اﻹﺳﺎءة ﻟﮭﺎ ﺑﺄي ﻋﻣل ﻣﺧﺎﻟف ‪.‬‬
‫ح ‪ -‬ﻋدم اﻟدﺧول ﻓﻲ اﻷﻧﺷطﺔ اﻟﻣﺧﺎﻟﻔﺔ ﻟﺳﯾﺎﺳﺎت اﻟدول ﻣن اﻟﻣظﺎھرات او أﻋﻣﺎل اﻟﺷﻐب أو ﻏﯾرھﺎ ‪.‬‬
‫خ ‪ -‬ﺗﺟﮭﯾز ﻣﻘرات ﻟﻠﺷرﻛﺔ ﺣﺳب اﻻﺣﺗﯾﺎج ﺗﺗﺿﻣن اﻟﺷﻌﺎر اﻟﻣﺧﺻص ﻟﻠﺷرﻛﺔ ووﺿﻊ أﺟﮭزة ﺣﺎﺳب آﻟﻲ ﻟﻣﺳﺎﻋدة اﻟراﻏﺑﯾن ﻓﻲ ﻣﺗﺎﺑﻌﺔ‬
‫اﻟوﻛﻼء إذا ﻟم ﯾﻛن ﻟدﯾﮭم اﻷﺟﮭزة اﻟﺗﻲ ﯾﺳﺗﺧدﻣوﻧﮭﺎ ﻟﮭذا اﻟﻌرض ‪.‬‬

‫د ‪ -‬ﻣﺳﺎﻋدة اﻟﻌﻣﻼء ﻓﻲ إدﺧﺎل ﺑﯾﺎﻧﺎﺗﮭم ﻓﻲ اﻟﺗطﺑﯾﻖ أو ﻣوﻗﻊ اﻟﺷرﻛﺔ إﻟﺗﻣﺎم اﻟﺗوﻛﯾل ‪.‬‬
‫ذ ‪ -‬إﺳﺗﻼم و ﺗﺳﻠﯾم اﻟﮭداﯾﺎ اﻟﻣﻘدﻣﺔ ﻣن اﻟﺷرﻛﺔ ﻟﻠﻣوﻛﻠﯾن وﺗوﺛﯾﻖ ذﻟك ﻓﻲ وﺳﺎﺋل اﻟﺗواﺻل ﺑﻌد ﻋرﺿﮭﺎ ﻋﻠﻰ إدارة اﻟﻌﺎﻟﻘﺎت اﻟﻌﺎﻣﺔ ﺑﺎﻟﺷرﻛﺔ ‪.‬‬

‫ر ‪ -‬ﺗﺣوﯾل اﻟﻣﺑﺎﻟﻎ اﻟﻣﺳﺗﻠﻣﺔ ﻣن اﻟﻌﻣﺎﻻء ﻟﺣﺳﺎب اﻟﺷرﻛﺔ اﻟﻣﺣدد ﻟﮫ ﻣن ﺧﺎﻟل ﺑواﺑﺔ اﻟدﻓﻊ اﻟﻣرﺗﺑطﺔ ﺑﺎﻟﺗطﺑﯾﻖ أو ﻣن ﺧﻼل اﻟﺗﺣوﯾﻼت اﻟﺑﻧﻛﯾﺔ‪.‬‬

‫ز ‪ -‬ﺗﺣﻣل ﻛﺎﻓﺔ اﻟﺿراﺋب واﻻﻟﺗزاﻣﺎت اﻟﻣﺎﻟﯾﺔ اﻟﺗﻲ ﺗﺧص ﻋﻣﻠﮫ ﻓﻲ ﺗﻠك اﻟدول ﻣﺎ ﻋدا ﺿرﯾﺑﺔ اﻟﻘﯾﻣﺔ اﻟﻣﺿﺎﻓﺔ ‪.‬‬

‫س ‪ -‬اﻻﻟﺗزام ﺑﺎﻟﺗﺳﻌﯾرة اﻟﻣﺣددة اﻟﺗﻲ ﺗﺻدر ﻣن اﻟﺷرﻛﺔ و ﯾﺗم اﻟﺗوﻗﯾﻊ ﻋﻠﯾﮭﺎ ﻣﻊ إﺿﺎﻓﺔ‪ %10‬ﻛﺧدﻣﺎت ﻟﻠطرف اﻟﺛﺎﻧﻲ ‪.‬‬
 .‫ اﻟﺗﻧﺳﯾﻖ ﻣﻊ ﻣﻔﺗﻲ اﻟدول و اﻟوزراء اﻟﻣﻌﻧﯾﯾن ﻻﺳﺗﺿﺎﻓﺗﮭم ﻓﻲ اﻟﻣﻣﻠﻛﺔ اﻟﻌرﺑﯾﺔ اﻟﺳﻌودﯾﺔ ﻋﻠﻰ ﺣﺳﺎب اﻟطرف اأﻟول‬- ‫ش‬

. ‫ اﻟﻣﺣﺎﻓظﺔ ﻋﻠﻰ ﺳﻣﻌﺔ اﻟﻣﻣﻠﻛﺔ اﻟﻌرﺑﯾﺔ اﻟﺳﻌودﯾﺔ ﻛراﺋدة ﻟﻠﻌﺎﻟم اﻹﺳﻼﻣﻲ و ﺗﻣﺛﯾﻠﮭﺎ ﺑﻣﺎ ﯾﻠﯾﻖ‬- ‫ص‬
.‫ ﻋدم اﻟﺗﻌﺎﻣل ﻣﻊ اﻟﺟﮭﺎت اﻟﻣﻧﺎوﻧﺔ ﻟﻠدﯾن اﻹﺳﻼﻣﻲ ﻛﺎﻟراﻓﺿﺔ و اﻹرھﺎﺑﯾﯾن و ﻏﯾرھم ﻣن اﻟطواﺋف‬- ‫ض‬
.‫ ﻻ ﯾﺣﻖ ﻟﻠطرف اﻟﺛﺎﻧﻲ اﺳﺗﺧدام اي ﻣﺎدة ﺗﺳوﯾﻘﯾﺔ او إﻋﻼﻧﯾﺔ ﻣﺎ ﻟم ﯾﺗم أﺧذ ﻣواﻓﻘﺔ اﻟطرف ااﻟول ﻋﻠﯾﮭﺎ‬- ‫ع‬

6) Responsibilities of the second party:

A. The second party shall be bound to manage the said branches as per policy of the company provided
therein pursuant to the regulations and policies applied in those countries.

B. The second party shall be bound to issue the licenses needed to work in those countries.

C. The second party shall be bound to show total commitment to the prices set by the company without
any deviation.

D. The second party shall be bound to conduct marketing and promotion campaigns via all mas and social
media to ensure achievement of the desired goals.

E. The second party shall be bound to maintain company’s solid reputation and not to bring
about any damage thereof by committing violating action.

F. The second party shall be bound not to engage in activities that oppose state policies, such as
demonstrations, riots, or others.

G. The second party shall be bound to furnish the company’s premises as needed, including the company’s
logo, and setting up computers to assist those willing to follow up with the agents if they do not have their
devices needed for this purpose.

H. Assisting clients in entering their data in the application or accessing the company's website to complete
the POA.

I. Receive and deliver gifts provided by the company to the clients and document the same in social
media after being presented to the concerned PR Department in the company.

J. The second party shall be bound to transfer the amounts received from customers to the company’s
specified account through the portal linked to the application designed for payment or via bank transfers.

K. The second party shall be bound to incur all taxes and financial obligations relative to his works in
those countries except for VAT.

L. The second party shall be bound to the specific price issued by the company and signing thereon
along with calculating additional 10% as services to be incurred by the second party.

M. The second party shall be bound to orchestrate with the competent Muftis and ministries to host them
in the Kingdom of Saudi Arabia at the expense of the first party.

N. The second party shall be bound to maintain the reputation of the Kingdom of Saudi Arabia as a
pioneering state in the Islamic world and representing the state in an appropriate manner.

O. The second party represents and warrants not to collaborate with anti-Islamic entities such as Outs, the
terrorists and other sects.

P. The second party is not entitled to use any marketing and advertising material unless the approval
of the first party is obtained.

6) Tanggung jawab pihak kedua:

A. Pihak kedua terikat untuk mengelola cabang-cabang tersebut sesuai dengan kebijakan perusahaan
yang diatur di dalamnya sesuai dengan peraturan dan kebijakan yang berlaku di negara-negara
tersebut.

B. Pihak kedua terikat untuk menerbitkan lisensi yang diperlukan untuk bekerja di negara-negara
tersebut.

C. Pihak kedua terikat untuk menunjukkan komitmen total terhadap harga yang ditetapkan oleh
perusahaan tanpa ada penyimpangan.

D. Pihak kedua terikat untuk melakukan kampanye pemasaran dan promosi melalui semua mas dan
media sosial untuk memastikan pencapaian tujuan yang diinginkan.

E. Pihak kedua wajib menjaga reputasi perusahaan yang kokoh dan tidak membawa tentang segala
kerusakannya dengan melakukan tindakan pelanggaran.

F. Pihak kedua terikat untuk tidak melakukan kegiatan yang bertentangan dengan kebijakan negara,
seperti demonstrasi, huru hara, atau lainnya.

G. Pihak kedua terikat untuk melengkapi tempat perusahaan sesuai kebutuhan, termasuk logo
perusahaan, dan menyiapkan komputer untuk membantu mereka yang bersedia menindaklanjuti
dengan agen jika mereka tidak memiliki perangkat yang diperlukan untuk tujuan ini.

H. Membantu klien dalam memasukkan datanya ke dalam aplikasi atau mengakses website
perusahaan untuk menyelesaikan POA.

I. Menerima dan menyerahkan hadiah yang diberikan oleh perusahaan kepada klien dan
mendokumentasikannya di media sosial setelah diserahkan kepada Departemen Humas terkait di
 perusahaan tersebut.

J. Pihak kedua terikat untuk mentransfer jumlah yang diterima dari pelanggan ke rekening yang
ditentukan perusahaan melalui portal yang ditautkan ke aplikasi yang dirancang untuk pembayaran
atau melalui transfer bank.

K. Pihak kedua akan terikat untuk menanggung semua pajak dan kewajiban keuangan sehubungan
dengan pekerjaannya di negara-negara tersebut, kecuali Pajak Pertambahan Nilai (PPN)

L. Pihak kedua terikat pada harga spesifik yang dikeluarkan oleh perusahaan dan menandatanganinya
bersama dengan menghitung tambahan 10% sebagai layanan yang akan dikeluarkan oleh pihak kedua.

M. Pihak kedua terikat untuk mengatur dengan Mufti dan kementerian yang kompeten untuk
menampung mereka di Kerajaan Arab Saudi atas biaya pihak pertama.

N. Pihak kedua terikat untuk menjaga reputasi Kerajaan Arab Saudi sebagai negara perintis di dunia
Islam dan mewakili negara dengan cara yang tepat.

O. Pihak kedua mewakili dan menjamin untuk tidak berkolaborasi dengan entitas anti-Islam seperti
Outs, teroris dan sekte lainnya.

P. Pihak kedua tidak berhak untuk menggunakan materi pemasaran dan periklanan apa pun kecuali jika
persetujuan dari pihak pertama diperoleh.

‫ ﺑﻣوﺟب ھذا اﻟﻌﻘد ﻓﻘد ﺗﻘرر ﻣﻧﺢ اﻟطرف اﻟﺛﺎﻧﻲ اﻟﺗوﻛﯾل ﻟﻠﻌﻣل ﻟﻧﺷﺎط اﻟﺷرﻛﺔ ﻋﺑر ﺗطﺑﯾﻘﮭﺎ ) إﻧﺎﺑﺔ اﻟﻣﻧﺎﺳك ( ﻓﻲ ﺗﻠك اﻟدول و ﯾﺣﻖ ﻟﮫ‬- ‫ب‬
‫ﻣﺧﺎطﺑﺔ اﻟﺟﮭﺎت اﻟﻣﻌﻧﯾﺔ ﻓﻲ ﺗﻠك اﻟدول ﺑﻣوﺟب ﻟﺗﺳﮭﯾل إﺟراءاﺗﮫ و ﯾﺣﻖ ﻟﮫ اﻟﺗﻌﺎﻗد ﻣﻊ اﻟﺷرﻛﺎت و اﻟﻣؤﺳﺳﺎت ذات اﻟﻌﺎﻟﻘﺔ ﺑﺗﻌﻣﯾد ﻣن اﻟطرف‬
. ‫اأﻟول و ﻣواﻓﻘﺗﮫ و ﯾﻠﺗزم ﺑﻌدم ﺗﺣﻣﯾل اﻟطرف اأﻟول أي اﻟﺗزاﻣﺎت ﻣﺎﻟﯾﺔ ﺗﺟﺎه اﻟﻐﯾر‬

7) Notification period:
A - Should any of the parties hereto decides to terminate the contractual relationship, then he shall be
bound to notify the other party as per one-month-notification under the applicable rules and pursuant to an
official letter.

B - As per the present agreement, it’s hereby decided to grant this agency to the second party to be acted
upon via its application (Enabat Al Manasik) in those countries, also he deserves the right to address the
concerned authorities in such countries to facilitate his works, likewise he has the right to contract with the
relative companies and institutions provided to obtain approval of the first party who shall be bound to incur
any financial obligations towards others.

7) Periode pemberitahuan:
A - Jika salah satu pihak dalam perjanjian ini memutuskan untuk mengakhiri hubungan kontraktual, maka
ia terikat untuk memberi tahu pihak lainnya sesuai dengan pemberitahuan satu bulan berdasarkan peraturan
yang berlaku dan sesuai dengan surat resmi.

B - Sesuai dengan perjanjian ini, dengan ini diputuskan untuk memberikan agen ini kepada pihak kedua
untuk ditindaklanjuti melalui aplikasinya (Enabat Al Manasik) di negara-negara tersebut, juga dia berhak
untuk berbicara dengan otoritas terkait di negara-negara tersebut untuk memfasilitasi karya-karyanya,
demikian pula ia berhak membuat kontrak dengan perusahaan-perusahaan dan lembaga-lembaga kerabat
yang disediakan untuk memperoleh persetujuan dari pihak pertama yang akan terikat untuk menanggung
kewajiban keuangan apapun terhadap orang lain.

‫ ﯾﻠﺗزم اﻟطرف اﻟﺛﺎﻧﻲ ﺑﺎﻟﻘواﻋد واﻷﺣﻛﺎم واﻹﺟراءات اﻟداﺧﻠﯾﺔ اﻟﻣﻌﺗﻣدة ﻟدى اﻟطرف اأﻟول و اﻟﻣﻧﺑﺛﻘﺔ ﻣن اﻟﻘواﻧﯾن اﻟﺷرﻋﯾﺔ و اﻷﻧظﻣﺔ‬- ‫أ‬
.‫اﻟﻣﻌﻣول ﺑﮭﺎ ﺑﺎﻟﻣﻣﻠﻛﺔ اﻟﻌرﺑﯾﺔ اﻟﺳﻌودﯾﺔ‬

‫ ﯾﻠﺗزم اﻟطرف اﻟﺛﺎﻧﻲ ﺑﺎﻟﻘﯾﺎم ﺑﻛﺎﻓﺔ اﻟﻣﮭﺎم اﻟﺟوھرﯾﺔ ﻋﻠﻰ اﻟوﺟﮫ اﻟﻣطﻠوب اﻟﺗﻲ ﺗﻧﺎط ﺑﮫ ﻣن ﻗﺑل اﻟطرف اأﻟول أو اﻟوﻛﯾل اإﻟﻘﻠﯾﻣﻲ و ذﻟك‬- ‫ب‬

‫ ﯾﻠﺗزم اﻟطرف اﻟﺛﺎﻧﻲ ﺑﺎﻟﻣﺣﺎﻓظﺔ ﻋﻠﻰ أﺳرار اﻟﻌﻣل و ﻋدم إﻓﺷﺎﺋﮭﺎ ﺧﺎرج اﻟﻧطﺎق اﻟﻣﺳﻣوح ﺣﺳب اﻷﻧظﻣﺔ اﻟﻣﺗﺑﻌﺔ ﻟدى اﻟطرف اأﻟول‬- ‫ح‬
‫ ﯾﻠﺗزم اﻟطرف اﻟﺛﺎﻧﻲ ﺑﺎﻟﻣﺣﺎﻓظﺔ ﻋﻠﻰ اﻟﻣظﮭر اﻟﺷﺧﺻﻲ ﻟﺟﻣﯾﻊ اﻟﻌﺎﻣﻠﯾن ﻓﻲ ﻣﻘرات اﻟﻌﻣل اﻟﺗﺎﺑﻊ ﻟﻔروع اﻟﺷرﻛﺔ وﺗطﺑﯾﻖ ﺳﯾﺎﺳﺔ اﻟﺷرﻛﺔ‬- ‫خ‬
. ‫ﻓﻲ وﺿﻊ اﻟدﯾﻛورات و اﻟﺗﺻﺎﻣﯾم واﻟﺷﻌﺎرات اﻟﺧﺎﺻﺔ ﺑﺎﻟوﻛﺎﻟﺔ‬

‫ ﺑﻌد اﻟﺗوﻗﯾﻊ ﻋﻠﻰ اﻻﺗﻔﺎﻗﯾﺔ ﯾﻠﺗزم اﻟطرف اﻟﺛﺎﻧﻲ وﺧﻼل اﺳﺑوع ﺑﺗزوﯾد اﻟطرف ااﻟول ﺑﺧطﺔ ﻋﻣل ﺷﺎﻣﻠﺔ ﺗوﺿﺢ ﻓﯾﮭﺎ آﻟﯾﺎت اﻟﺗﺳوﯾﻖ‬- ‫د‬
. ‫واﻟﺑراﻣﺞ اﻹﻋﻼﻧﯾﺔ وأي ﺧطط ﻟﻠﻌﻣل ﯾﮭدف ﻣن ﺧﻼﻟﮭﺎ زﯾﺎدة ﺣﺟم اﻟﻣﺑﯾﻌﺎت‬

8) Duties of the contractual relationship binding on both parties:

A - The second party shall be bound to the internal rules, provisions and procedures approved by the first
party emanating from Sharia laws and regulations in force within Saudi Arabia.

B - The second party shall be bound to execute all substantive tasks that are assigned to him by the first
party or the Regional Agent provided to be within the scope of his work and according to his relations and
experiences.

C - The second party shall be bound to be in full compliant with all the resolutions issued by the first party
or the Regional Agent as per the applicable rules.

D - The second party shall be bound to carry out the tasks assigned to him at the approved place of work.

E - The second party shall be bound to maintain all properties possessed by the first party.

F - The second party shall be bound to maintain business secrets and not to disclose the same in accordance
with the regulations approved by the first party.

G - The second party shall be bound to maintain the appropriate personal appearance for all the
employees in the workplaces, and Applying company’s policy in putting Decorations, Designs and
Logos for the Agency.

H - After signing the agreement, the second party is obligated to provide the first party with a
comprehensive work plan that explains the marketing mechanisms, advertising programs and any work
plans that aim to increase the volume of sales during the first week of the first year, monthly details. The
first party has the right to follow up.

8) Kewajiban hubungan kontraktual yang mengikat kedua belah pihak:

A - Pihak kedua harus terikat pada aturan, ketentuan, dan prosedur internal yang disetujui oleh pihak
pertama yang berasal dari hukum dan peraturan Syariah yang berlaku di Arab Saudi.

B - Pihak kedua terikat untuk melaksanakan semua tugas substantif yang diberikan kepadanya oleh pihak
pertama atau Agen Regional asalkan berada dalam lingkup pekerjaannya dan sesuai dengan hubungan
dan pengalamannya.

C - Pihak kedua terikat untuk sepenuhnya mematuhi semua resolusi yang dikeluarkan oleh pihak
pertama atau Agen Regional sesuai dengan aturan yang berlaku.

D - Pihak kedua terikat untuk melaksanakan tugas yang diberikan kepadanya di tempat kerja yang
disetujui.

E - Pihak kedua terikat untuk memelihara semua properti yang dimiliki oleh pihak pertama.

F - Pihak kedua terikat untuk menjaga rahasia bisnis dan tidak mengungkapkannya sesuai dengan
peraturan yang disetujui oleh pihak pertama.
G - Pihak kedua terikat untuk menjaga penampilan pribadi yang sesuai untuk semua karyawan di tempat
kerja, dan Menerapkan kebijakan perusahaan dalam menempatkan Dekorasi, Desain dan Logo untuk
Agensi.

H - Setelah penandatanganan perjanjian, pihak kedua wajib memberikan kepada pihak pertama rencana
kerja yang komprehensif yang menjelaskan mekanisme pemasaran, program periklanan dan rencana
kerja apa pun yang bertujuan untuk meningkatkan volume penjualan selama minggu pertama tahun
pertama, rinci bulanan. Pihak pertama berhak untuk menindaklanjuti

‫ ﯾﻘوم اﻟطرف اأﻟول ﺑﻣراﺟﻌﺔ اﻷداء ﻟﻠطرف اﻟﺛﺎﻧﻲ ﺷﮭرﯾﺎ و ﯾﻘرر اﻟطرف اﻷول ﺑﻣوﺟﺑﮫ اﻷداء اﻟﻌﺎم ﻟﻠطرف اﻟﺛﺎﻧﻲ ووﻓﻖ ﺗﻘدﯾره ﻓﻲ‬-
‫ وﻛﺎﻓﺔ اﻟﻣﻌطﯾﺎت اﻟﻣذﻛورة‬،‫ﺗﺣﻘﯾﻖ ﻧﺳب اﻟﻌﻣﻼء ﻣن ﻋدﻣﮫ و ﯾﻛون ﻗرار اﻷداء ﻣﺑﻧﯾﺎ◌َ ﻋﻠﻰ اﻷداء اﻟﻣﺎﻟﻲ و اﻷﻋداد اﻟﻣرﺳﻠﺔ ﻣن اﻟﻔروع‬
. ‫ﻓﻲ ھذا اﻟﻌﻘد‬

9) Job performance under this agreement

The first party shall be bound to review performance of the second party on a monthly basis, in accordance
with which the first party decides on the general performance of the second party while its evaluation
assists in achieving the target or otherwise. The performance decision is based on the financial
performance and the statements sent by the branches as well as all the data set out in this agreement.

9) Prestasi kerja berdasarkan perjanjian ini

Pihak pertama terikat untuk meninjau kinerja pihak kedua setiap bulan, yang dengannya pihak pertama
memutuskan kinerja umum pihak kedua sementara evaluasinya membantu mencapai target atau
sebaliknya. Keputusan kinerja didasarkan pada kinerja keuangan dan laporan yang dikirim oleh cabang
serta semua data yang diatur dalam perjanjian ini.

: ‫ﯾﺗم ﻓﺳﺦ ھذا اﻟﻌﻘد ﻓورا دون دﻓﻊ أي ﺗﻌوﯾض ﻣن ﻗﺑل اﻟطرف اﻷول إﻟﻰ اﻟطرف اﻟﺛﺎﻧﻲ ﻓﻲ اﻟﺣﺎﻻت اﻟﺗﺎﻟﯾﺔ‬
. ‫ اﻹﺧﻼل ﺑﺑﻧود ھذا اﻟﻌﻘد‬- ‫أ‬
 .‫ ﺗﻘدﯾم أي ﺑﯾﺎﻧﺎت ﻏﯾر ﺻﺣﯾﺣﺔ أﺛﻧﺎء اﻟﻌﻣل ﺳواء ﻣﺎﻟﯾﺔ أو إدارﯾﺔ‬- ‫ب‬
. ‫ اﻟﻌﻣل ﻣﻊ أي ﺟﮭﺔ أﺧرى ﻓﻲ ﻧﻔس اﻟﻣﺟﺎل دون ﻋﻠم اﻟطرف اأﻟول‬- ‫ت‬
. ‫ اﻹﺳﺎءة ﺑﺄي ﺷﻛل ﻣن اﻷﺷﻛﺎل ﻷﻟﻧظﻣﺔ اﻟﻣﻌﻣول ﺑﮭﺎ ﺑﺎﻟﻣﻣﻠﻛﺔ اﻟﻌرﺑﯾﺔ اﻟﺳﻌودﯾﺔ ﺑﺷﻛل ﻋﺎم أو ﺑﺎﻟطرف اأﻟول ﻋﻠﻰ وﺟﮫ اﻟﺧﺻوص‬- ‫ث‬

10) Grounds for termination of the agreement:

The present agreement shall be terminated immediately without any compensation to be paid by the first
party to the second party as follows:

A - Contravening any of the provisions provided in the present agreement.

B - Providing any incorrect information during work, whether financial or administrative.

C - Working with any other party in the same field of work while the first party knows nothing about this.

D - Abusing in any way the applicable regulations in the Kingdom of Saudi Arabia in general or the first
party in particular.

10) Alasan pemutusan perjanjian:

Perjanjian ini akan segera diakhiri tanpa adanya kompensasi yang harus dibayarkan oleh pihak pertama
kepada pihak kedua sebagai berikut:

A - Bertentangan dengan salah satu ketentuan yang diatur dalam perjanjian ini.

B - Memberikan informasi yang salah selama bekerja, baik keuangan maupun administrasi.

C - Bekerja dengan pihak lain di bidang pekerjaan yang sama sementara pihak pertama tidak tahu apa-
apa tentang ini.

D - Menyalahgunakan dengan cara apapun peraturan yang berlaku di Kerajaan Arab Saudi pada
umumnya atau pihak pertama pada khususnya.

11) Termination of the Contractual Relationship:
A - The present agreement may be terminated while the parties hereto have no desire to renew the same.

B - Lack of need as per requirements of work.

C - Closure of the premise, God forbids!

11) Pemutusan Hubungan Kontraktual:

A - Perjanjian ini dapat diakhiri sementara para pihak tidak memiliki keinginan untuk mem-perbaruinya.

B - Kurangnya kebutuhan sesuai kebutuhan pekerjaan.

C - Penutupan premis, semoga Allah tidak menakdirkan!
