PAYMENT
Rs. 2 Cr. Paid as an advance against equivalent amount of BG valid till completion of Project. The same shall be recovered of Rs. 8,50,000 Per Month once in a
95% through 45 Days Interest Free Credit. Bill shall be submitted fortnightly.
5% retention is applicable and shall be released after 75 Days from the date of Supply Invoice.
Rs. 15 Cr. Amount shall be provided as a credit by M/s. UTCL for the supply of Concrete & Cement against Bank Guarantee Rs. 11 Crore to be provided by M/s
The Bank Guarantee shall be issued by the KEC on behalf of CCECC – KEC JV and the same shall be deemed to be issued by the CCECC – KEC JV for the pu
Order. It is hereby clarified and agreed between the Parties that KEC shall not raise any defense or objection in encashing the Bank Guarantee by UTCL in futur

The scope of works includes the following:
Rates are considering UltraTech OPC 53 cement. In case slag cement for pile is required, the same shall be issued free of cost by M/s CCECC-KEC (2% wasta

actual as mentioned the basic price of Raw Material & Cement through Debit-Credit note including GST Impact. Any other raw material required to be added to
by M/s CCECC-KEC JV free of cost.
• Slurry required for pumping shall be in M/s CCECC-KEC JV scope
• Ice shall be in M/s CCECC-KEC JV scope including feeding.
• The above prices excludes pumping, placing, vibration, curing of concrete.
• Pumping of concrete shall be in scope of M/s CCECC-KEC JV.
CONTRACT PRICE
The contract price is a fixed rate Contract as per Price Escalation Clause mentioned below. The unit prices & amount shall be as per the attached Bill of Quantiti
loading & unloading, Transit Insurance charges are included in the unit rates FOR at Site and supply to our DMRC project Keshopura North Pitampura, Delhi.
CONCRETE TRANSPORTATION:
Total 384 TM months have been taken for the project. For additional deployment of Transit Mixers, extra shall be charged for TM rental @ Rs 1.25 lacs/TM/ mon
TM, the same shall be returned to M/s CCECC-KEC on same basis. The average lead distance of one way between the project site & RMC plant shall not be ex
Contractors Representative shall approve the deployment/demobilisation of TM.
Any permission related to TM movement shall be arranged by M/s CCECC-KEC JV. Supplies shall be made as per traffic permissions available. PRICE ESCAL
Quoted rates are including cement (supplies in bags) and the cement rates are valid till 31.12.2020.
Rate for sand, aggregates, Flyash, admixture and micro silica are Fixed for 1 year from the date of LOI. After one year, rates to be mutually decided by M/s CCE
based on prevalent rate at the end of 1st year and future possibilities and shall be fixed for 2nd year.
Underloading shall be paid extra at actual after 7 days from the date of applicable. Prices shall be finalized based on Joint negotiation by M/s. CCECC-KEC JV &
Purchase GST Invoice shall be submitted by M/s. UTCL at the time of Claiming. However, in any case it shall be not paid more than @ Rs. 200/MT for Sand & R
due to implementation of underload excluding GST. Royalty &Local body taxes are included in

the cost.
Any statutory hike/ new taxes on raw materials and RMC shall be reimbursed extra on actual basis. In case of Banned of Source due to Government Notification
guidelines for the region then price shall be discussed & mutually agreed upon.
IDLE CHARGES:
The project payable sunk cost in the event of foreclose is Rs 16 per cum for the balance volume left out of 2,54,315 cum.
The project payable fix cost in the event of foreclose is Rs 230 per cum for volume of 10,600 cum/month. Minimum Guaranteed Quantity shall be averaged out
year. Idle charges @ Rs 230 per cum will have to be paid for deficit Quantity on account of CCECC-KEC JV (excluding TM rental which shall be as per TM mon
above). The same shall be reimbursed @ Rs 230/cum for excess quantity.
In case of any event leading to construction ban in Delhi by Govt or any statutory body like NGT, Supreme Court etc. fixed cost of Rs 44 lacs /month or part ther
shall be payable to UTCL. This clause is applicable for 24 hours working. In case of shutdown due to NGT for partial hrs, then it should be discussed & mutually
works come to a standstill for any reason whatsoever, fixed charges for each month of idle time shall be payable..
DELIVERY:
1st Batching Plant taking over within 2 Days from the date of LOI
2nd Batching Plant to be reached on or before 31.01.2020 to meet the Key dates. General Arrangement drawing of Batching Plant from OEM shall be submitted
hours from the date of receipt of LOI.
RO plant shall be commissioned by 25th March 2020. Silos shall be operational by 10th March 20.
All the Plant and Equipment shall be operational by 1oth March’20
MEASUREMENT:
The quantity will be billed as per the batch sheet generated by the computerized batching plant duly calibrated jointly by M/s. UTCL & M/s. CCECC-KEC JV. Cer
JV’s Contractors Representative.
UTCL will be paid actual quantity of work executed and approved by CCECC-KEC JV. The prices mentioned are for the delivery of finished product and complet
approved by CCECC-KEC JV. Quantity of work will be measured as per Delivery challan for the material delivered to Site

In the event of any shortfall in the delivery of material from the agreed schedule, the liquidated damages for such delays shall be imposed on the UTCL at the ra
order value, shall be applicable on balance undelivered portion and shall be deducted from the payments.
The cumulative penalty shall, however, be limited to 5% of the contract value. LD shall be applicable after Grace Period of 7 Days.
Terms of Delivery :
TAXES & DUTIES & ITS ESCALATION:
The prices are exclusive of GST @ 18% and the same shall be reimbursed to you on provision of tax invoices. All other taxes, duties as per your quote and agre
price.
Any variation in taxes/duties due to statutory revisions during the period of the Contract shall be reimbursed by us against documentary evidence. UTCL shall ab
comply with it.
In case of denial of tax credit to us due to non-payment of GST or non-submission of GST return or incorrect details submitted by you, the corresponding amoun
recovered from UTCL.
VARIATION IN SCOPE:
During the time of execution our site Management may vary the quantities from PO as per the situation during the tenure of the contract for which the rates will b
price mentioned in BOQ. For all the new items rates will be agreed upon by both of us before starting such works.

LABOUR LAWS :
You shall comply Labour laws of the state and central governments and other Statutory Authorities for the operation of your scope of Works. CCECC-KEC JV wi
payment / damages that may result on account of non-compliance of the above by you. You will maintain all records that are required to be maintained under La
to time. You shall cover your workmen under PF Act and the necessary documentary proof for the same shall be submitted to CCECC-KEC JV site office. Labou
engaged at site shall have to be arranged by you..
Compliance documents shall be provided by M/s UTCL to M/s KEC promptly so that payment of M/s KEC from DMRC is not affected.
SAFETY:
The UTCL shall strictly adhere to the safety measures/procedures/rules as mentioned in the CCECC-KEC JV SHE [Safety. Health, Environment] manual and DM
agrees to deploy his manpower/labours for all the training related to Safety, Environmental, Health and others necessary for safe working in the Project without a
costs towards the training of UTCLs manpower/ labour shall be borne by CCECC-KEC JV. All the Safety & Environmental requirement shall be followed by M/s.
manual and requirement. However maximum penalty of Rs 2,000 shall be leviable per incident.
QUALITY OF WORK:
UTCL shall be responsible to execute the job with high degree of quality as per the specification and in line with the latest code of practice as per the instruction
Concrete Strength Quality & durability criteria shall comply to project specification & as per approved Inspection & Testing Plan.
RETENTION:
5% retention is applicable and the same shall be released after 75 days from the date of Invoice.
DEFECT LIABILTY PERIOD:
Concrete Strength Quality & durability criteria shall comply to project specification & as per approved Inspection & Testing Plan.
SUPPLIERS OBLIGATION:
a. Neither under this PO, nor any right or obligation hereunder may be assigned, in whole by the UTCL without the prior written permission of CCECC-KEC JV.
b. All the Confidential Information or data supplied by CCECC-KEC JV to the UTCL in connection with this PO shall remain the property of CCECC-KEC JV. If th
the CCECC-KEC JV is disclosed by the UTCL to an unauthorized third party, the UTCL agrees to indemnify CCECC-KEC JV from and against the same.
c. Indemnify CCECC-KEC JV from and against all actions, suits, all damages and proceedings by the third party for the acts/omissions of the UTCL. In case of a
equipment, the same shall be settled by UTCL including all cost / expenses pertaining to the incident.
d. In case of any break-down / strike or any other reason M/s. UTCL is guaranteed to supply Concrete through their nearest plant (Currently Gurgaon/DC02) as
the same rate. In case of failing to supply RMC by M/s. UTCL, M/s. CCECCKEC JV is authorized to procure RMC at the prevailing market rate at the cost & risk
applicable other than preventive maintenance of the plant of 48 Hours in a month with prior approval of Project Manager / P&M..
e. UTCL shall execute the work strictly as per instruction of CCECC-KEC JV authorized Engineers by JV’s Contractors Representative and as per good enginee
f. UTCL shall provide his own quality and supervision Engineers, Labour, equipment’s, tools & tackles in adequate numbers to complete the work as per the give

g. UTCL shall make your own arrangement for Transportation of you Labour and Staff.
h. UTC shall abide by & maintain all quality formats and documentation as issued by CCECC-KEC JV Engineers as per project quality requirement as well as CC
Formats & Norms
i. UTCL shall arrange own Security for your men, material & plants.
j.UTCL shall be responsible for compliance of statutory requirements such as Workmen compensation, Provident Fund, ESIC, Insurance of its manpower, labou
labour laws etc. and law of land applicable. UTCL shall provide proof of such compliances to designated officer of CCECC- KEC.
FORCE MAJEURE
Any delay or impediment in the fulfillment of its obligation by either party by reason of force majeure, such as acts of nature like floods, earthquake, epidemics, a
shall constitute excusable delay and no compensation or idle time payment shall be made for such delays, but extension of time for such period shall be granted
examining the merit of the case for such each individual happenings.
RISK PURCHASE:
In case of any break-down / strike or any other reasons M/s. UTCL agrees to supply the guaranteed concrete quantity through their nearest plant (Currently Gurg
approved mix design and at the same rate.
In the event of failure to timely supply the RMC by M/s. UTCL, M/s. CCECC KEC JV reserves the right to procure RMC from other vendors at the risk and cost o

Preventive maintenance of the plant of 48 Hours in a month shall be carried out such that the Site progress is not affected. The monthly maintainence shall be ca
of Project Manager / P&M/ Contractors Representative. The preventive maintainence does not construe breakdown under the paragraph above.
SEVERABILITY
If any of the terms and conditions of this PO shall become unenforceable for any cause or reason whatsoever, the ensuing lack of enforceability shall not affect t
and in such event the parties hereto shall endeavor to substitute forthwith such other enforceable provision as will most closely correspond to the legal and econ
terms and condition.
NOTICES
All notices, communication, statement, request or correspondence under this PO shall be in writing and in English Language. All notices be served, either by han
the same by registered post, courier addressed to either party at the address stated herein or such change and in providing the services of such notice, it shall b

ARBITRATION & JURISDICTION
a) In the event of any dispute arising or difference out of the performance or the interpretation of this PO, the Parties hereby agree to make every effort to reach

ALTERATION(S)/AMENDMENT(S):
Any alteration(s)/amendment(s) requested by CCECC-KEC JV or by UTCL after this PO has been signed shall become effective only by mutual consent and con
the parties.
TERMINATION OF CONTRACT:
If, your progress is consistently found to be below the accepted schedule; or if the quality of work being executed by you falls below the expected standards laid

In case M/s KEC winds up DMRC DC01 project, M/s KEC shall make the payment of TM rental for 1 month, plant & plant accessories depreciation for 2 months

Other statutory conditions:
UTCL should make arrangement of following documents for Gate pass of his workmen who will be coming for work at CCECC-KEC JV site. Aadhar Card and Ba
bank transfer of wages as per The Payment of Wages Act
ESIC number, if allotted earlier. It is applicable at site which is under the purview of ESIC
Screening Form (To be filled by Site CCECC-KEC), Photograph, Education certificates & Employment Certificates – if any. PF & Gratuity Nomination form to be
The UTCL shall observe all the provisions of relevant/applicable labour laws at all the time and shall also indemnify CCECC-KEC against any claim arising out o
applicable labour laws by Govt. Authority or any workmen of UTCL which may be made under statutory Act/Rules applicable to site.
The UTCL shall maintain all records, registers and file returns to the appropriate authorities as mandated under the applicable Acts and Rules and a copy of the
shall submit to Site CCECC-KEC-IR/Admin as per statutory compliances.
The UTCL shall remain present along with all the statutory records as and when required for Internal/third party audit/Govt. Inspection.
The UTCL should engage workmen so that they can able to read & understand various safety signboards, labels and instructions written in English/Hindi/ Local l
locations within site/client’s premises.
The UTCL should engage such workmen those possess minimum physical standard to carry out the assigned work.
Employment of Child labour is strictly prohibited and is a penal offence as per the Child labour (Prohibition & Regulation) Act 1986. The UTCL shall not employ a
18 years & his age should be between 19 to 50 years.
No female labour allow to work from 7PM to 6 AM
