 PROBLEM STATEMENT

You and your friends are planning to form a new private company in the market where you see
to have a potential to grow. However, your group does not have sufficient capital to set up the
company. Therefore, you have agreed with the decision on searching for potential investors to
raise fund for the capital. Your group is required to make a proposal of the new company and
present to the potential investors.

In the proposal, you need to have the following information with specific indication:

a. Company’s profile:
i. The proposed name of the company
ii. The status of public or private company
iii. The proposed type of business
iv. The address of registered office and business
v. Complete detail of director(s) and promoter(s)
vi. Declaration form (TO BE INCLUDED IN APPENDIX) the director(s) or promoter(s)
that he/she:
➢is not an undischarged bankrupt either in or outside Malaysia; and
➢has not been convicted of any offence whether in or outside Malaysia
vii. Additional document(s) (TO BE INCLUDED IN APPENDIX)
 A copy of certificate of director’s qualification, if required.
b. The capital structure of the proposed company.

i. the financial instruments included
c. The projected financial information:
Required to explain on:-
i. the cost that will incur for at least 3 years estimation and the potential profit that the
proposed company will receive each year using basic Statement of Comprehensive
Income, Statement of Financial Position and Projected Cash Flow.
