Terms of Service

Influencer Hiring (the "Company," "we," "us," or "our") are bound by these
Terms of Service with regard to your access to and use of the
Influencerhiring.com website and any other media form, media channel,
mobile website, or mobile application that is associated with, linked to, or
otherwise connected thereto (collectively, the "Site"). The Site offers a
virtual market place for the following services, products, and/or goods:
marketing influence through social media channels (the "Marketplace
Offerings"). All users are required to accept and abide by these Terms of
Service, including the User Agreement posted on the Site, which is
incorporated into these Terms of Service in order to assist make the Site a
secure environment for the purchase and selling of Marketplace Offerings.
By using the Site and/or the Marketplace Offerings, you acknowledge that
you have read, comprehended, and agree to be legally bound by all of these
Terms of Service. YOU ARE EXPRESSLY PROHIBITED FROM USING
THE SITE AND/OR THE MARKETPLACE OFFERINGS AND MUST
IMMEDIATELY DISCONTINUE USE IF YOU DO NOT AGREE WITH
ALL OF THESE TERMS OF Service.

The following expressly incorporates by reference any other terms and

conditions or documents that may from time to time be posted on the Site.
These Terms of Service are subject to alteration or modification at any time
and for any cause, at our sole discretion. You relinquish any right to request
explicit notice of any modification, and we will notify you of such changes
by revising the "Last updated" date of these Terms of Service. You are
accountable for reviewing these Terms of Service on a regular basis to
ensure you are aware of any revisions. By using the site, you agree to be
bound by any changes to the Terms of Service and to be aware of and to
accept any changes.

The information on the Site is not intended to be shared with or used by

any person or organisation in any jurisdiction or nation where doing so
would be against the law or a rule, or where doing so would require us to
register there. As a result, anybody choosing to access the Site from
another place does so at their own free will and is solely responsible for
adhering to local laws, if and to the extent that they apply.

Users must be at least 18 years old to access the website. Underage users
are not allowed to access the Marketplace Offerings, use the Site, or
register for an account.

Intellectual Property Rights

Unless otherwise stated, the Site and the Marketplace Offerings are our
exclusive property. All source code, databases, functionality, software,
website designs, audio, video, text, photographs, and graphics on the Site
(collectively, the "Content") and the trademarks, service marks, and logos
present therein (the "Marks") are our property or under our control or under
licence and are protected by copyright and trademark laws as well as other
intellectual property rights. Only for your information and private use are
the Content and the Marks given on the Site "AS IS."

No portion of the Site or the Marketplace Offerings, and no Content or

Marks, may be duplicated, combined, republished, uploaded, posted,
publicly displayed, encoded, translated, transmitted, distributed, sold,
licenced, or otherwise exploited for any commercial purpose whatsoever,
unless expressly permitted in these Terms of Service.

You are granted a limited licence to access and use the Site, as well as to
download or print a copy of any portion of the Content to which you have
lawfully gained access, exclusively for your own private, non-commercial
use. This is granted as long as you are qualified to use the Site. We hold all
ownership rights to the Site, the Content, and the Marks that are not
otherwise explicitly given to you.

User Representations

You guarantee and imply by using the website or marketplace offerings

that:
(1) You will only provide truthful, accurate, current, and complete
information when registering;

(2) You agree to keep such information accurate and to immediately update
it when necessary;

(3) You agree to abide by these Terms of Service and you are of legal age;

(4) You are not a minor in the country where you currently live;

(5) You won't use a bot, script, or other automated or non-human means to
access the Site or the Marketplace Offerings;

(6) You won't use the site for any improper or illegal purposes; and

(7) You won't break any laws or regulations by using the Site or the
Marketplace Offerings.

We reserve the right to suspend or cancel your account and prohibit any
and all current or future use of the Site in the event that you provide any
information that is untrue, inaccurate, out-of-date, or incomplete (or any
portion thereof).

You are not permitted to use the Site or the Marketplace Offerings for any
improper or unlawful purposes, nor are you permitted to break any laws by
using the Marketplace Offerings. Intoxicants of any kind, illicit narcotics,
or other unlawful products, alcoholic beverages, chance games, and
pornography or graphic adult content, photographs, or other adult
merchandise are a few examples of unlicensed Marketplace Offerings. If
you post any illegal goods or content, your account could be immediately
terminated and you'd lose access to the Site forever.

User Registration

To access the Marketplace Offerings, you might need to register with the
Website. You pledge to keep your password private and accept
responsibility for any and all account activity. If we decide, in our sole
discretion, that the username you choose is improper, objectionable, or
otherwise unacceptable, we have the right to remove, reclaim, or replace it.

Marketplace Offerings

We reserve the right to limit the quantities of the Marketplace Offerings

offered or available on the Site. All descriptions or pricing of the
Marketplace Offerings are subject to change at any time without notice, at
our sole discretion. We reserve the right to discontinue any Marketplace
Offerings at any time for any reason. We do not warrant that the quality of
any of the Marketplace Offerings purchased by you will meet your
expectations or that any errors in the Site will be corrected.

Prohibited Activities

The Site may only be used for the purposes for which it has been made
available by us. The Site may only be used in connection with commercial
initiatives that we have expressly approved or endorsed.

As a Site user, you consent not to:

1. Using the Site without our express written consent, collect information
or other content in a systematic manner with the intent to establish or
assemble a collection, compilation, database, or directory.

2. Use the marketplace offerings in any way that isn't authorised, such as by
gathering user usernames and/or email addresses for the purpose of sending
unsolicited email or by using automated or deceptive methods to create
user accounts.

3. Disable or otherwise tamper with security-related aspects of the Site,

such as those that forbid or restrict the use or duplication of any Content or
impose usage restrictions on the Site and/or its content.

4. Use the Site for illegal framing or linking purposes.

5. Try to learn critical account information, like user passwords, by
tricking, defrauding, or misleading us and other users.

6. Make improper use of our assistance services or file fictitious reports of

wrongdoing.

7. Use the system in any way that is automated, including by using scripts
to post comments or messages or by employing data mining, robots, or
other techniques for automatically collecting and extracting data.

8. Disrupt, interfere with, or impose an unreasonable burden on the Site, its

associated networks, or services.

9. Attempting to impersonate another user, person, or user by using their

username.

10. You can transfer or sell your profile in other ways.

11. Harass, abuse, or injure another individual using any information

obtained from the site.

12. Reverse engineer, decipher, decompile, or otherwise attempt to

discover the source code of any software that comprises or in any way
contributes to the Site.

13. Make an attempt to get around any restrictions placed on access to the
Site or any part of the Site.

14. Harass, irritate, intimidate, or threaten any of our agents or employees

who are tasked with giving you any of the Marketplace Offerings.

15. Use, launch, develop, or distribute any automated system, including

without limitation any spider, robot, cheat utility, scraper, or offline reader
that accesses the Site, as well as using or launching any unauthorised script
or other software, with the possible exception of results that may result
from standard search engine or Internet browser usage.

16. Disparage, tarnish, or otherwise hurt us, the Site, or both, in our
opinion.

17. Use the website in a way that violates any rules or laws that may be in
force.

Influencer Eligibility

Anyone who is at least 16 years old, or at least 13 years old with the written
consent of a parent or legal guardian, may open an Influencer Account.
However, in order to take part in Campaigns and receive payment via the
Influencing Hiring Platform, Influencers must adhere to the minimum
requirements listed below:

1. 5,000 or more subscribers to the Influencer's Channels;

2. Influencers' channels must be accessible to the general audience;

3. have 20 or more posts;

4. have an engagement rate of at least 2% on average, or 3% in some

circumstances;

5. Content that violates these Terms of Service or the terms of the

applicable social media platform of the Influencer's Channels is not
permitted on the Influencer's Channels.

Influencer Restraints

As an Influencer, you hereby pledge not to:

1. defer posting your Post after the Brand has authorised it; unless the
Brand specifies a different timeframe, you must publish your approved Post
no later than 48 hours after obtaining news of the Brand's approval;

2. during a period of five (5) hours following the publication of a Post,

post, share, or repost any further posts or content to that Channel where the
consequence of doing so would be to lessen the prominence of the Post;

3. delete the Post from your Channels for 30 days starting at the time of
publication and ending at 11:59 p.m. on the 30th day of the calendar;

4. alter any accepted Post either before or after it is published, provided that
it complies with these Terms of Service;

5. to mock, denigrate, criticise, or otherwise make fun of the Brand, its

goods, or services in general;

6. write any posts or other content on a channel that, in any way, lessens
the impact of, undermines, or takes away from a Post, the Brand, or its
goods or services; and

7. provide a Brand any further rights in a Post without first obtaining

Influencing Hiring written consent and before agreeing to acceptable
payments. If you want Influencing Hiring to negotiate any use extensions
between you and a Brand, you will pay a fair service fee.

Acknowledgements

The Influencer and the Brand acknowledge:

1. Influencers and Influencing Hiring Platform are not compelled to buy

any goods or services from the Brand;

2. Brand may decide to send an Influencer a sample of a product at its sole

discretion. Influencers can ask brands to send them product samples, but
brands are not required to do so;
3. Influencing Hiring Platform will not be held responsible or liable in any
way for any products that are sent from a Brand to an Influencer that are
late or do not arrive. Influencing Hiring Platform does not confirm the
address that an influencer provides over the platform.

4. There is no assurance that an Influencer will post about a product after

receiving a sample from a Brand. All product reviews must accurately
reflect the Influencer's values;

5. There is no assurance that an Influencer's post(s) regarding a product will

be endorsed by the Brand, even if they decide to purchase it;

6. A brand cannot employ a product, service, or other non-monetary

agreement as partial or total payment for an influencer's post;

7. No ownership rights in the Posts' intellectual property or the influencer's

identity are given to the Brand by these Terms of Service;

You consent to indemnify Influencing Hiring and its affiliated companies,

employees, servants, and agents from and against any claims, liabilities,
damages, losses, and expenses (including reasonable legal fees), including
those resulting from or connected with any of the following, including as a
result of your direct activities on the Influencing Hiring Platform:

1. your usage of the Influencing Hiring Platform or content;

2. your violation of these Terms of Service, the Rules and Guidelines, or

any warranty or covenant that you have made or agreed to;

3. Your complaint about a Brand, regardless of the reason;

4. Your complaint of any kind against an Influencer;

5. any legal action brought by a third party (including another brand or
influencer) due to your alleged violation of any of the terms in these terms
of use or rules and guidelines;

6. Any assertion or claim that any third party's rights, including intellectual
property rights, have been violated by your Content.

7. your violation of any laws, rules, or regulations that may be relevant; and

8. Any misrepresentation you have made.

Monitoring

Influencing Hiring Platform reserves the right to watch over all Account
activity as well as the Influencing Hiring Platform Platform in general.
Influencing Hiring Platform has the right to close or freeze your Account
right away if it exhibits any indications of fraud, abuse, or questionable
behaviour. If Influencing Hiring Platform believes you have abused any
privilege granted to you as a participant in the Influencing Hiring Platform,
provided false information or made any representations to Influencing
Hiring Platform, broken these Terms of Service or the Rules and
Guidelines, or violated any other provision of these Terms of Use or the
Rules and Guidelines, Influencing Hiring Platform retains the right and sole
discretion to suspend or terminate your Account, and/or access. Any
Content that Influencing Hiring Platform believes violates these Terms of
Service or the House Rules may still be removed. You won't be able to
access your Account once it has been suspended or terminated in line with
these Terms of Service. In the case of termination, you won't be able to use
your Account at all. Influencing Hiring Platform reserves the right to take
legal action to recoup losses or other payments from you.
