MEMORANDUM OF UNDERSTANDING (MOU) BETWEEN

A.J ENTERPRISES AND S.J ENTERPRISES
This Memorandum of Understanding (MOU) is made and entered into on the day of Monday, 1 st of August
2022 by both parties and is by and between:

AJ Enterprises, a company organized and existing under the laws of Karnataka, with its principal place of
business at [Khata No 68/1 and 68/2, Gottigere Village, Bannerughatta Road, Uttarahalli Hobli, Bengaluru
(Bangalore) Urban, Karnataka, 560083], hereinafter referred to as "A.J Enterprises"

AND

S.J Enterprises, having a GST [29JINPS3444A1ZW] a company organized and existing under the laws of
Karnataka, with its principal place of business at [NO 47B, 4 TH CROSS, OPP PARK GATE, BET COLLEGE ROAD,
BISMILLAH NAGAR, B G ROAD CROSS, Bengaluru], hereinafter referred to as "SJ Enterprises"

WHEREAS, A.J Enterprises is a company engaged in the business of [scrap trading/processing/recycling] and
holds Karnataka State Pollution Control Board - Bangalore Authorization No: 120577 Valid up to: 31/12/2027 and all
necessary documentation and legal licenses and proper certificates required by law;

AND WHEREAS, S.J Enterprises is also a company engaged in the business of scrap trading but does not hold
the necessary documentation and legal licenses and proper certificates for scrap processing/recycling
required by law;

WHEREAS, both AJ Enterprises and SJ Enterprises desire to enter into a business relationship for the purpose
of [buying/selling/processing/recycling] scrap materials;

NOW, THEREFORE, the parties hereby agree to the following terms and conditions:

1. AJ Enterprises shall provide SJ Enterprises with the necessary documentation and legal licenses and
proper certificates for the purpose of [buying/selling/processing/recycling] scrap materials.

2. SJ Enterprises shall pay to AJ Enterprises any excess cost incurred to AJ Enterprises during the tenure
of the project.

3. S.J Enterprises shall be solely responsible for obtaining any necessary documentation and legal
licenses and proper certificates required by law from A.J Enterprises for its business operations. AJ
Enterprises shall not be held liable for any legal violations or non-compliance by SJ Enterprises.

4. A.J Enterprises will take all the responsibilities of collected waste/Scrap/material for
disposing/recycling the waste as per KSPCB.

5. This MOU shall remain in effect for a period of 11 months (upto 30 th June 2023), after which it may be
renewed by mutual agreement of both parties.

6. Pricing will be decided based on the type of Waste with mutual agreement of both parties.
Customer/vendor/other parties is not responsible.

7. This MOU shall be governed by the laws of the State of Karnataka.

8. Any disputes arising out of or in connection with this MOU shall be resolved through
[arbitration/mediation/litigation] in accordance with the laws of the State of Karnataka.
