1. Definitions ‫التعريفات‬ 1.

2. Scope of Services ‫ مجــــــال الخدمــــــــــــــات‬.2
2.1. The Contractor agrees to supply the ‫يوافق المقاول على توفير الخدمات حسب تفاصيلها‬ 2.1

3. Term, Termination and Cancellation ‫ االنــهاء وااللــــغاء‬، ‫فترة الــعقد‬ 3.

3.3.4 The Company may terminate this Contract ‫يجوز للشركة إنهاء هذا العقد فوراً بتوجيه رسالة خطية‬ 3.3.4

4. Payment and Records ‫الســــــــــداد والسجــــــــــــــــالت‬ 4.

4.1 The Company shall pay to the Contractor (or 4.1

5. Confidential Information ‫المعلومات السرية‬ 5.

7. Contractor’s Drivers ‫سائقو المقاول‬ 7.

7.1 The Contractor shall ensure that he is the ‫يجب على المقاول التأكد من أنه هو سائق مسجل لقيادة‬ 7.1

8. Warranties ‫الضمانات‬ 8.
8.1 The Contractor represents and warrants to :‫يتعهد المقاول للشركة ما يلي‬ 8.1

8.5 The Services shall be supplied and rendered ‫يتم توفير الخدمات من قبل عاملين يتمتعون بالخبرة‬ 8.5

9. Lien ‫الدين‬ 9.
9.1 The Contractor shall have no lien, charge or ‫يجب أن ال يكون على المقاول أي دين يتعلق بأي شحنة‬ 9.1

and shall hold harmless and indemnify the
Company and Company personnel

howsoever caused, including any loss or ‫فقدان او خسارة تقع على الشركة أو زبائنها أو‬
damage caused or contributed to by the ‫و موظفي متعاقديهم األخرى‬،‫والشركات التابعة لها‬،‫موظفيها‬

10.4.3 Third Parties ‫االطراف الثالثة‬ 10.4.3

All injury, death, loss or damage to third ‫ الخسارة او التلف الذي يقع على‬، ‫ الوفيات‬، ‫جميع االصابات‬
parties resulting from any fault, negligence, ‫ أو تجاوزات‬، ‫ اهمال‬، ‫اطراف ثالثة ويكون ناتجا ً عن خطأ‬
act or omission of the Contractor, sub- ‫ أو من عاملي‬، ‫ أو من مقاولي الباطن‬، ‫من قبل المقاول‬
contractor, or Contractor personnel or their .‫المقاول او وكالئهم أو ممثليهم‬
agents or representatives.
10.5 The Contractor’s combined liability arising ( ‫مســـؤولية المقاول الموحدة الناتجة عن الفقرتـــــــين‬ 10.5

from Clauses 10.4.1 and 10.4.3 for any one ‫) ألي حادث أو عدة حوادث ناتجة عن‬3,4.10( ‫ ) و‬1.4.10
accident or series of accidents arising from ‫حالة واحدة ستكون محددة بمبلغ خمسة ماليين دوالر أمريكي‬
one event shall be limited to an amount of . ‫لكل حالة تقع‬
US$5 (five) million for any one occurrence.
The Company’s Customer shall hold

with local law for any loss or damage ‫ او‬، ‫تلف يتسبب فيه المقاول للشركة أو لزبون الشركة‬
caused by the Contractor, to the Company ‫موظفيهم أو ألطراف ثالثة خارج أداء الخدمات التي تنفذ‬
or Company customer, their personnel or . ‫بموجب هذا العقد‬
third parties outside the performance of the
Services under this contract.
10.8 Contractor shall deliver goods, cargo and ‫ والمعدات خالل فترة‬، ‫على المقاول تسليم البضائع الشحنات‬ 10.8

Company, Company customer or Service . ‫الخدمات‬

Contractor’s shall be borne by the
Contractor and reimbursed to the
Company/Company customer/service
contractor.
11. Force Majeure ‫القوة القاهرة‬ 11.

11.1 Neither party will be liable to the other to ‫كل طرف غير مسؤول لدى اآلخر بأية حال عن الحوادث‬ 11.1
any extent in relation to any Force Majeure ‫ والتي فيها يفشل أي طرف في‬، ‫التي تقع نتيجة قوة قاهرة‬

shall not constitute a Force Majeure Event
for the purpose of this Contract.

11.2 As soon as either party becomes aware that ‫بمجرد علم أي من الطرفين بوقوع قوة قاهرة أو أن تكون‬ 11.2
a Force Majeure Event has occurred or is ‫ فعليه اخطار الطرف اآلخر بذلك ؛ عندئذ‬، ‫وشيكة الحدوث‬

Services
11.5 The Contractor shall not be liable for the ‫سوف لن يكون المقاول مسؤوالً قانونيا ً للحد الذي تتاخر فيه‬ 11.5
extent to which the Services are delayed or ‫الخدمات أو تُمنع شريطة أن يكون المقاول قد اتخذ كافة‬
prevented provided that the Contractor has ‫التدابير الضرورية لحماية الشحنة وتقليل آثار الظروف‬

13. General Provisions ‫أحكـــام عامـــــــــة‬ 13.
13.1 The Company’s liability to the Contractor ‫مسؤولية الشركة تجاه المقاول تنحصر في أن الشركة غير‬ 13.1
shall be limited such that the Company shall ‫مسؤولة تجاه المقاول سوا ًء كان ذلك في العقد أو المسؤولية‬

damage or expense; provided that this
Clause will not limit the Company’s liability
to the extent that any such breach results in
death or personal injury and is caused by
the Company’s negligence.
13.2 Termination of this Contract for whatever ‫إنهاء هذا العقد ألي سبب كان لن يؤثر على الحقوق‬ 13.2

Duqm transport operations will be reimbursed on a kilometer (Km) rate, with the rate fixed at OMR 0.443 per
Km. Trips starting and ending in Duqm are considered as a round trip and will be reimbursed on the Km rate,

where possible the PDO Road Map has been used to benchmark the distances. Table 1 refers to the known
locations.

For transport operations that fall outside of the known locations, i.e. direct deliveries to rig/hoist locations;
payment will be calculated on Kms driven as per IVMS data aligned to the issued Safe Journey Plan. At a rate
of OMR 0.443 per Km.
Deployment to Duqm will not be paid. Where possible, attempts will be made to allocate loads for the
concession area to ease the burden, this will be reimbursed as per the OTO Contract as a one-way trip.
Truck being released from Duqm activities, where possible will be allocated loads to the north oilfields;
Muscat or Sohar. This will be paid at OMR 0.443 per Km for the loaded leg and thereafter the OTO Contract
rate back to Muscat. The allocation of backloads and diversions from unloading points is standard, refusal
will result in refusal of payment back to Muscat. Table 2 is an example only, locations will vary.
