For the maintenance service on the terms & condition expressly discussed and mutually agreed as mentioned herein as under.

1.2 It is further expressly agreed that whenever customer exercises his option in enhancement
of the service notincluded otherwise in the scope of this contract , the customer shall pay the cost
for such enhanced servicesin addition to the total contract price.
1.3 Payment Terms TOTAL ADVANCE

Terms and conditions
1.0. Terms:
a The contract price is exclusive of all the taxes.
b The contract price shall be paid in advance against our invoices before the commencement /
renewal of the contract.
c The price given in this agreement will be firm for a period mention in clause 1.0 of Maintenance
Contact on 20Page 1.
d The customer shall pay in addition to the contract price mentioned here in above , all taxes applicable
at the time of this proposal or becoming effective after the date of this contract agreement , at the prevalling
rates.
e The service duration of this contract shall be period mention in clause 1.0 of maintenance Contract on
page-1 & shall continue therefore unless termination notice ,in writing, is served by the customer 90 days in
advance
before the exipary of the first year or the subsequent year.
f If the customer fails to pay any charges or other moneys payable here-under by it & when due &
payable in accordance with the payment terms, invoiced, the customer agrees that the "Alliance
Elevators & Escalators" has the right to invoice & the customer will pay the late payment charge@
18% per annum on the unpaid balance from the due date of payment. An invoice so issued for the late
payment shall constitute written notice.

2.0. Alliance Elevators & Escalators Obligations

2.1 The Alliance Elevators & Escalators will deploy qualified, trained & adequately skilled personnel
either directly employed or supervised by it. The manpower so deployed will keep the equipment
properly adjusted & render all care to maintain the equipment to the contracted specifications & safe
operating condition.

2.2 The Alliance Elevators & Escalators will in accordance with their terms hereof , regularly
examine, lubricate &adjustTHE EQIPEMENT &generalley carry out planned maintenance in
systematic & controller manner using
Alliance Elevators &Escalators's developed techniques & expertise. The normal frequency of examination
is on MONTHLY basis and ON CALL FOR BREAKDOWN.
2.3 Repair or Replaced Parts
The Alliance Elevators & Escalators will at its option , repair or replace any parts detailed in the
following section , which,in its opinion are defective. Parts will be furnished by Alliance Elevators &
Escalators on exchange basis under which the replaced parts become the property of the "Alliance
Elevators & Escalators" .
2.4 Scope of Work :
a Check all wires rpoes and chain (where fitted) as oftenasrequried to maintain an adquatefector of
safety , to equilize the tension on all hosting on all ropes and replace if required , repair or replace
travelling conducter cables.
c Furnished lubricants compounded to the Alliance Elevators &Escalators's stringent specifications.
d Examine periodically all safety devices & governors & make all customary safety test.
2.5 Exclusions
a "Alliance Elevators & Escalators" assumes no resposibility for replacement or repair of following items of
elevator equipment, not included in this contract:
Elevator car cabin, car and landing gates, guide rails with enclosers ,wire ropes,main traction machine,limitswitch,reed switch,
fan,light bulbs, control panel,c.o.p,l.o.p etc.
b In case of mishandling Alliance Elevators & Escalators will not be responsible.
2.6 Spare Parts Inventory
The :Alliance Elevators & Escalators will during this contract maintain , in its local service center /
Response centre, a resonable supply of frequently used replacement parts &lubticants selected by the
"Alliance Elevators & Escalators" .
2.7 Quality Control
The "Alliance Elevators & Escalators" will perform an annual Technical Audit of the Equipment to verfiy that it conforms to the
" Alliance Elevators & Escalators" requirements.
2.8 Work Timing
All work & services provided for in this contract are to be performed during normal working hours on
normal working days. Additional costs incurred in carrying out work outside such times will be chared as
extra for the overtime premium hours.
2.9 General Exclusions
a It is hereby specifically agreed that company would not in any way be liable to replace or repair free of
charge, under this contract if any willful damage is caused to all or part of the Elevator as a
consequence of a faulty electrical system , Fire water seepage flooding etc. In such an event all repairs
& replacement as may be, necessitated would be carried out at the cost & expenses of the owner. It is
recommended that the customer should take adequate protection from insurance ore simmilar agencies
to safe guard the equipment for damages that would occour due to such causes. In such an event the
cost of repair or replacement should be reimbursed to the company without any conditions or
limitations.
b It is agreed that the "Alliance Elevators & Escalators" will not be required to make renewals or repairs
necessitated by resaon of negligence or misuse of the elevator equipments.
3 Worn-Out Parts
a The parts, components &equipments listed in maintenance contract clause 3.0 show cosiderable wear & tear
& will have to be replaced in the near future.However , in order to provide the customer with maximum utility from
right to terminate the agreement if such replacements are not carried out with in the time
stipulated by the company.
b The "Alliance Elevators & Escalators" shall submit bills for chargeable items under the contract as per
maintenance contract & the customer shall pay the full amount with in 15 days of the date of the bill.
3.1 Call Back Service
The " Alliance Elevators & Escalators " will provide Call Back Service at no Extra charge under this
contract.The call back service will be extended on all working days as well as holidays for elevators located
in cities /towns where Alliance Elevators & Escalators has a service center /Response Center. Service
centre is located at Roorkee also.
3.2 Emergency Minor Adjustement Call-Back Service
The " Alliance Elevators & Escalators " will provide emergency minor adjustment Call Back Service at no
Extra charge under this contract. The CALL BACK service will be extended on all working days as well as
holidays for elevators located in cities / towns where the "Alliance Elevators & Escalators" has a service
center /Response Center.
3.3 Chargable Call Backs: False calls to be attended at where the "Alliance Elevators & Escalators"
does not have a Service Center shall be Charged.
a The customer will allow "Alliance Elevators & Escalators" employees free & unhindered access to The Equipment.
b These areas should be free of danger of falling object: of under grounded electrical wires &
of tripping hazards, etc. which would pose a danger to those working on THE EQUIPMENT.
c With due concern for the safety of its employees, "Alliance Elevators & Escalators" res erved the right to
suspended services when in their opinion " Alliance Elevators & Escalators" personnel are subjected to
hazardous working enviorment at site.
d The Customer will report details of unsatisfactory running or irregular performance of THE EQUIPMENT
and will keep clean and in good condition those parts excluded from this agreement refferd in section 5.

4.0. The Company's Liability


The "Alliance Elevators & Escalators" does not assume or accept possession or management of any part of The Equipment,
but such remains THE CUSTOMER's exclusively as the owner or lessee thereof.
5.0. General Conditions
The Alliance Elevators & Escalators is not liable for failure for provide the servive for any event beyond
its reasonable control such as ( including but not limited to ) act of God, public
enemy,Governmentauthority,exporiation, confiscation of facilities, act of war or threatended war,
hostility emergency, rebellion, sabotage,damage resulting from fire, flood, rain , cyclone, explosion,
sudden surges of voltage, & currents beyond the tolrance limits of the equipment, accident or riot
strikes, lockouts or concerted act of workmen direct or indirect.
The Alliance Elevators & Escalators reserves the right to shut down the elevator at any time during the
contract period if in its opinion the "Alliance Elevators & Escalators" feels that the condition of the
elevator has become unsafe for use either due to normal wear or tear or improper usage.
The "Alliance Elevators & Escalators" is not expected to assume liability for injury ( other than to its
employees) or damage to property resulting from or caused by the elevator during its operation. The
company reserves the rights to keep the control cubicle locked.
This contract shall supersede all prior agreement or contracts or understandings between the
parties hereto. The elevator will remain out of commission during the period of maintenance work .
No one will be allowed to use the elevator for any reason during period.
parties have to the matter shall be settled by Arbitration in accordance with the Indian Arbitration
Act of 1940 all the proceedings of such an arbitration shall take place at the zonal headquarter of
the company.
Any work which may be rendered necessary by reason or revision of the existing Government
Municipal or elevator Acts, promulgated subsequent to the date of installation of elevator or new
design/ development falls out of the scope of this contract.
The service charges set out in maintenance Contract Clause 1.2 hereof in based on costs including
costs of material & of wages payable under existing wages agreements,ruling at the date hereof. In
the event of any variable of wage awards & or variation In cost of material or cost strecture having
taken effect after date hereof the service shall be subject to a prorate variation. Company will advice
the Customer in writing not later than two months prior to the date on which any such price variation
is to take effect.
Any variation in the rates of applicable taxes during the tenutre of this contract shall be charged
extra from the date when such variations become effective.
6.0. The Customer Agrees & Undertakes:
To apporve the estimates submitted by the Company for any repairs/replacements & immediately
remits the amount on recipt of the estimates. In case the customer does not clear such estimate in
15 days time, the breakdown duriongthr period will be charged @Rs. 3000/ per breakdown as also
the company has the right to terminate the contract with out notice &with out being obligated to
refund to the customer the maintenance charges under clause 2.1 of Maintenance Contract or part
thereof.
