CONFIDENTIALITY / NON-COMPETE AGREEMENT

Commitments:

1. Both signed parties agree that during the period and for a period of twelve months
thereafter, shall not compete with or solicit, induce each other clients or candidates
who are introduced pursuant to this agreement

2. Both parties agree that they shall not use or disclose to anyone any confidential
information regarding the clients or candidates learned during discussions, prior to such
information becoming a matter of general knowledge.

3. In event of violation by either party, of above clause 1 or 2, the defaulting party shall be
liable to pay liquidated damages to the tune of financial loss suffered on account of such
breach. The amount of damages payable shall be decided by the court of law.

4. It is affirmed that the responsibility of delivering all consultants presented by the

‘Vendor’ rest on the VENDOR, failing which the VENDOR is liable to pay any amount
decided by the court of law.

5. That contractor will provide qualified personnel (hereinafter consultants) who are
employees of contractor. In cases where the contractor’s consultant is in the United
States on a work visa (H1B), contractor represents that it is the sponsor of the visa and
also agree to provide a copy of the work visa and I-94 at the time of signing this
contract.

6. The laws of the state of Maryland shall govern this agreement.
