HOWEVER, CHARTERER RESERVES THE RIGHT TO EXTEND THE PERIODE UP TO 24 (TWENTY- FOUR) MONTHS,
THE CHARTERER'S OPTION OF EXTENSION WILL BE EXERCISED 1 (ONE) MONTH PRIOR TO EXPIRY OF THE
CONTRACT PERIOD.

5.1 CHARTERE WILL ENDEAVOUR TO DECLARE EACH LAYCAN WITH AND ADVANCE NOTICE OF ATLEAST 4 (FOUR)
WEEKS FROM THE START DAY OF THE LAYCAN, HOWEVER THE CP HOLDER / VESSEL OWNER SHALL
NOMINATE THE VESSEL EVEN WITH A SHORTER NOTICE PERIOD DEPENDING UPON THE REQUIREMENT OF
CHARTERER.

5.2. CP HOLDER / VESSEL OWNER SHALL NOMINATE THE VESSEL FOR EACH SHIPMENT WITHIN 10 (TEN)
WORKING DAYS FROM THE DATE OF DECLARATION OF LAYCAN AND CHARTERER TO CONFIRM
ACCEPTANCE OF THE VESSEL WITHIN 10 (TEN) WORKING DAYS FROM THE DATE OF VESSEL NOMINATION.

6.0. LOAD PORT & TERMS:

iii. LOADING RATE : 10.000 MT PWWD OF 24 CONSECUTIVE HOURS
iv. LOADING TERMS : FHINCH (FRIDAY'S, HOLIDAYS INCLUDED)

v. NOTICE OF READINESS (NOR) : UPON ARRIVAL OF THE VESSEL AT THE OUTER ANCHORAGE OR AT
THE PILOT STATION OF THE LOAD PORT, WHETHER THE VESSEL IS IN FREE PRATIQUE OR NOT AND IN
BERTH OR NOT, MASTER OF THE VESSEL SHALL SERVE ON THE SHIPPER / SELLER THE NOR (MASTER
NOR) BETWEEN 08:00 HRS TO 15:30 HRS ON ALL DAYS INCLUDING SATURDAY AND SUNDAY WITHIN
THE LAYCAN, PROVIDED THE VESSEL IS IN ALL RESPECTS READY TO LOAD THE CARGO

IN CASE NOR IS SERVED BEYOND THE ABOVE STIPULATED TIME, NOR WOULD BE DEEMED TO
HAVE BEEN TENDERED AT 08:00 HRS ON THE NEXT DAY, PROVIDED THE NEXT DAY FALLS
WITHIN THE LAYCAN.

IN CASE NOR IS TENDERED BEYOND 15:30 HRS ON CANCELLING DATE, CHARTERES HAVE THE
OPTION OF EITHER CANCELLING THE CHARTERER WITHIN 2 (TWO) WORKING DAYS OF NOR
TENDERING TIME OR CONTINUE WITH THE CHARTER WITH THE TERM ‘LAYTIME SHALL
COMMENCE FROM THE COMMENCEMENT OF LOADING.

IF THE VESSEL WHETHER IN FREE PRATIQUE OR NOT, IS FOUND BY THE SHIPPER NOT TO BE
READY IN ANY OTHER RESPECT TO LOAD AFTER ITS BERTHING, THE SPECIFIC GROUNDS ON
WHICH THE VESSEL IS FOUND NOT READY TO LOAD, SHALL BE RECORDED IN THE STATEMENT
OF FACTS WHICH IS ALSO TO BE ACCEPTED AND SIGNED BY THE MASTER / AGENT OF THE VESSEL AT
LOAD PORT, IN SUCH AN EVENT, THE LAYTIME SHALL NOT BE DEEMED TO HAVE COMMENCED UNTIL
THE VESSEL IS IN FACT READY TO LOAD IN ALL RESPECTS.

vi. TURN TIME / LAYTIME COMMENCEMENT: LAYTIME (I.E LOADING TIME) SHALL COMMENCE 24
(TWENTY FOUR) HOURS AFTER THE MASTER'S NOR IS SERVED UNLESS USED, IF USED, ACTUAL TIME
USED TO COUNT.

vii. STOWAGE FACTOR : 0.68 - 0.72 CBM/MT (INDICATIVE ONLY)

viii. VESSEL ACCEPTANCE BY SHIPPER (SUPPLIER): THE VESSEL NOMINATIONS MADE BY THE CP HOLDER
/ VESSEL OWNER ARE SUBJECT TO SHIPPER'S APPROVAL AND ACCEPTANCE OF THE VESSELS IN
ACCORDANCE WITH THE LOAD & DISCHARGE PORT REGULATIONS.

AFTER TENDERING NOR & UPON BERTHING, IF THE VESSEL IS FOUND NOT READY IN ALL ASPECTS TO
DISCHARGE CARGO, THE NOTICE OF READINESS (NOR) ISSUED SHALL BE INVALID.AFRESH NOR SHALL
BE ISSUED WHEN THE VESSEL IS READY FOR DISCHARGE OPERATIONS AND THE TIME LOST DUE TO
THIS SHALL NOT BE TO THE ACCOUNT OF CHARTERER.

8.0 VESSEL DETAILS:


(i) VESSEL TYPE : GEARED SUPRAMAX VESSELS SUITABLE FOR SHIPMENT OF THE
PARCEL SIZE AS PER THE RULES / REGULATION / RESTRICTIONS OF BOTH LOAD &
DISCHARGE PORTS.

(ii) VESSEL REQUIREMENT : CP HOLDER / VESSEL OWNER TO ENSURE THAT THE


NOMINATED / PERFORMING VESSEL MEET ALL THE REQUIREMENT / RESTRICTIONS
ETC OF BOTH THE LOAD PORT & DISCHARGE PORT INCLUDING ISM / ISPS CODE
BEFORE CALLING AT THE PORTS WITH ALL VALID CERTIFICATES ON BOARD.

(iii) THE NOMINATED / PERFORMING VESSEL SHOULD BE CLASSED HIGHEST LLOYDS OR


EQUIVALENT, BE IN THOROUGHLY SEA WHORTY CONDITION, COMPLY IN EVERY
RESPECT WITH ALL INTERNATIONAL & LOCAL REGULATIONS AND ALL SHALL BE
MAINTAINED AS SUCH FOR THE DURATION OF THE VOYAGE.

(iv) VESSEL PARTICULARS: FULL DETAILS AS PER PROVIDED IN CLAUS 1 WHILE


NOMINATING, FULL DETAILS OF THE VESSELS INDICATING ASSOCIATED DOCUMENTS
SUCH AS ISSC / ISM / SMC / CERTIFICATE OF CLASS / P & I CLUB CERTIFICATE / DOC
/ LATEST PORT STATE CONTROL INSPECTION REPORT, ETC WITH DATE OF ISSUE AND
DATE OF VALIDITY ALONG WITH THE VESSEL’S POSITION / ITINERARY AND BEST ETA
LOAD PORT THE CP HOLDER / VESSEL OWNER SHALL USE BEST ENDEVOURS TO
ENSURE THAT A VESSEL ACCEPTED BY THE SHIPPER SHALL NOT BE SUBSTITUTED
MORE THAN ONCE.

PERFORMING VESSELS SHALL BE NOMINATED 5 (FIVE) WORKING DAYS PRIOR TO


COMMENCEMENT OF LAYCAN IN CASE, SUBSTITUTION OF VESSELS IS NECESSARY.

(v) IN CASE THE VESSELS ORIGINALLY OFFERED IS TO BE THE PERFORMING VESSELS, CP


HOLDER / VESSEL OWNER SHALL BE REQUIRED TO CONFIRM

(vi) HE SAME WITHIN THE DATE BY WHICH SUBSTITUTION OPTION IS TO BE EXERCISED.


(vii) OWNERS CONFIRM VESSELS POSSESS VALID STATUTORY CERTIFICATES AND
COMPLIES WITH ALL DIRECTIVES OF GOVERMENT OF BANGLADESH / DG (SHIPPING)
GOI REG, SUITABLE AND ACCEPTABILITY OF VESSELS IN RESPECT OF CLASS / AGE /
OTHER TECHNICAL PARAMETERS IN CHINA WATERS / PORTS & THE SAME TO
FOLLOW AT THE DISCHARGE PORTS IN ANCHORAGE CHITTAGONG, BANGLADESH OF
THE EVENTUALITY THAT DG (SHIPPING), GOVERMENT OF BANGLADESH DOES NOT
GRANT LICENCE / PERMISSION FOR THE PERFORMING VESSELS DUE TO VESSEL
RELATED PARAMETERS / VESSEL OWNER, ON RECEIPT OF SUCH INTIMATION FROM
CHARTERERS, CP HOLDER / VESSEL OWNER SHALL IMMEDIATELY ARRANGE FOR A
SUITABLE PERFORMING VESSEL.IT SHALL BE CP HOLDER / VESSEL OWNERS
RESPONSIBILITY TO NOMINATE A PERFORMING VESSEL THAT IS GRANTED LICENCE
/ PERMISSION BY DG (SHIPPING), GOI TO FULFILL THIS STATUTORY REQUIREMENT.

(vii) IN CASE OF DELAY IN ARRIVAL OF THE VESSELS AT THE LOAD PORT BEYOND THE
CANCELLING DATE (AGREED LAYCAN) I.E AFTER THE LAST DAY OF THE LAYCAN, THE
CHARTERERS HAVE THE OPTION OF EITHER CANCELLING THE CHARTER WITHIN 2
(TWO) WORKING DAYS OF NOR TENDERING TIME OR CONTINUE WITH THE
CHARTER
WITH THE TERM “LAYTIME SHALL COMMENCE FROM THE COMMENCENT OF LOADING.

(viii) CHARTER PARTY AGREEMENT TO BE SUBMITTED WITHIN ONE MONTH FROM THE
DATE OF FINALISATION OF THE CP BEFORE SAILING OF THE FISRT VESSEL FROM THE
LOAD PORT WHICHEVER IS EARLIER

(ix) THE VESSEL OWNERS TO ENSURE SUBMISSION OF ALL THE RELEVANT DOCUMENTS
LIKE CP,B/L,SOF & LAYTIME CALCULATIONS BOTH ENDS.CLEAR IN ALL RESPECTS,TO
CHARTERER WITHIN 15 (FIFTEEN) DAYS FROM THE DATE OF DISCHARGE
COMPLETION TO ENABLE CHARTERER RELEASE THE BALANCE 10% FREIGHT
TOGETHER WITH DEMURRAGE (IF ANY) OR LESS DESPATCH (IF ANY) OR LESS
DESPATCH (IF ANY) WITHIN THE DUE DATE I.E 120 DAYS OF COMPLETION OF
DISCHARGE AT DISCHARGE PORT.OTHERWISE,THE DUE DATE OF 120 DAYS WILL BE
APPLICABLE FROM THA DATE OF SUBMISSION OF ALL THE RELEVANT DOCUMENTS.

(x) THE VESSEL OWNERS TO ENSURE SUBMISSION OF ALL THE RELEVANT DOCUMENTS
LIKE CP, B/L, SOF & LAYTIME CALCULATIONS BOTH ENDS.CLEAR IN ALL RESPECTS, TO
CHARTERER WITHIN 15 (FIFTEEN) DAYS FROM THE DATE OF DISCHARGE
COMPLETION TO ENABLE CHARTERER RELEASE THE BALANCE 10% FREIGHT
TOGETHER WITH DEMURRAGE (IF ANY) OR LESS DESPATCH (IF ANY) OR LESS
DESPATCH (IF ANY) WITHIN THE DUE DATE I.E 120 DAYS OF COMPLETION OF
DISCHARGE AT DISCHARGE PORT.OTHERWISE,THE DUE DATE OF 120 DAYS WILL
