In order to meet the requirements of Amrita Medical Center LLC (AMC) Human Resources
Department, all Business Units and Departments and Employees must adopt the specific operating
policy outlined in this document

Company Standards and Ethical Conduct

This policy intends to describe the statement of Amrita Medical Center LLC (AMC) commitment to the
standards and rules of Ethical Business. All Employees are expected to review this Code, and in so
doing, agree to comply with its principles.

This Code should be considered as the basis on which each employee conducts business on behalf of
AMC, and is the foundation of AMC’s ethical business practices. AMC aims to ensure that no
Employee is unfairly treated or disadvantaged by the Company or its Employees and that each
individual's rights are protected and preserved at all times. This policy applies to all individuals
irrespective of age, race, gender, religion, beliefs and marital status. Both the business operation and
reputation of AMC and Establishments are built upon the principles of fair dealing and ethical conduct
of our employees.

Everyone is mandated to observe the highest standards of conduct and personal integrity. Employees
owe a duty to AMC, its customers and principals to act in a way that will merit the continued trust and
confidence of the general public

Everyone at AMC is expected to conduct themselves in their jobs while on duty in accordance with all
relevant UAE Labor Laws and all rules and regulations in force and to refrain from illegal, dishonest or
unethical conduct. Compliance with the policy of business ethics and conduct is a responsibility of
every employee. Disregarding or failing to comply with this standard of business ethics and conduct
could lead to disciplinary/legal action including possible termination of employment.

Ethical Values

All employees have the freedom to make complaints through the Company's operating systems
regarding any unethical practices or personal grievances without fear of any retribution. Unethical
practices are considered as a serious matter and may constitute grounds for stringent actions.

All Employees must:

1. Comply with the Laws of Land.


2. Act with honesty and integrity.
3. Endeavour not to place themselves in situations that result in divided loyalties.
4. Use Company’s assets (including funds, equipment and information) responsibly and in the best
interests of the Company.
5. Be responsible and accountable for their actions.

Respect and Dignity

1. All AMC Employees and those under our care will be treated with respect and dignity at all times
by the Company.
2. The Company will support the wellbeing of each of its employees and will not discriminate
against any individual.
3. All AMC employees shall treat colleagues with respect and dignity in the workplace.

Records

All forms should be archived with the Employee’s personnel file for the Human Resources
Department.

Conflict of Interests Definition

It is any situation in which an employee in position or been with the company has competing
professional or personal interest that he\she wants to protect and gain. Conflict of Interest can create
an appearance of impropriety or illegality, which undermines or compromises the protection of the
company's best interest. Situations of conflict of interests may occur (include but not limited to):

 When there is an existing or potential interest, financial or nonfinancial, that may impair or appear
to impair the individual's independent judgment when performing his responsibilities.
 When the employee receives or may receive a material, financial or other benefit from knowledge of
confidential or proprietary company information.

All employees under AMC must

i. Avoid conflicts of interest, or appearances of conflict, between their own personal or


professional interests and the company;
ii. Carry out their responsibilities to the company in a trustworthy manner; and
iii. Exercise due diligence to avoid situations that could present an indication of a conflict of
interest.
iv. Outside Employment: outside or part time: Employment or the implementation of all or part of
the business with other companies or individuals is restricted for all AMC employees without
written consent from Al Mazroui Company and in compliant with the methods Set forth in the
laws of UAE. Outside employment or doing part job is a pretext of direct dismissal with a just
compensation to the company, if any harm is done to the company.

Non-disclosure of Confidential Information

Any confidential information disclosed of any staff, during and after post occupancy period, such as:
Business information including details about Patients/customers/agents/suppliers, dealers lists,
pricing data, sources of supply, financial information, marketing, purchase and sell information, future
projects, deals in progress, operations, technology, methods, specifications, developments, records,
forms, prices and offers, financial and accounting information, employees’ remuneration information
and\or information related to conditions of employment, business development and marketing
information, the technical information, and the company's internal communications, computer
programs and its files, procedures, references and any other information reached to the employee
under circumstances that indicate it as confidential information.

Non-disclosure of such information or any other information considered being confidential even after
leaving the job

The condition of non-disclosure of confidential information after Termination of employment,


resignation or discharge, It is binding that the employee to urgently and immediately return all
documents relating to the company, including but not limited to: drawings, blueprints, reports,
manual, correspondence, customer lists, computer programs, and all other material and all copies
thereof related in any way to the company's business or in any way obtained during the course of
employment. No copies of the foregoing must be obtained or retained.

Training Courses and Skills Development


The company sends its employees to training courses to develop the skills of their employees, within
the UAE and abroad on a regular basis. Hence every employee must work for the company for at least
6 months after each training session. In case if he/she resigns before the lapse of 6 months of the last
training course he attended, he/she must pay the cost of the training on a pro-rata basis.

Employee Confidentiality and


Non-Competition Agreement

IT IS AGREED AS FOLLOWS

I, (EMPLOYEE NAME) the undersigned in consideration of my employment or continued employment


with Amrita Medical Center LLC as (EMPLOYEE POSITION) here by agree to the following:
Non-Disclosure of Confidential Information at all times during the term of my employment and they’re
after and not using it for my own benefit or interest or for the benefit of a competing company,
person or entity.

I will hold in strictest confidence all information and will not disclose any of the company's
confidential information or any of the Company's Proprietary Information (as defined below), unless
obtained authorization or a written approval from the company Managing Partner or Chairman.
Violation of this will give the company the rights to take legal action against the staff.
In addition to the above-mentioned information, I will never share specifications of

1. Medical Services, Products, goods and hired or purchased or licensed services, or the
received by Employer's client
2. Third Party Information Amrita Medical Center LLC, Abu Dhabi receives confidential or
proprietary information of other parties.

During the term of the employment and thereafter, the employee will be able to have access to
Third Party Information and will fully preserve the confidentiality of such information and will not
disclose to anyone unless authorized by one of the executive officers or the authorized officer of
AMC in writing

Pledge Of Commitment

The employee, (EMPLOYEE NAME) pledge that, implementation of the provisions of this agreement
and performance of all my duties as a company employee do not and will not breach any agreement
to conserve confidential information obtained by me based on company’s confidence or trust in me.
I will not enter into or agree on any agreement, written, oral, or practical including inconsistency with
this Agreement.

Binding Articles

Due to the unique nature of the business of Amrita Medical Center LLC, Abu Dhabi and the need of
the company to maintain its competitive advantage; I, (EMPLOYEE NAME) agree and acknowledge
that, during the period of my employment in the Company and after termination of my employment
for 24 Months - Only after obtaining the written consent from the Company:

Shall not, directly or indirectly, utilize or use Proprietary Information, Confidential Information, or
Third Party Information, or services or facilities of the Company, to carry out personal business similar
competitive to that of the Company or affiliating companies and establishments, within Abu Dhabi,
and the United Arab Emirates territory.

I shall not engage as an employee, consultant, partner, or owner in any activity with another entity,
which work to bring harm or target our patients or employees working in the same line of business of
the Company, within the territory of the United Arab Emirates.

I shall not engage in any business activity other than for the company or shall not solicit or arrange to
have any other person or entity engaged by the company as an employee, customer, supplier, or
consultant or advisor to the company to terminate such party's relationship with the company within
the territory of the United Arab Emirates; Abu Dhabi.

Penal condition

In the event of breaching any covenant or obligation set forth herein, I (EMPLOYEE NAME) obliged to
pay a personal compensation to the company the amount of (3 MONTHS ALL INCLUSIVE SALARY)
Dirhams (3 months full salary as lump sum amount) and this compensation shall not be considered the
only one since the Company entitled to any other obtainable compensation by law or justice.

Company's Documents Returning

When I (EMPLOYEE NAME) leave off the work at the Company, | shall:

i. Deliver the Company any documents together with all copies thereof both in hard and soft
files or any other
ii. Deliver any co-materials containing or disclosing any Proprietary, Confidential, or Third Party
Information.

That, in the event | do not comply with this provision, the Company will have the right to hold my
end-of-service benefits until | satisfy the Company with the: compliance of the same and the company
can also take a legal action against me.

Remedies

I acknowledge that the Confidential Information, Proprietary Information, and Third Party Information
are of great value to the Company, and that a breach of my obligations may escalate to severe
damage to dues the Company. Accordingly, I (EMPLOYEE NAME) undertake to indemnify - the
Company in respect of all damages, costs, claims, demands, and liabilities howsoever arising out of
any breach by me of my obligations hereunder and shall pay a penalty that will be decided by UAE law
for such breach.

General Provisions

This Agreement may be amended only by a written document signed by or on behalf of each of the
Parties.

1. Failure of implementation or delay of implementation


2. A right or remedy provided by this Agreement or by law does not constitute a waiver of the
right or
3. Remedy or a waiver of the other rights or remedies.
4. The rights and remedies contained in this Agreement are accumulative and not to be
considered exclusive rights or remedies at law.

Governing Law and Jurisdiction

The construction and validity of this Agreement shall be governed in accordance with the Laws of
Dubai, Us United Arab Emirates. In the event of any dispute Alt occurring between the Parties with
respect to this an Agreement, such dispute shall be settled amicably between the Parties.

In the event of failure to do so within a period of (10) ten days, the parties agree to referring the
dispute to the courts of the United Arab Emirates.
