Hantile Commitment of Quantity Assurance

Hanergy solemnly promises to customers: as a manufacture, Hanergy will provide the best after-

sales service for Hantile products and auxiliary equipment/accessories, including:

1) Warranty services for major equipment within its warranty period. See Article 1 for details;

2) Performance guarantee service of Hantile components within the specified time limit. See

Article 2 for details;

3) Consulting services: Hanergy will provide corresponding consulting services through various

remote interaction methods for the general problems related to technology;

4) Technical support: when encountering problems in using/maintaining the equipment,

customers may make a service request to Hanergy. Hanergy’s service personnel will provide

technical support services through a variety of remote interaction methods to help customers

locate faults and propose solutions, thereby guiding customers in troubleshooting equipment.

5) On-site service: if customer's product fails during the warranty period, Hanergy’s service

personnel will provide on-site service; for failures out of warranty period, the Company offers

paid after-sales service in relation to on-site troubleshooting, for which the service fee is

executed according to the effective price policy document issued by Hanergy in the same year;

6) The services to Hantile and its auxiliary equipment/accessories out of the warranty period are
detailed in Article 4.

1 Warranty of Major Equipment

The warranty of major equipment is limited to manufacturer's warranty coverage. Hanergy warrants

the following major equipment:

1.1 Hantile components

Hantile's warranty period is ten years from the date of actual delivery to the customer (the date

customer signs the delivery note).

During the warranty period, if any design, material, technology or manufacturing defects with

material impacts on its function (excluding changes in appearance of product materials due to normal

wear and tear), after Hanergy's written confirmation, Hanergy may, at its discretion, repair or replace the

components in question.

1.2 Inverter

Warranty period of inverter is five years from the date of actual delivery to the customer (the date

customer signs the delivery note).

During the warranty period, Hanergy will take charge of gratis repair for any failure and damage

caused by the inverter equipment itself; if the inverter repeats the same problem three times, Hanergy is

responsible for replacing a new inverter for customer without charge.

1.3 Auxiliary equipment/accessories

In addition to the above products and equipment, in relation to other auxiliary

equipment/accessories supplied by but not manufactured by Hanergy, Hanergy is responsible for

contacting the corresponding suppliers for warranty, and the warranty period and liabilities are subject

to the warranty contracts provided by the supplier. If customers purchase and replace equipment

/accessories by themselves according to product model provided by Hanergy, Hanergy shall not provide

warranty for the replaced equipment/accessories.

2 Performance Guarantee of Hantile

2.1 Limited guarantee to average output power under standard test condition

2.1.1 The output power of the component should be measured under standard test conditions, i.e.,

light intensity 1,000 W/m2, temperature 25℃ and air quality AM 1.5;

2.1.2 Within ten (10) years from the date of warranty commencement, the average output power

of the component should not be less than 90% of the nominal power; within twenty-five (25) years from

the date of warranty commencement, the average output of the component should not be less than 85%

of its nominal power.

2.2 Limited compensation within twenty-five years

In case that any component fails to meet the guaranteed output power during power warranty period,

and the failure in meeting the guaranteed average output power is confirmed according to Hanergy’s own

judgment or by an independent third-party testing institution determined by Hanergy and the customer

in advance due to quality defects of the component, Hanergy may, at its discretion, compensate in either

of the following ways:

1) Provide additional tiles to customers to compensate for power loss;

2) Replace or repair tiles or parts that have quality defects.

During the warranty period, either compensation selected by Hanergy unilaterally shall be the sole

and exclusive indemnity under the 'limited guarantee to average output power under standard test

condition' for the tile.

3 Exemption from Liability during Warranty Period

During warranty period, Hanergy shall not be responsible for product/equipment defects or failures

caused by the following reasons (including but not limited to), regardless of whether such defect or failure

is caused by product/equipment quality:

3.1 Products/equipment are not stored or kept as required;

3.2 Inappropriate replacement materials and accessories are used;

3.3 Moved from the initial mounting location or re-shipped from the designated place of receipt;

3.4 Do not follow installation specifications and change installation operation method without

permission;

3.5 Contingency or accident caused by external influences and external pressures;

3.6 De-colorization, wear and consumption during product use;

3.7 Unauthorized maintenance, operation or modification, or incorrect handling and operation;

3.8 Abuse, intentionally destroy, etc.;

3.9 Damage caused by mounting or repair by a non-Hanergy authorized vendor or non-Hanergy

designated technical team (including customers install or repair by themselves);

3.10 Failure or damage caused by unauthorized third-party products, services or actions;

3.11 Failure or damage caused by any third-party products (including products that Hanergy may

provide or integrate into Hanergy products/equipment according to customer requirements);

3.12 The model number, nameplate or component’s serial number of the product are altered, erased

or unrecognizable;

3.13 The building itself in which the product/equipment is mounted is defective;

3.14 Harsh environmental impacts, including fouling or damage from smoke, gases, salt, chemicals;

3.15 Force majeure factors, including but not limited to earthquakes, typhoons, hurricanes, volcanic

eruptions, tsunamis, floods, lightning, snowstorms, wars or other situations arising from unforeseen

factors beyond the reasonable control of Hanergy;

3.16 Products/equipment purchased from non-regular channels of Hanergy (fleeing products);

3.17 Other operations or actions that violate Hanergy's reasonable requirements.

4 Service out of Warranty Period

When the quality warranty of the product/equipment expires, Hanergy will provide paid services.

Expenses incurred by the services are subject to corresponding quotation details provided by Hanergy's

service personnel. Upon confirmation, customer can complete payment by cash, remittance, money

order, etc. The specific collection method is subject to the requirements of the Company and Financial

Department where the customer is located.

In addition to the above services, Hanergy is available for one-stop solution services such as

overall design, mounting and grid-connection, operation maintenance and inspection, and product

support for customers to choose.

5 Warranty Liability Limitation

5.1 If Hanergy provide maintenance or replacement service, etc. for the product/equipment, the

warranty period for the corresponding product/equipment will not prolong or extend. The warranty

period for the product/equipment remains the residual of the original.

5.2 The product/equipment warranty set forth in this Commitment has expressly stated the coverage

and excluded any and all embedded, implied or unspecified warranties, including but not limited to, any

warranty in relation to marketability or applicability for use and application for special purposes and all

other liabilities or obligations inflict Hanergy to assume. Besides, any other warranty, liability or

obligation involving Hanergy must be expressly agreed, signed or approved by Hanergy in writing. Any

warranty, liability or obligation involving Hanergy that are expressly agreed, signed or approved by

Hanergy in writing is considered invalid.

5.3 In no event shall Hanergy be liable for any indirect, derivative, incidental or consequential,

privileged or special damages or losses, including but not limited to production, income, loss of profits,

loss of goodwill, business reputation loss or delay damages, regardless of whether Hanergy has been

informed of the possibility of such loss, and whether the claim for damage is based on contract, warranty,

negligence tort or strict liability. The ceiling of compensation liability assumed by Hanergy shall not

exceed the amount paid by customer for the system. This limitation of liability also applies to vendors

and service providers. This is the maximum compensation limit shared by Hanergy and product vendors

and service providers.

5.4 During warranty period, the Company has the ownership over the defective product/equipment

after replacement.

5.5 Additional services and non-originally matched complimentary promised by Branches or

vendors should be warranted by corresponding vendors.

5.6 Service policy herein applies to products sold in overseas regions of the world. If the customer

uses outside of the designated region, the warranty policy in the designated area is not available.

5.7 Since some countries, territories, states, or jurisdictions do not allow the exclusion or limitation

to incidental or consequential damage compensation, the above limitation or exclusion may not apply to

you.

5.8 If the terms herein conflict with the laws of your country or locality, the laws of Mainland China

shall prevail. Provisions herein shall prevail within the prescription of the law of Mainland China.

5.9 The above limitations do not apply to personal injury (including death), damage to actual

property or damage to tangible personal property that is legally liable.

5.10 You may have other rights under the written agreement with Hanergy. Nothing herein shall

exclude or limit the rights of consumers or alleviate or exempt our liability to consumers.

6 Warranty Fulfillment

6.1 Customer’s responsibility for warranty service

In order to facilitate the timely elimination of faults and reduce customer's loss, customer should

contact Hanergy in time according to the contact information released in this Commitment after the

product/equipment fails. During detection and maintenance, the customer should provide convenience

for Hanergy's after-sales service personnel and present relevant information and written supporting

documents in accordance with Hanergy's requirements, so that Hanergy can judge whether the

products/equipment are within the scope of the promised after-sales service hereunder. Such information

and documents are the basis for recognizing the warranty period and warranty liability, and please keep

it properly.

7 Using of Personal Information

We may keep, use and process the warranty issues and contact information you provide, including

your name, phone number, address and e-mail address, for the purpose of providing prescribed services

only. We may contact you to conduct a satisfaction survey or inform you about product recalls or security

issues. Therefore, we may send your information to our related organizations, including entities that carry

out certain businesses on our behalf. Also we may disclose relevant information to relevant legal

institution to the extent it requires.

8 Identification of Quality Disputes

Any dispute concerning after-sales warranty shall be settled through friendly mutual negotiation

first. When there is a dispute over fact-finding (including the identification of technical issues, etc.), both

parties shall choose a third-party testing institution of jointly recognized to make a ruling. The conclusion

of the ruling is binding, and the testing fee should be borne by the responsible party identified by the

ruling conclusion.

9 Applicable Version

The Commitment applies to products/equipment delivered to customers after July 1, 2018 and shall

remain in effect until Hanergy releases any updated version.

The final interpretation right of the Commitment is reserved by the principal company that actually

signs the sales contract.
