h Located on 140 acres in Charlottetown, Canada the University of Prince Edward Island (UPEI)
has arich history with roots in two founding institutions: Prince of Wales College (est. 1834) and
St. Dunstan's lJniversity (est. 1855). UPEI honors this proud legacy through a growing
reputation for research innovation and academic excellence. UPEI's four faculties (arts,
education, science, and veterinary medicine) and two schools (business and nursing) offer a wide
range of programs and degrees to approximately 4,400 undergraduate, graduate and doctoral
students. Home to multiple Canada Research Chairs, a Canada Excellence Research Chair in
Aquatic Epidemiology, endowed or sponsored research chairs, and 3M Teaching Award-
winners, UPEI offers its students access to over 1,100 exceptional faculty and research staff.
UPEI students come from all walks of life and from local, regional. national and international
locations. In2016, international students from close to 70 countries comprise almost 19 pbr cent

NOW IT IS HEREBYAGREED as follows:
2 SCOPE OF COOPERATION
The scope of cooperation encompasses the overall mandate of the partners, subject to
mutual consent. The partnership activities should be desirable and feasible to the partners
Partnership activities shall be carried out, subject to approval of the Vice Chancellor of
Uttaranchal University and the Vice-Chancellor of Kenyatta University, through the
following types of partnerships:

4 IMPTEMENTATION
Specific details on the implementation of each area of collaboration shall be detailed in a
Memorandum of Agreement done in writing. This will include the specific activities to be
conducted; responsibilities of the partners; participation, time and resources required;
implementation procedures; and other details as necessary. The parties agree that they will
be free to participate in such projects acting either individually, or collectively.
5 SETTLEMENT OF DISPUTES
The parties hereby undertake to use their best efforts to mutually resolve any dispute[s]
that may arise as between them from the interpretation and enforcement of this
understanding.
6 GOVERNING LAW
This Agreement shall be governed by and construed in all aspects in accordance with
International Law, Common Law and Equity.
7 FORCE MAJEURE
No failure or delay by the Parties hereto in the performance of any obligation herein
contained shall be deemed a breach of this agreement, nor shall the same create any
liabiliry as a result of any force or cause beyond the control of the Parties including but not
limited to, acts or omissions of any governmen! compliance with laws, regulations, orders
or requests of any governments, fire, storm, flood or earthquake, war, rebellion, revolution,
riot, strikes or lockouts, provided that lack of finances shall not be considered a force
maieure nor shall any force majeure suspend any obligation for the payment 6f money due
hereunder. Should an event of force majeure occur which prevents the performance of any
obligation of either Party, the performance of any such obligation, directly, indirectly or
consequentially affected by the event of force majeure, will be postponed for such time as
the performance necessitates. The Parties hereto shall make all reasonable efforts to
minimize, reduce, and mitigate the effect of any delay occasioned by an event of force
majeure.

B RENEWAL, TERMINATION AND AMENDMENT
8.1 This agreement shall remain in force for a period of five [5) years from the date of the last
signature, with the understanding that either party giving notice to the other party in any
year may terminate it. The agreement may be extended by mutual consent of the two
parties.
8,2 This agreement may be amended by the exchange of letters between the two institutions.
Such amendments, once approved by both institutions, will become part of this
Memorandum of Understanding,

Bearing the status of State-financed educational institution of higher professional education Ufa
State Petroleum Technological University (USPTU) is ranked among the leading technical
universities of the Russian Federation. Since its foundation in 7943, the University has acquired
an excellent reputation for the quality of teaching and research as well as student care services.
USPTU has modern infrastructure comprising study and work training premises with the total
area of more than 225 thousand square meters. USPTU entered the2l't century as a strong, well-
L equipped and adapted to modern conditions university. USP TU provides training in all main
fields of petroleum engineering: from exploration of oil and gas fields, drilling of oil and gas
wells, development and operation of oil and gas fields, transportation and storage of oil, gas, and
oil products to oil and gas refining, management and realization of end products. USPTU
graduates can perform all the stages of building construction - from architectural design to its
execution and usage of a building. USPTU offers more than 100 Bachelor's and Master's degree
programs, and 29 postgraduate programs and 5 Doctorate programs. USPTU students represent
56 regions of the Russian Federation and 47 foreign countries. Today USPTU is 18 000 students
and more than 1 200 lecturers, 8 up-to-date equipped academic buildings, l0 comfortable student
hostels. USPTU is a member of the International Association of Universities; students,
professors and scientists regularly undertake internships in foreign training and scientific centres.
Institute of Additional Professional Education of USPTU performs training in 150 upgrade skills
programs and 52 professional retraining programs for engineers of the fuel and energy and
construction complexes. Students of USPTU and other universities are trained here as well.
Many years' experience, up-to-date infrastructure, and highly qualified staff form the basis of the
university's dynamic development. Today Ufa State Petroleum Technological University is a

Uttaranchal University ("hereinafter refer as UU") and SuI Ross State University
("hereinafter refer as SRSU") have agreed to establish a close working relationship base on
mutual-benefit principal, and for purposes more particularly set forth herein, and hereby
recorded their intentions.
1,. Both parties hereby agree to sign and carry out this Memorandum of Understanding
with the following contents:
1.1, The parties will work together to develop and foster a collaborative relationship
through different areas of potential mutual interest.
L.2 The parties may consider areas of potential mutual interest, including but not
restricted to the following:
L.2.4 General academic cooperation and provision of any other services as may
require from time to time to be identified by the both parties and in which
either party has expertise
2. COLLABORATIVEARRANGEMENT
To facilitate the collaboration between the parties, the parties anticipate such
t arrangements, including but not limited to the following:
2.1, Discussions will be held to update both parties on current project, development plans,
opportunities for collaborative activities and areas of common interest. Due to
potential travel constraints of both parties, meetings may be conducted via phone,
video conferencing or other suitable media as agreed between the parties.
2.2 Both parties will engage in dialogue with a view to creating mutual pathways and
transfer of credit arrangements for programs of mutual interest.
2.3 The details of any specific joint activities arising as a result of further discussions
pursuant to this Memorandum of Understanding will be set forth in a definitive
agreement, the terms of which are to be agreed upon by the parties and to be signed
at the relevant time by the parties.

3. FINANCIAL CONSIDERATIONS
Both parties will discuss to reach an agreement on the funding and financial
reimbursement which may result from the co-operation contemplated in the execution
of the collaborative arrangements which are mutually beneficial to both parties.
4. COSTS
Each party shall be responsible forits own costs incurred in pursuing to and under this
Memorandum of Understanding, including but not limited to such costs and expenses
incurred in developing and negotiating a formal definitive agreement.
5. NON-BINDING
The parties agree that this Memorandum of Understanding shall not serve as a legally
L binding document. It is merely to express the intent between the parties hereto.
This Memorandum of Understanding shall commence on the date of signing and shall
operate for FIVE (5) years unless either party has given the other not less than ONE
(1) month notice in writing of its intention to terminate this Memorandum of
Understanding or until a formal definitive agreement supersedes this Memorandum of
Understanding, whichever is earlier.Any announcements proposed to be made by any
party in respect to the arrangement described herein, this Memorandum of
Understanding or the negotiations pertaining thereto, shall only be made after the prior
written consultation with the other party.
