DEED OF DONATION

KNOW ALL BY MEN BY THESE PRESENTS:

This Deed of Donation, entered into by and between:

ROSE SARMIENTO, Filipino, of legal age, single, with residential address at 87

Manggahan, Pasig City, hereinafter referred to as the “DONOR”;

-and-

PAULEEN BAUTISTA, Filipino, of legal age, single, with residential address at 28

Carmella St., Upper Bicutan, Taguig City, hereinafter referred to as the “DONEE”.

WITNESSETH:

That the DONOR is a stockholder at SM-YG-JYP DEVELOPMENT, INC. with One

Hundred (100) common shares of stock with par value of Ten Thousand Pesos (Php
10,000) per share, fully paid as evidenced by Stock Certificate No. 98;

NOW THEREFORE, for and in consideration of the love and affection which the
DONOR has for the DONEE, who has dedicated her life as the former’s personal
caregiver and companion, the said DONOR by these presents does hereby TRANSFER
AND CONVEY by way of DONATION, unto the said DONEE, the above-mentioned
shares free from all kinds of liens and encumbrances whatsoever.

That the DONOR affirms that this donation is not made with intent to deceive his
creditors, and that he has reserved for himself sufficient funds and property;

That the DONEE does hereby accepts the foregoing donation of the subject shares of
stock for which he expresses her sincerest appreciation and gratitude for the kindness
and liberality shown by the DONOR.
