 RULES & REGULATIONS

1. Team should prepare a PowerPoint presentation, not PDF. Excel

file containing the workings should be embedded as an object in the
presentation itself
2. The presentation should NOT contain more than 10 slides (including
the Introduction and Thank You slide). Participants can make
changes in the excel working, if required

3. The presentation will take online during Passion’22.

4. Time allotted for each presentation is 10 minutes followed by a 5

minutes Q&A session by the judges

5. Submission details of the case solution:

Case Statement
Midcap IT company Mindtree beat estimates when its second-quarter net
climbed 27.5 percent from a year earlier and 7.9 percent from the previous
quarter. However, this may be the last time that Mindtree reports earnings as
a standalone entity. The merger with L&T Infotech, which was announced in
May 2022, is set to be completed by the end of 2022.

Larsen acquired control of Mindtree in 2019. The conglomerate holds about a

61 per cent stake in the company, which has a market value of $8.3 billion,
and has around 74 per cent of L&T Infotech, which has a market capitalization
of $13.6 billion, data compiled by Bloomberg show.

The proposed merger comes as software companies are seeing surging

demand from businesses embracing the digitization that accelerated during
Covid-19. Large IT outsourcing firms are also expanding into areas such as
cybersecurity, automation and machine-learning support, moving beyond
lower-margin traditional back-room services.

Mindtree’s hiring was a little lower, keeping in mind the upcoming merger,
Attrition is still elevated at 24.1 percent but has started to moderate. The
merger seemed a bit forced, as the tiff between LTI and MT made headlines.
However, the resulting entity from the merger, makes up a $22 billion unit, with
several challenges ahead for MTLTI.
