Advertising Use Agreement

This Advertising Use Agreement (the “Agreement”) is entered into as of the signature date below (the “Effective Date”), by Multi Media,
LLC (the “Company”), and the undersigned independent broadcaster (“Independent Broadcaster”). In exchange for good and valuable
consideration described herein, the sufficiency of which is hereby acknowledged, the parties agree as follows:

1. Independent Broadcaster has created (or had created by a third party) recordings and/or still photographs (collectively,
the “Work”) that include either or both of Independent Broadcaster’s voice and likeness (collectively “Independent Broadcaster’s
Likeness”), and Independent Broadcaster has provided one or more copies of the Work to the Company.
2. Independent Broadcaster hereby grants to Company a non-exclusive, sub-licensable, irrevocable, fully-paid license to
use the Work, Independent Broadcaster’s contribution to the Work, and/or any recorded material that includes Independent Broadcaster
without restriction, in any media throughout the universe (including, without limitation, through the Internet), whether now known or
hereafter conceived, in connection with advertising, marketing, or publicity for, and ancillary products associated with, any product or
service offered by the Company or its assignees or licensees, in perpetuity, and without incurring liability to Independent Broadcaster.
Independent Broadcaster agrees and understands that such recording and still photographs of Independent Broadcaster may be edited and
arranged by the Company, or by the Company’s assignees or licensees. Independent Broadcaster further agrees to allow the Company,
including through any assignees or licensees, to use Independent Broadcaster’s Likeness, solely as recorded in the Work, and approved
biographical material. The Company shall also have the right to use, in connection with the Work, any distortion, alteration, retouching,
optical illusion, and special effects. Independent Broadcaster understands and agrees that the Work may/will, among other uses, be
associated or displayed with explicit adult material which material is only appropriate for viewing by consenting adults.
3. The foregoing license shall only become effective upon the Company’s payment to Independent Broadcaster of the
amount listed below. The Company may elect to transmit such payment to Independent Broadcaster’s account on Chaturbate.com in
tokens (the virtual currency redeemable for cash via Independent Broadcaster’s configured payment settings on Chaturbate.com). Nothing
herein shall obligate the Company to use the Works or any portion thereof.
4. In the event that Independent Broadcaster used the services of any third parties in creating the Work, Independent
Broadcaster hereby represents and warrants to the Company and the Company’s assignees and licensees that Independent Broadcaster is
able to grant all rights and licenses provided herein, without restriction from such third parties. Independent Broadcaster agrees to
indemnify, defend, and hold the Company, its assignees, licensees, agents, attorneys, owners, officers, and employees harmless from and
against any third-third party claim arising from use of the Work.
5. Independent Broadcaster specifically, but without limitation, waives and agrees that Independent Broadcaster may not
bring any claims against the Company, or its assignees or licensees, predicated upon: (a) an infringement of Independent Broadcaster’s
alleged rights of publicity; (b) any physical injuries sustained during filming or as a result of filming, or the Work; (c) mental anguish;
(d) false light; (e) invasion of privacy; (f) misappropriation; (g) infliction of emotional distress, whether allegedly intentional or negligent;
(h) allegedly deceptive business or trade practices; (i) infringement on any alleged intellectual property rights; (j) defamation; (k) any
alleged false or misleading statements or suggestions about Independent Broadcaster in relation to any advertised or promoted product or
service or such product or service in relation to Independent Broadcaster; (l) fraud, including any alleged statements about the use of the
Work or where the Work will appear, if at all; (m) breach of alleged moral rights; or (n) tortious or wrongful interference with any
contracts, business or business relationships of Independent Broadcaster. Independent Broadcaster acknowledges that all waivers provided
herein shall inure to the benefit of all assignees and licensees of the Company.
6. Independent Broadcaster acknowledges and agrees that this is the entire agreement relating to the Work between
Independent Broadcaster and the Company, including the Company’s agents, and that Independent Broadcaster is not relying upon any
statements, promises, or other assertions not contained in this Agreement. The undersigned understands that this is an important legal
document relating to the undersigned’s appearance in the Work, its distribution, and Independent Broadcaster’s appearing in
advertisements. By signing this document, the undersigned is waiving all legal rights the undersigned may have against the Company, the
Company’s employees, assignees, licensees and all others associated with the production or distribution of the Work, or for the use of
Independent Broadcaster’s Likenss for advertising purposes.

The undersigned hereby certifies that the undersigned is over the age of 18 and has read and understands this
agreement.
