DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This deed of Absolute Sale is made, entered into and executed by and
between:

PAULINO REYSTITUTO TAKADASHI, single, of legal age, Filipino and a

resident of Brgy. Balabago, Jaro, Iloilo City, Philippines, hereinafter called
the SELLER;

and

DELIALYN EVERGREEN, Single, of legal age, Filipino and a resident of Brgy.

Panit-an, Capiz, Philippines, hereinafter called the BUYER:

WITNESSETH: THAT

WHEREAS, the SELLER is the absolute, registered and legal owner of a

parcel of land situated in the Brgy. Balabago, Jaro, Iloilo City, Province of
Iloilo, Island of Panay, covered by Transfer Certificate of Title No. 123456,
more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE

No. 123456

A PARCEL OF LAND (Lot 75-A of Jaro Cadastre) point of beginning

containing an area of THIRTY THOUSAND (30,000) SQUARE METERS, more
or less all corners referred to are indicated on plan.

NOW, THEREFORE, for and in consideration of the amount of PESOS:

NINETY MILLION PESOS ONLY ( P90,000,000.00), Philippine currency,
receipt of which is hereby acknowledged by the SELLER from the BUYER,
the SELLER, hereby sells, transfers and conveys by way absolute sale unto
the BUYER, his successors and assigns the above-described property free
from all liens and encumbrances whatsoever.

Documentary stamps, notarial fees, registration fees, transfer tax, value

added tax, capital gains tax and other related expenses shall be for the
account of the BUYER.
IN WITNESS WHEREOF, the parties have hereunto set their signatures this

II. A Art. 1235. When the obligee accepts the performance, knowing its
incompleteness or irregularity, and without expressing any protest or
objection, the obligation is deemed fully complied with. (n)

A. Yes, Art. 1586. In the absence of express or implied agreement of the

parties, acceptance of the goods by the buyer shall not discharge the
seller from liability in damages or other legal remedy for breach of
any promise or warranty in the contract of sale. Therefore, Chiz is
oblige to replace the pork.
B. If I were the lawyer of Heart, I would advise her to return the pork
and ask for replacement plus the expenses incurred during the return
of pork.

C. Yes, Art. 1458. By the contract of sale one of the contracting parties
obligates himself to transfer the ownership and to deliver a
determinate thing, and the other to pay a price certain in money or
its equivalent.Therefore There is a contract of sale between Chiz and
heart.

SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

I, Liezl G. Billones, of legal age, and a resident of 2 nd Street Lawaan Village,
Balantang, Jaro, Iloilo City do hereby name, constitute and appoint Jezzel
Brendia, of legal age Resident of Happy Homes, Zarraga, Iloilo to be my true
and lawful Atty-in- fact for me and in my name, place and stead, do and
perform the following special powers to wit: sell 500 1-kilo packs of frozen
tender juicy hotdogs until June 2023 for the amount of P500.00/ pack.

HEREBY GIVING AND GRANTING unto my said attorney-in-fact full power

and attorney to do and perform any every act and thing whatsoever
requisite, necessary or proper to be done in and about the premise as fully
to all intents and purpose as I might or could do if personally present and
acting in person; and

HEREBY RATIFYING AND CONFIRMING all that my said attorney-in-fact

shall lawfully do and cause to be done under by virtue on these presents.
