CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and executed this 1 st day of June 2021 by and
between:

        GEORGE A. JUANCO, married to LUZVIMINDA R. JUANCO, both legal


age, Filipino, and with residence and postal address at  Block 2 Lot 10 Phase 1
Firenze Subdivision, Buhay na Tubig, Imus, Cavite, hereinafter referred to as
the "VENDOR";
 
-AND-
 
        LOUELLA MARIE B. CALANZA, of legal age, single, Filipino, and with residence
and postal address at  Khai Compound, Barangay 201 Zone 20, Merville, Pasay City,
duly represented by her Attorney- in fact, MR. CHRISTOPHER BAYA SALLA,
hereinafter referred to as the "VENDEE".
 

WITNESSETH;
 
        WHEREAS, the VENDOR is the absolute and registered owner of a parcel of
land covered by TRANSFER CERTIFICATE OF TITLE No. 057-2012007828 registered
in the Registry of Deeds for the Province of Cavite, described as:
A PARCEL OF LAND (LOT 10 BLK. 2 OF THE CONS. & SUBD. PLAN PCS-04-
021255, BEING A PORTION OF LOT 3 BLOCK 7, PCS-04-015994 & LOT 4-A, PSD-
04-160056, L.R.C. REC. NO. 8843), SITUATED IN BRGY. OF TANZANG LUMA,
MUN. OF IMUS, PROVINCE OF CAVITE, ISLAND OF LUZON. BOUNDED ON THE E.
ALONG LINE 1-2 BY LOT 12 BLK. 2; ON THE S. ALONG LINE 2-3 BY ROAD LOT 2
(8.00 M. WIDE) ; ON THE W. , ALONG LINE 3-4 BY LOT 8, AND ON THE N., ALONG
LINE 4-1 BY LOT 9, BOTH BLK. 2 ALL OF THE CONS. SUBD. PLAN. BEGINNING AT
A POINT MARKED “1” ON PLAN, BEING S. 83-28 E., 598.92 M. FROM MON. # 136,
IMUS ESTATE. THENCE S. 88-53’E. 5.00 M. TO THE PT. OF BEGINNING,
CONTAINING AN AREA FOR FIFTY (50) SQUARE METERS. ALL POINTS REFERRED
TO ARE INDICATED ON THE PLAN AND ARE MARKED ON THE GROUND BY PS
CYL. CONC. MONS. 15X40 CM.; BEARINGS TRUE ; DATE OF ORIGINAL SURVEY ;
JULY 27, 1905- JUNE 1, 1908 AND THAT OF THE CONS. SUBD. SURVEY; MARCH
11-16, 2005 & WAS APPROVED ON OCTOBER 10, 2005;
 
        WHEREAS, the VENDEE has offered to buy and the VENDOR has agreed to sell
the above mentioned property under the terms and conditions herein below set
forth;
 
        NOW THEREFORE,  for and in consideration  of the total sum of THREE
MILLION AND ONE HUNDRED THOUSAND PESOS (Php: 3, 100,000.00)
Philippine Currency and of the covenants herein after set forth the VENDOR  agrees
to sell and the VENDEE agrees to buy the aforesaid property subject to the following
terms and conditions:
1. The total consideration shall be THREE MILLION AND SEVEN
HUNDRED THOUSAND PESOS (Php: 3, 700,000.00) Philippine
Currency, shall be payable by the VENDEE thru her Pag-Ibig Housing
Loan.

2. In the event that the approved VENDEE’s Pag-Ibig Housing Loan


amount is less than the total price of the property, the remaining amount
will be settled in CASH by the VENDEE;

3. Capital Gains Tax and Real Estate Tax, shall be for the account of
the VENDEE;
 
4. Documentary Stamps Tax, Registration Fee, registration expenses, and
all other miscellaneous fees and expenses shall be to the account of
the VENDEE;
 
5. Possession to the subject property shall be delivered by the VENDOR to
the VENDEE upon full payment of the total consideration;
 
6. Upon full payment of the total price, the VENDOR shall sign and
execute a DEED OF ABSOLUTE SALE in favor of the VENDEE. 
 
IN WITNESS WHEREOF, the parties have hereunto affixed their signatures, this 1 ST
day of JUNE 2021 at ______________________, Philippines.
