DEED OF ABSOLUTE SALE

 
 KNOW ALL MEN BY THESE PRESENTS:
 
This DEED OF ABSOLUTE SALE (the “Deed”) executed on ____________________ in
________________________________, Philippines, by:
 
ELISEO REYES, married to EDITHA REYES, of legal age, Filipinos, and residents of
Naic, Cavite, hereinafter referred to as the “SELLER”;

- in favor of -

MULTI-VENTURES INVESTMENT HOLDINGS INC., a corporation duly organized


and existing under and by virtue of the laws of the Republic of the Philippines with
offices 3201-C East Tower, PSE Center, Exchange Road, Ortigas Center, Pasig City,
hereinafter referred to as the “BUYER”;

RECITALS:

(A) The SELLERS are the sole, absolute and beneficial owners of a parcel of land located at
Palangue, Naic, Cavite with an area of , more or less, registered in the name of
ELISEO REYES married to EDITHA REYES, (the “Registered Owner”) and covered by
Transfer Certificate of Title (TCT) issued by the Office of the Register of Deeds
for Province of Cavite, and declared for taxation purposes under Tax Declaration No. ,
and more particularly described as follows:

A parcel of land (Lot 382-B-10 OF THE SUBDIVISION PLAN (LRC)


PSD-108991, BEING A PORTION OF LOT 382-b, DESCRIBED ON PLAN (LRC)
PSD-108331, LRC CAD. REC. NO. 1054), SITUATED IN THE MUN. OF LIMAY
PROV. OF BATAAN. BOUNDED ON THE NE. PTS. 2 TO 3 BY LOT 382-B-11,
ON THE SE. PTS 3 TO 4 BY LOT 382-B-14 (ROAD), ON THE SW. PTS. 4 TO 1
BY LOT 82-B-9, ALL OF THE SUBDV. PLAN AND ON THE NW. PTS 1 TO 2 BY
LOT 376, LIMAY CAD. BEGINNING AT A POINT MARKED “1” ON THE PLAN
BEING S. 3 DEG. 08’E. 396.99 M. FROM BBM NO. 5, LIMAY CAD THENCE N.
46 DEG. 11’W. 24.97 M. TO THE POINT OF BEGINNING; CONTAINING AN
AREA OF FOUR HUNDRED (400) SQUARE METERS, MORE OR LESS. ALL
POINTS REFERRED TO ARE INDICATED ON THE PLAN AND ARE MARKED
ON THE GROUND BY PS CYL. CONC. MONS. 15 X 60 CM., BEARINGS TRUE;
DEC. 0 DEG. 20’E. DATE OF THE ORIGINAL SURVEY, FEB. - SEPT. 1927 AND
THAT OF THE SUBDIVISION SURVEY, AUGUST 12-17, 1969.

[hereinafter referred to as the “PROPERTY”];

(B) The SELLERS have the full legal right, capacity, and authority to absolutely and irrevocably
sell the same;

(C) The SELLERS have offered to sell, and the BUYERS have agreed to buy, the PROPERTY
under the terms and conditions herein provided.

NOW, THEREFORE, for and in consideration of the foregoing premises and the terms and
conditions hereinafter provided, the parties hereby agree as follows:

1. PURCHASE PRICE – For and in consideration of the amount of ONE HUNDRED EIGHTY
THOUSAND PESOS (P180,000.00), the SELLERS hereby absolutely and irrevocably SELL,
TRANSFER, and CONVEY unto the BUYER and his successors and assigns, all the rights, title

and interest to the portion of the above described real PROPERTY consisting of SIXTY (60)
SQUARE METERS, free from all liens and encumbrances.

2. WARRANTIES OF THE SELLERS – The SELLERS warrant unto the BUYERS the following:
 
a. The SELLERS have validly acquired ownership and title over the PROPERTY, with
full power, right and authority to transfer, convey and sell the PROPERTY.

b. The SELLERS have performed all the acts required by law to effect the sale of the
PROPERTY.

c. The PROPERTY conforms to the description and size set out on the Tax Declaration
submitted by the SELLERS to the BUYERS.

d. The SELLERS have not entered into any other transaction, conveyance or
assignment of rights or option, which purport to grant to third parties any right,
liens, or interests over the PROPERTY.

e. The PROPERTY is free from adverse claims of any nature whatsoever.

f. The SELLERS shall defend in full the title and ownership which the BUYERS will
acquire over the PROPERTY against any claims of third persons.
g. All taxes in respect of the PROPERTY, including but not limited to, real property tax
have been paid and are up to date, as evidenced by the real property tax receipts, tax
declarations and real property tax clearance submitted to the BUYERS by the
SELLERS.

h. There are no proceedings pending before the courts or other bodies, involving the
PROPERTY which may adversely affect it.

i. All information supplied by SELLERS in connection with the PROPERTY including


the representations in this Deed are true and accurate in all material respects and
there is no fact or matter which has not been disclosed which renders any such
information untrue or misleading or otherwise alters, changes or affects
substantially the information provided by the SELLERS.
 
3. OTHER TERMS AND CONDITIONS – Upon execution of this Deed, the SELLERS shall
submit the following documents to the BUYERS:

a. Certified true copy of the current Tax Declaration;


b. Official receipt/s of the payment of real property taxes covering up to end of
Calendar Year 2021;
c. Certificate of Non-Delinquency in payment of real property taxes (Tax Clearance);
d. TIN Number of the SELLERS;
e. Affidavit of Non-Tenancy, if any;
f. CENRO Certification;
g. Certificate of No Improvement;
h. Court Clearances of No Pending Case over the Property

The SELLERS, in coordination with the BUYERS, shall facilitate the transfer and issuance of
the new Transfer Certificate of Title and Tax Declarations covering the PROPERTY in the
name of the BUYERS, free from all liens and encumbrances.

4. BINDING EFFECT – This Deed shall be binding on the parties herein as well as their heirs,
executors, administrators, successors-in-interest, assigns and legal representatives.

5. ASSIGNMENT OF RIGHTS – The parties hereto agree that the BUYERS may assign its rights
and interests under this Deed to a third party, firm or entity. The SELLERS may not assign,

transfer or sell its rights under this Deed without prior written notice to, and written
conformity and consent from the BUYERS.

6. VALIDITY AND ENFORCEABILITY – Should any of the provisions of this Deed be declared
invalid by a court of competent jurisdiction or by law, those provisions not affected by said
declaration shall continue to be valid and enforceable and binding on the parties. 

7. VENUE OF ACTIONS – In case of litigation arising out of this Deed, the venue of action shall
be in the proper courts of Mariveles, Bataan, to the exclusion of all other courts.
