DEED OF EXCHANGE

KNOW ALL MEN BY THESE PRESENTS:

This Deed made and entered by and between:

LOTUS CENTRAL MALL, INC. a corporation duly organized and existing under the laws of
the Philippines with principal address at Nueno Avenue, City of Imus, Cavite and herein
represented by its President, DENNIS ISAAC J. LEE, hereinafter referred to as the FIRST
PARTY;

DENNIS ISAAC J. LEE, of legal age, single, Filipino Citizen and residing at CAVDEAL bldg.,
Barangay San Rafael, EDSA Extension, Pasay City, hereinafter referred to as the FIRST
PARTY;
-and-

Heirs of REMEDIOS GUINDAY, namely: VIRGINIA JOSE MORALES, of legal age, widow,
Filipino citizen and residing at 6 Casimiro Avenue, Casimiro Village Pamplona Tres Las
Piñas City; FLORDELIZA G. JOSE, of legal age, single, Filipino Citizen and residing at 236
Evangelista Street, Talaba 1, Bacoor Cavite, GORGONIO G. JOSE Jr., of legal age,
married, Filipino citizen, and residing at 236 Talaba, 5Bacoor City, Cavite, LUZVIMINDA
J. SAN JOSE, of legal age, married, German citizen and residing at 236 Evangelista Street,
Talaba I, Bacoor City; JENNIFER DE JESUS LADIC, of legal age, married, Fiipino citizen
and residing at 9 Casimiro Avenue, Casimiro Village, Las Piñas City; and, ZENAIDA J. DE
JESUS, deceased, represented by her compulsory heirs, namely: OLIVER J. DE JESUS,
widow, of legal age, Filipino citizen, and residing at 88 Niog I, Bacoor Cavite, ORLANDO
J. DE JESUS, of legal age, married, Filipino citizen and residing at 88 Niog I, Bacoor
Cavite, JULIUS CESAR J. DE DE JESUS, of legal age, single, Filipino citizen, and residing at
9 Casimiro Avenue, Casimiro Village Las Piñas City, SUSAN J. DE JESUS, of legal age,
single, Filipino Citizen, and residing at 9 Casimiro Avenue, Casimiro Village Las Pinas City,
JADE J. DE JESUS, of legal age, single, Filipino Citizen, residing at 9 Casimiro Avenue,
Casimiro Village, Las Pinas City and JONATHAN J. DE JESUS, of legal age, single, Filipino
Citizen and residing at 9 Casimiro Avenue, Casimiro Village, Las Pinas City, hereinafter
referred to as the SECOND PARTY;

WITHNESSETH:

WHEREAS, the FIRST PARTY are the lawful owner and registered owner of that certain real
property situated In Barangay Ligas, Molino Blvd., Bacoor City, Cavite and more particularly described in
Transfer Certificate of Title No. 057-2015023163 and Transfer Cerifificate of Title No. 057-2011027090
as follows:

“A parcel of land (Lot 4970-A of the subdivision plan (LRA) PSD-42102 approved
as a non-subdivision project, being A of lot 4970, Imus Estate; L.R.C. CLR Record No.
8843), situated in the Barrio of Ligas, Municipality of Bacoor, Province of Cavite, Island
of Luzon, bounded on the NE., Points 12 to 13 by Lot 4976, Imus Estate; on the SE and
NE., Points 13 to 14 and 14 to 1 by Lot 4970-C; on the SE., Points 1 to 2 by Lot 4970-B,
both of the subdivision plan; on the SW., points 2 to 4 by lot 4959, SWO-17527; and on
the NW., NE., and SW., points 4 to 12 by Lot 4975., SWO-40357, both of Imus Estate
beginning at point marked “1” on plan being S. 22 Deg. 02’W., 252.93 M. from Mon. 84,
Imus Estate xxx containing an area of SIX THOUSAND SEVENTY NINE (6,079) SQUARE
METERS more or less.”

“A parcel of land (Lot 4959-B-1-A-2 of the subdivision plan PSD-04-217356,


being a portion of Lot 4959-B-1-A, PSD-04-174541 LRC Record no. 8843) situated in the
Barangay of Ligas, Municipality of Bacoor, Province of Cavite, Island of Luzon, bounded on
The NW., along line 1-2 by Lot 4959-B-1-A-1 of the subdivision plan on the NE,. along line
2-3 by Lot 4975, Imus Estate on the SE along line 3-4 by Lot 4959-B-1-B Psd-04-17451; on
The SW., along line 4-5-6-7-1 by lot 4959-B-2 Psd-04-171107 Portion of Niog Molino
Highway xxxxxxxxxxx containing an area fo ONE THOUSAND NINE HUNDRED SIXTY SEVEN
(1,967) Square meters more or less”

WHEREAS, the SECOND PARTY are the lawful owners and registered owners of that certain real
property situated In Barangay Ligas, Bacoor City, Cavite and more particularly described in Transfer
Certificate of Title No.-A-2492 (RT-1958) as follows:

“A parcel of land (Lot No. 4975 of the Imus Estate, G.L.R.O. Record No. 8848),
situated in the Municipality of Bacoor, Province of Cavite, Island of Luzon. Bounded on
the Northeast by Lot No. 4976; on the Southeast, by Lot No. 4970; on the Southwest, by
irrigation ditch; and on the Northwest by Irrigation ditch and Lot No. 4976 containing an
area of TEN THOUSAND THREE HUNDRED FORTY EIGHT SQUARE METERS (10,348) more
or less”

WHEREAS, both parties have voluntarily agreed by and between themselves to exchange
portion of their properties in accordance with the attached subdivision plan (Annex A) to conform to
their true intention and actual agreement;

NOW THEREFORE, for and in consideration of the above premises, the FIRST PARTY hereby
cedes, transfer and conveys unto SECOND PARTY portion of real property first described above with an
approximate area of TWO THOUSAND THREE HUNDRED SEVENTY ONE (2,371) square meters, more or
less, as shown in the attached subdivision plan, and the SECOND PARTY likewise hereby cedes, transfers
and conveys unto the FIRST PARTY portion of the other real property described next with an
approximate area of FOUR THOUSAND SIX HUNDRED SIXTY TWO (4,662) square meters, more or less,
also shown in the attached subdivision plan subject further to the following conditions:

1. The FIRST PARTY agrees to provide the SECOND PARTY with a right of way of six (6) meters wide
on a property registered in the name of the Authorized Representative of Lotus Central Mall
Inc., DENNIS ISAAC J. LEE, located along Molino Blvd., Bacoor City, Cavite and covered by TCT
No. 057-2011027090 as shown in the attached subdivision plan with an approximate area of
THREE HUNDRED EIGHTY TWO (382.00) square meters;

2. DENNIS ISAAC J. LEE shall execute a Deed of Donation in favor of the SECOND PARTY for the
aforementioned right of way and the cost of the relocation/subdivision survey plans, transfer
tax, documentary stamp tax and registration expenses shall be for the account of the SECOND
PARTY.

3. Both Parties shall allow access to their respective area for the determination of the exact metes
and bounds of the area to be respectively exchanged and shall hereby allow to provide all the
pertinent information, records and status of their properties;

4. Both Parties agree to undertake joint relocation and subdivision surveys on their respective
properties to determine the exact location and area of the properties to be exchanged the cost
of whom shall be jointly and equally shared by both Parties;

5. The SECOND PARTY shall file with the appropriate Court the necessary Petition for the Re-
Issuance of New Owner’s Copy of the lost title and submit to the Court copy of their previously
executed Extrajudicial Settlement among them, proof of payment of estate taxes and shall pay
the all the corresponding transfer taxes and other related registration expenses of the new title
to be issued in favor of the Heirs of Remedios Guinday or the SECOND PARTY;

6. Both Parties agree that should there be a need for the execution of Final Deed of
Conveyance/Exchange/Assignment and turn-over of all deeds, documents, certificates of titles
and other evidence of titles, the concerned Party shall be liable to pay its/their share in the
expenses to execute the Conveyance/Exchange/Assignment such as but not limited to capital
gains, documentary stamps and transfer taxes as well as the registration fees and other related
expenses;

7. Both Parties further agree that while the title of the SECOND PARTY is undergoing
reconstitution, the Parties shall allow each party to take possession of the exchanged/swapped
property and construct perimeter fence to protect the properties from illegal intruders and to
prevent illegal occupation by informal settlers or unlawful entrants and begin construction of
desired improvements in accordance with their plans for the properties;

8. The SECOND PARTY shall further allow the FIRST PARTY the piling of filling materials inside the
remaining portion of their properties of at least two (2) meters additional elevation inside the

boundary line in preparation for the construction of perimeter fence so as to prevent soil
erosion.

9. The FIRST PARTY shall earnestly complete the process of filing the Petition for the Re-Issuance of
New Title within two (2) years from the signing of this Deed.

they have executed the instrument as their free and voluntary act and deed and that they have the

This Deed of Exchange, consisting of four (4) pages including this page where this
Acknowledgment is written involves properties situated in Brgy. Ligas Bacoor City, Cavite covered and
embraced in TCT No. A-2492 (RT-1958) and TCT No. 057-2015023163 and TCT No. 057-2011027090
