1. I am the duly elected and incumbent Corporate Secretary for Valeros

Velasco Business Solutions, Inc. (VVBSI), a corporation duly organized and
existing under and by virtue of the laws of the Philippines, with principal
office address at Unit 206 Verde Oro East Plaza National Highway San
Juan Taytay, Rizal, 1920 Philippines.

2. At the special meeting of the Board of Directors of the VVBSI held on

15 November 2022, at which a quorum was present, the following
resolutions were unanimously adopted and approved:

“RESOLVED, that Atty. Kevin T. Taningco, be authorized to attend

the Mandatory Conference before the DEPARTMENT OF LABOR AND
EMPLOYMENT – RIZAL PROVINCIAL OFFICE located at 2F J & P
BLDG., Soliven Ave. II Brgy. San Isidro, Cainta, Rizal before hearing
officer FRANCIS GABRIEL C. OLALIA on November 22 & 29, 2022 at
11:30 AM & 11:30 AM, respectively, for mandatory conference.”

“RESOLVED FURTHER, that the above, shall also include

authority to request a copy the Notice of Result dated 24 May 2022 in order
to know the findings/deficiency noted in said result.”

“RESOLVED FINALLY, that the foregoing authority shall continue

in full force and effect until revoked by the Board of Directors in a
resolution duly certified by the Corporate Secretary”
