    ASSIGNMENT OF RIGHTS

    DATE : October 30, 2016

    Heather A. Kelly By this letter, I transfer the rights and obligations of the
    membership acquired with Compania Hotelera los Cabos, S.A. de C.V. through the
    signing of the Purchase Agreement number 70-9708 for the use and enjoyment of
    the entire vacation interest of the units of the vacation club at the vacation
    development known as Fiestamericana Villas Los Cabos, to Mr (Mrs) David Cleeve
    Jones.

    I, David Cleeve Jones, accept the rights and obligations of the membership
    acquired Compania Hotelera los Cabos, S.A. de C.V., by Mr. (Mrs) Heather A.
    Kelly, through the signing of the Purchase Agreement number 70-9708, binding
    myself from this date on to fulfill each and every one of the obligations due to this
    assignment..
